171.Overthelastdecade,countlesswebsitesand"filesharing"orpeer-to-peer("P2P")softwareprograms-fromNapster,in2001,toLimeWirein2010-22havebeensuedintooblivionbecauseamultitudeofcourtshavefoundthatthey23wereessentiallyenginesofinfringement,designedwiththespecificaimof24knowinglyencouraging,inducingand/orassistingothersindirectcopyright25infringementofartists'works,andprofitingthereby.Asaresultoftheselawsuits,

anoverwhelmingnumberofthesefile-sharingsitesarenowcompletelyinactiveand27theirfoundingcompaniesarebankrupt.Yet,formostifnotallofthistime,one

1particulargroupofbusinesses-ledbyDefendantsCBSInteractiveandCNET-2haveknowinglyandwillinglyparticipatedinandprofitedmightilyfromthesame3massiveinfringementthatengenderedlargecopyrightsuitsagainstNapsterand4LimeWireandthatultimatelycrippledthemfinancially.Andtheyhavedoneso5withimpunity.Infact,becausetheyownedanumberofthemostheavily-visited6sitesintheworldfordownloadingsoftwareofalltypes,Defendantsdidmoreto7furtherthismassiveinfringementthanNapsterorLimeWireevercouldbyfalsely8legitimizingitandpopularizingittothemasses.Asrecentlyas2010,onecould9accessalegitimateportionofDefendants'sitesanddownloadnon-infringing,10licensedsoftwaresuchasQuickbooksaccountingsoftwareorAdobeAcrobat,and11could

duringthesameshoppingsession

downloadtheLimeWireinfringement12engine,whichwasclearlyintendedtobedownloadedforinfringingpurposes.This13ambiguityworkedevenfurthertoDefendants'advantagebymakingitseemtothe14casualconsumerthataLimewiredownloadhadthesamelegitimacyasadownload15oflicensedofficesoftware.Inessence,Defendantshavetakenmusicpiracyfromthe16dormroomtotheboardroom.Thus,whileothercompaniesfacedheavystatutory17penaltiesandwentbankrupt,andmusiclabelsbandedtogethertolevypractically18unconscionablepenaltiesonunemployedcollegestudentsandhousewives,19Defendantsquietlymadebillionsbyinducingthosesameindividualstobreakthe20law,byprovidingthemthesoftwaretodoit,andthenbygivingeventheleast21computer-savvyastep-by-stepguideastohowtodoit.NoonehasheldDefendant22accountableforthis.Untilnow.232.Foroveradecade,Defendantshaveshamelesslydistributedavastarray24ofP2Psoftwareprograms("P2Pclients")totheglobalpublicforfree,includingthe25nownotoriousLimeWiresoftwareaswellmanyofthemostpopularand26controversialP2Pclients,includingKaZaa,Morpheus,BitComet,AudioGalaxyand27Frostwire.Atalltimes,DefendantsknewthattheseP2Pclientswereusedprimarily28forpurposesofcopyrightinfringementandinmanycaseswereactuallydesigned
