LICENSE AGREEMENT
This Agreement is entered into on _________, 200_, between the City of Park Ridge, Illinois (“City”), the Park Ridge Ministerial Association (“Association”)and PADS (“PADS”), hereinafter collectively referred to as “the Parties.”RECITALSWHEREAS, the Association and PADS (together the “Licensee”) share acommon objective in providing temporary overnight sleeping accommodations(“TOS”); andWHEREAS, the Parties recognize the benefits of cooperation in resolvingissues raised by the location of a TOS in Park Ridge; andWHEREAS, the Association is an informal association of pastors of houses of worship in the Park Ridge community, but each constituent house of worship has the legal ability to enter into binding agreements;WHEREAS, the City’s Public Works Service Center is uniquely situated toserve as a TOS;WHEREAS, the Association and PADS desire to occupy space within thePublic Works Service Center for the purpose of managing a TOS; andWHEREAS, the Parties desire to enter into an agreement defining allrights, duties and liabilities of the Parties.NOW, THEREFORE, in consideration of the mutual covenants containedin this Agreement and the recitals incorporated herein, the Parties agree asfollows:A.The City will provide, for a period of two years, certain space withinits Public Works Service Center (“Center”) as shown on
Exhibit A
at _____ BusseRoad, Park Ridge, Illinois.B.There shall be no licensing or rental fee associated with thisLicense Agreement. However, the Licensee shall be responsible for the paymentof any out of pocket expenses incurred by the City in opening, closing or cleaningof the Center on account of usage by the Licensee.C.Except when in actual use as a TOS, no personal property of theLicensee shall remain at the Center.
 
SECTION TWOUSE OF PREMISESA.The Licensee’s use of the Center is limited to its use as a TOS.B.The use of the Center by the Licensee shall be conducted in strictaccordance with all City regulations, including but not limited to the City ZoningOrdinance, the City licensing regulations for a TOS and any conditions placed onthe Licensee pursuant to any Special Use Permit and License issued for theCenter as a TOS.SECTION THREETERM OF AGREEMENTA.The term of this Agreement shall be for an initial period of twoyears, commencing ________, 20___ and terminating _________, 20__, unlessearlier terminated by breach of the terms and conditions of this Agreement or asprovided in this Agreement.SECTION FOURPROHIBITIONSA.For the duration of this Agreement and any extensions to thisAgreement, neither PADS nor any of its officers, agents, employees or affiliatesshall bring or in any manner support any litigation in any jurisdiction and of anykind or nature, challenging this Agreement, any City regulation with respect toTOS or the right of the City to regulate a TOS.B.For the duration of this Agreement and any extensions to thisAgreement, neither the Association nor any constituent member of theAssociation (and no officer, agent or employee of any constituent member) shallbring or in any manner support any litigation in any jurisdiction and of any kind or nature, challenging this Agreement, any City regulation with respect to TOS or the right of the City to regulate a TOS.C.For the duration of this Agreement and any extensions to thisAgreement, neither PADS nor any of its officers, agents, employees or affiliatesshall attempt or support any attempt to locate any other TOS in any locationwithin the City.D.For the duration of this Agreement and any extensions to thisAgreement, neither the Association nor any constituent member of theAssociation (and no officer, agent or employee of any constituent member) shallattempt or support any attempt to locate any other TOS in any location within theCity.

SECTION FIVEACCIDENTIAL DAMAGE OR INJURYThe City shall not be liable for any damage to property, or any injury topersons, sustained by the Licensee, or any client of Licensee, caused byconditions or activities at the Center. The Association, by its constituentmembers and PADS shall indemnify and hold harmless the City against all claimsarising from such damages or injuries and shall carry liability insurance with limitsof liability of not less than $_________ in the event of bodily injury and death toany member of persons in any one accident, and not less than $__________ for property damage. The City shall be named as additional insured. Uponexecution of this Agreement, PADS shall provide to the City a certificate of insurance as evidenced that appropriate insurance is in place, as provided in thisSection.SECTION SIXALTERATIONS, ADDITIONS OR IMPROVEMENTSThe Licensee shall not make any alterations, additions or improvementson or the Center.SECTION SEVENACCESS TO THE CENTERThe City, its agents and employees shall have free access to the Center atall times.SECTION EIGHTADVERTISEMENTSAll signs or symbols of PADS on any common or exterior part of thepremises shall be subject to the approval of the City. If any signs or symbols areplaced in a manner that is not satisfactory to the City, then the City may demandthe removal of the signs or symbols.SECTION NINEASSIGNMENTThis Agreement is non-assignable.SECTION TENDEFAULT BY PADS OR ASSOCIATIONIf either PADS or the Association violates or defaults on any of theprovisions of this Agreement, then the City may terminate this Agreement.
