CONSTITUTION AND BY-LAWSOF THECONCERNED TAXPAYER ASSOCIATION OF THEBOROUGH OF SURF CITY, NEW JERSEY
THE PREAMBLEARTICLE I
The name of the organization is the Concerned Taxpayer Association of the Borough of Surf City, New Jersey.
ARTICLE II
The organization is a non-profit, non-partisan, volunteer group of individuals dedicated to enhancing the quality of life for residents,visitors, and taxpayers of the Borough of Surf City, New Jersey,and to facilitating communication between its taxpayers and localofficials.
ARTICLE III
Membership is restricted to taxpayers of the Borough of Surf City, New Jersey.
ARTICLE IV
 
TERMINATION OF MEMBERSHIPSection 1
Any member may resign his or her membership by notifying theSecretary in writing.
Section 2
Membership is automatically terminated when a member is nolonger a taxpayer.
Section 3
Any member may be expelled from membership by the Board of Trustees should he or she bring discredit upon this organization,and/or for non-payment of dues.
ARTICLE V BOARD OF TRUSTEESSection 1
The governing body of this organization is the Board of Trustees.It determines the policies and exercises supervision over allofficers, members and committees. The Board¶s decision can beoverruled by a two-thirds majority vote of the members present ata regular meeting.
 
 
Section 2
The Board of Trustees consists of the President, Vice President,Secretary, Treasurer and up to 10 Trustees.
Section 3
The Board of Trustees shall meet at least three times a year at thetime and place designated by the President. One-half of the BoardMembers shall constitute a quorum for the transaction of businessat any meeting
Section 4
Any three members of the Board shall have the right to call ameeting of the Board on 10 days notice in writing to all membersof the Board.
ARTICLE VI OFFICERS: THEIR DUTIES AND ELECTIONSection 1
The principal officers of this organization are the President, VicePresident, Secretary and Treasurer. Additional officers may beelected by the Board of Trustees at its discretion and such officersshall perform the duties prescribed by the Board.
Section 2
The President shall preside at all meetings, appoint all committees,shall be Chairman of the Board of Trustees, and shall have further duties as ordinarily pertain to the office of President.
Section 3
The Vice President shall assist the President, preside and take over the duties of the President in his absence or in the event of vacancyin the office of President.
Section 4
The Secretary shall record all proceedings of the organization'smeetings and meetings of the Board of Trustees. He/she shallmaintain a current roster of board members, committee members,and shall be the custodian of the records. He/she shall have further duties as ordinarily pertain to the office of Secretary.
Section 5
The Treasurer shall be Chairman of the Finance Committee.He/she shall collect all dues, keep the books and accounts and havecustody of all funds of the organization. He/she shall maintain acurrent roster of organization members. He/she shall render  periodic reports of the financial position of the organization asdirected by the Board of Trustees, and attend to payment of all bills and obligations of the organization. He/she shall deposit allfunds of the organization in a bank designated by the Board of Trustees. He/she shall have further duties as ordinarily pertain tothe office of Treasurer. Any principal officer in addition to theTreasurer may be authorized to sign checks.
 
 
Section 6
All officers and trustees shall be elected for a term of two years.Election of officers and trustees shall be held in the months of Juneor July as set by the Board of Trustees. The officers and trusteesshall take office immediately on the day of election and shall endtheir term on the day their successors have been elected. Thereshall be no limitation on all principal officers and trustees on termsserved. In the event of a vacancy in any office or on the Board of Trustees, the Board of Trustees shall have the power to fill suchvacancy for the unexpired term, except for the office of Presidentwhere automatic succession of the Vice President will fill suchvacancy. All members of this organization will be held harmlessfor any action taken by any of the Board members.
Section 7
Nominations for election of principal officers and trustees shall bemade by a Nominating Committee appointed by the President notless than three months prior to the election. This committee shallconsist of five members of the general membership, in goodstanding, and shall present its report no later than 15 days prior tothe meeting at which election is to take place. It shall nominateone candidate for each of the principal offices and up to 10trustees. Further nominations may be made from the floor at thetime of the election by any member in good standing. Electionshall be by a show of hands. Each member present shall beentitled to one vote. The candidate who receives the largestnumber of votes shall be elected and begin to serve their termimmediately.
ARTICLE VII MEETINGSSection 1
Regular organization meetings shall be held at such time and placeas shall be determined by the Board of Trustees.
ARTICLE VIII REVENUESSection 1
All members shall pay annual dues of $3.00 per member or $5.00 per couple. Dues shall become due on July 1 of each year.
Section 2
The organization shall have no power to levy any compulsoryassessment for funds upon its members.
ARTICLE IX COMMITTEESSection 1
The regular constituted committees of this organization shallinclude: Membership, Finance, Nominating, Public Concerns, andBorough Beautification.
