theVillageLawineffectpriorto1973onApril6,2008 WHEREAS,thepartieswishtoprovideforthetermsandconditionsofemploymentfortheterm
of
servicebyBARBARITEastheVillage
of
MonticelloasManager,whichtermsshallbeafouryeartermcommencingas
of
April6,2008.Thepartiesagreeasfollows: TheVillagedoesherebyhireBARBARITEastheVillageManageroftheVillageforatermtocommenceApril6,2008andtoexpireonApril2,2012.BARBARlTEagreestoworkforthe Villageinaccordancewiththeterms
of
thisagreement.2.TheVillageManageristhe
chief
administrativeand
chief
executiveofficer
of
theVillageinaccordancewithArticle15-A
of
the
New
YorkStateVillageLawineffectpriorto1973atthetime
of
theadoption
of
theVillageManagerform
of
governmentbytheVillage. 3.Theduties
of
theVillageManagertobeperformedbyBARBARITEincludethosesetforthin Article15-A
of
thepriorVillagehaveandshallalsoincludebutshallnotbelimitedtothefollowing: attendanceatallmeetings
of
theBoard;attendanceatmeetings
of
suchotherboardsandagencies
of
theVillageasmaybeappropriateandnecessarywherehispresenceisrequired;conferenceswiththe
 
Mayor
of
theVillageandmembers
of
theBoard
of
Trustees;supervision
of
alldepartmentsandagencies
of
theVillage;supervision,hiring,dischargeanddiscipline
of
allpaidandunpaidemployees
of
theVillageotherthanthoseemployeesandofficers
ofthe
VillagewhoaredirectlyresponsibletotheBoard;appointment
of
allofficials,boardsandemployeeswhoaresubjecttoappointmentbytheVillageManager;implementation
of
allpolicies
of
theBoard
of
theVillage;advisingandconsultingwiththeMayorandBoardonallmattersaffectingtheVillage;ZoningOfficer
of
theVillage,LaborContractnegotiationsandperformingallotherdutiesasrequiredbylaworthedirection
of
theBoard.4.TheManageristobegenerallyavailableattheVillageHall,MondaythroughFriday, whiletheVillageHallisopen,exceptattimeswhenheisabsentonVillagebusiness,holidays,vacationsorillness.TheManagershallhavetherighttoschedulehisdayasisappropriatefortheconduct
of
hisduties.5.a.BeginningonAugust1

BARBARITEwillbepaidbaseduponanannualsalaryof$72,450.00peryearintwenty-six(26)equalpayperiods.TheManagerisnotentitledtoovertimeor"comp"timeforhisservices.BARBARlTEshallbeentitledtoasalaryreviewandemploymentevaluationaftertwelve(12)monthsandeverytwelve(12)monthsthereafter.6.BARBARlTEshallbeentitledtoparticipateintheVillagehealthplanforhisfamilyatthecost
of
theVillage.
IfBARBARlTE
decidesnottojointhehealthplan,heshallbeentitledtoalumpsumdollaramountsetforthbyresolution
of
theBoardnottoexceedOnethousanddollars($1,000.00).7Anautomobile,includinggasolineandinsurance,ingoodworkingorderandphysical conditionwillbeprovidedbytheVillagefortheuse
of
theVillageManagerforVillagebusiness,solongasavehicleisavailableforsuchpurposes.
IfBARBARlTE
useshispersonalvehicleforVillagebusinessheshallbereimbursedtheStaterate.8.EmploymentandperformancegoalsfortheVillageManagerwillbeestablishedinwritingandbymutualagreementbetweentheBoard
of
TrusteesandtheVillageManager.
 
9.SEPARATIONFROMVILLAGEEMPLOYMENTa.VillageManagerTermination.BARBARITEshallprovideathirty(30)daynotice
of
hisintentiontoresign.Uponsuchvoluntaryterminationby
BARBARlTE
,
BARBARlTEshallbeentitledtoallaccruedvacationtimeas
of
thedate
of
terminationfortheyearinwhichsuchterminationshalloccur.BARBARlTEshallbeentitledtoparticipateatBARBARITE'scostandexpenseintheVillagefamilyhealthinsuranceplanundertheregulations
of
COBRAtheapplicableCOBRAperiodfollowingthedate
of
retirement.Allotherbenefitsshallbepaidasprovidedinthiscontractonaproratabasistothedate
of
retirement.b.VillageTerminationWithoutCause.TheBoard
of
Trusteesmayterminatetheservice
of
theVillageManageron30dayspriorwrittennotice"atthepleasure"
of
theVillageBoardwithoutcauseduringtheterm
of
thiscontract.
If
soterminatedduringthefirsttwoyears
of
thisagreementtheVillageshallbeobligatedtoandshallpaytotheVillageManagerbi-weekly,atthesalaryrate
of
theVillageManageratthetime
of
termination,oneyearssalary.Heshallreceivepaymentforallunusedandaccruedvacationdaysandallotherbenefitsprovidedbythiscontractincludinghealthinsuranceuptothedate
of
termination.
If
soterminatedduringyearthree
of
thisagreement,thepaymentshallbeninemonthssalaryandifterminatedduringthebalance
of
thisagreement,thepaymentshallbesixmonthssalarypayableassetforthaboveexceptiflessthansixmonthsshallremainontheterm
of
thisagreement,BARBARITEshallreceiveasumequalto50%
of
thebalanceofhissalaryleftinhistermplusanybenefitsduetodate.c.TerminationforCause.
If
theVillageManagershallbeterminatedforcause,hemaybesuspendedwithpayuntilthefinaldetermination
of
theVillageBoardafterahearingbyahearingofficerwhoshallmakeareportandrecommendationtotheVillageBoard.TheVillageBoardmaywithinten(10)daysafterthereceiptofsuchrecommendation,eitherimplement,modifyorreject therecommendation
of
thehearingofficer.Uponimplementation
of
suchtermination,BARBARITEshallnolongerbeentitledtoanysalary.TheVillageManagermayberepresentedbycounselatany suchhearingandhavetherighttocallwitnessesonhisbehalf.
If
soterminated,theVillageManagershallbeentitledtopaymentforanyaccruedvacationandpersonaltimeandtoparticipateintheVillage'shealthinsuranceplanforaperiodpermittedbyCOBRAfollowingthetermination
of
employmentattheVillageManager'sexpense.Forthepurposes
ofthis
paragraph,thegroundsfor
