authorizedtodobusinessintheStateofMissouri.4.PlaintiffWesselsisataxpayeroftheCityofSt.Louis("City")andtheStateofMissouri("State").5.TheCityisaconstitutionalchartercityoftheStateofMissouri.6.Sections82.485and82.487,RSMo,containcertainlanguageanddirectivespurportingtoestablishmunicipaloffices,anddutiesofamunicipalofficerandanagencyinthe
City.
ThesestatutespurporttocreatethepositionofParkingSupervisor,andanagencydenominatedtheParkingCommission,endowingthemwithnearlyunfetteredresponsibilityformattersrelatingtopublicparkingintheCity;theseareinherentlymunicipalmatters.Thesetwostatutesshallhereinafterbereferencedasthe"CityParkingRegulatoryStatutes".7.TheMissouriConstitutionprovidesinpertinentpart:"Nolawshallbeenactedcreatingorfixingthepowers,dutiesorcompensationofanymunicipalofficeor
employment,
foranycityframingoradoptingitsowncharterunderthisoranypreviousconstitution...."Mo.Const.Art

§22.8.TheCityParkingRegulatoryStatutesviolateMissouriConstitution,ArticleVI,§22inthatthey:A)purporttocreatefortheCitythemunicipalofficeofParkingSupervisor,alsotobeknownasSupervisorofParkingMeters,andanagencydenominatedtheParkingCommission;B)purporttofixinherentlymunicipalpowersanddutiesofsaidofficesandagency;and

C)purporttousurptheCity'sabilitytoregulateandcontrolpublicparkingwithinitsgeographicalboundaries,atraditionalmunicipalfunctionofMissouricities.9.OnoraboutApril6,2099,DefendantWilliams,purportingtoactonbehalfoftheParkingCommission,enteredintoacontractwithDSIthat,ineffect,wouldoutsourcetoDSIthefunctionsandresponsibilitiesoftheParkingDivisionoftheOfficeoftheTreasurer.AcopyofthispurportedcontractisattachedheretoasExhibit1(hereinafter,"Contract").10.TheContractcallsforDSItoperform,amongotherthings,professionalconsultingandmanagementservicesrelatingtopublicparkingoperationsintheCity.11.TheContractwasenteredintodespite:(1)thefactthatitdenominatestheCityasapartytoit,butitisnotcountersignedbytheComptrolleroftheCity;and(2)non-compliancewiththeProfessionalServiceContractOrdinancesofthe

(towit,CityOrdinanceNos.64102and65109).12.TheContractisvoidandunenforceablebecause:

itisnotcountersignedbytheComptrollerasrequiredbyCityCharterArt.XXV,

9;and(2)itwasconsummatedwithoutcompliancewiththeProfessionalServiceContractOrdinances.13.DefendantWilliamsiscausinganddirectinganongoingunlawfulexpenditureoftaxpayerfundstoDSIpursuanttotheunlawfulandvoidContract.Further,oninformationandbelief,heanc;ltheParkingCommissiontooksteps
