I am pleased to report that because of the public pressure YOU all put on the situation, Board action on the Manager’s contract was postponed to March and when the matter is placed on the agenda next time it will be properly described so that we know what action is contemplated. This will give us time to learn and consider the terms. I will email out the term sheet when I get one; however, it is my understanding that the proposal is to have a two year contract with the same provisions as the prior contract and with an increase in salary next year. I am attaching a copy of the manager’s prior contract and will be reviewing it to determine which terms are desirable for inclusion in any new contract. As always, I appreciate the thoughts that you have given me on this matter. Jenny

dayofOctober,2007,byandbetweentheTownshipBoardofCommissionersofLowerMerion,Pennsylvania,amunicipalcorporation,hereinaftercalled"Board"aspartyofthefirstpart,andDouglasS.Cleland,hereinaftercalled"Cleland"aspartyofthesecondpart,bothofwhomunderstandasfollows:WITNESSETHWHEREAS,theBoarddesirestocontinuetoemploytheservicesofClelandasTownshipManageroftheTownshipofLowerMerion,Pennsylvania,asprovidedforintheFirstClassTownshipCodeandCodeoftheTownshipofLowerMerion;andWHEREAS,itisthedesireoftheBoardtoprovidecertainbenefits,toestablishcertainconditionsofemploymentandtosetforthworkingconditionsofCleland;andWHEREAS,ClelanddesirestocontinuehisemploymentasTownshipManagerofLowerMerionTownship.NOW,THEREFORE,inconsiderationofthemutualcovenantshereincontained,thepartiesagreeasfollows:Section1.PowersandDutiesoftheTownshipManager.A.TheBoardherebyagreestocontinuetoemployClelandasTownshipManageroftheTownshipofLowerMeriontoperformthefunctionsanddutiesspecifiedintheFirstClassTownshipCodeandCodeoftheTownshipofLowerMerion,andtoperformotherlegallypermissibleandproperdutiesandfunctionsastheBoardshallfromtimetotimeassign,subjecttothisAgreement.Section2.Term.A.ContinuationofemploymentofClelandasTownshipManagershallcontinuefromDecember31,2007,foraperiodthroughDecember31,2011,unlessmutuallyagreeduponinwritingsignedbybothpartiestomodify,extend,reneworotherwisechangesaidterm.B.NothinginthisAgreementshallprevent,limitorotherwiseinterferewiththerightofClelandtovoluntarilyresignatanytimefromhispositionandemploymentwiththeTownship.IntheeventClelandvoluntarilyresignsasTownshipManager,ClelandshallgivetheBoardnotlessthanforty-two(42)daysadvancenoticeunlessthepartiesagreeotherwise.C.IfClelandvoluntarilyresigns,hewillnotbeeligibleforanyseverancepay.D.TheTownshipagreestoprovidewrittennotificationtoClelandofintentnottorenewwithinninety(90)dayspriortotheexpirationofthisAgreement(onorbeforeOctober2,2011).IftheTownshipfailstoprovidesaidnotice,Clelandreservestherighttodeterminethatsuchnoticehas

beenprovideduponhisdirectwrittenconfirmationtotheBoardofthisdetermination.Suchconfirmationshallconstitutenoticeofnon-renewaleffective90daysafterthedategiven.If,infact,theTownshipadvisesClelandofanintentnottorenewhiscontractorClelanddeterminesthatintentonorafterOctober3,2011,theTownshipwillprovideClelandwithreasonabletimepriortotheendofhiscontracttermtoaddresshisprofessionaloccupationalneedsaslongashisabsencefromactivemanagementdoesnotmateriallyornegativelyimpacttheeffectiveoperationoftheTownship.E.IfClelandcontinuesworkingbeyondthetermherein,thetermofhisemploymentshallbeextendedonaday-to-daybasis,unlessotherwiseagreed,andthetermsofthiscontractshallcontinueineffectduringsuchextensionperiod.F.ClelandagreestoremainintheexclusiveemployoftheTownshipofLowerMerion,whileemployedbytheTownshipofLowerMerion.However,nothinghereinshallprohibitClelandfromengaginginoccasionalteaching,writing,speakingorconsultingperformedonhistimeoffsolongassuchactivitiesdonotinterferewithCleland'sperformanceofhisdutiesasTownshipManager,evenifoutsidecompensationisprovidedforsuchservices.SuchactivitywhichwouldpresentanyconflictofinterestwiththeTownshipisexpresslyprohibited.Intheeventovernighttravelisrequiredforsuchnon-Townshiprelatedbusiness,theBoardshallbenotifiedinadvance.DeminimisuseofTownshipequipmentforsuchpurposesisherebyauthorized.Section3.TerminationandSeverancePay.
A.
IntheeventthattheTownshipterminatesClelandforcause,thisAgreementandtherightsandobligationsofthepartieshereunder,cease."Cause"isdefinedandherebylimitedforthepurposesofthisAgreementtothefollowing:(1)willfulmisconductandlorneglectofduty,(2)felonyormisdemeanorconvictionofanycrimeinvolvingmoralturpitude,(3)dishonestyintheconductoftheTownship'saffairs,or(4)anyotheractofsimilarorgreaterseriousness.
B.
IntheeventtheBoardterminatesClelandwithoutcauseduringthetermofthisAgreementoranyextensionthereofasprovidedinSection2,paragraphsDandEabove,orintheeventtheBoarddeclinestorenewthisAgreementattheendofitsterm,theBoardagreesto:1.PayClelandhisbasesalaryandbenefitsashereinspecifiedforaperiodofsix(6)months.Clelandshallalsobecompensatedforallearnedvacation,personalholidays,holidays,andotheraccruedbenefitstodateasiscustomarilyprovidedtoothermanagementemployeesoftheTownship,calculatedattherateofpayineffectupontermination.2.Payforandprovide,atTownshipexpense,foraperiodofsix(6)monthsoruntilsubstantiallysimilarcoverageisprovidedtoClelandandhislegaldependentsbyasubsequentemployer(andisinfullforceandeffect)whichevercomesfirst,anyprotectionaffordedClelandbytheConsolidatedOmnibusBudgetReconciliationActofl985(COBRA).C.IntheeventtheBoardatanytimereducesthesalary,compensationorotherbenefitsofClelandinagreateramountthananapplicableacross-the-boardreductionforallmanagementemployeesoftheTownship,orintheeventtheBoardrefusestocomplywithanyotherprovisionbenefitingClelandherein,orClelandresignsfollowingawrittendemandbytheBoardthatheresign,theninthateventClelandmayathisoption,bedeemedtobeterminatedwithoutcause,asprovidedherein.2
 
D.ShouldClelandbepermanentlydisabledorotherwiseunabletoperformhisdutiesbecauseofsickness,accident,injury,mentalincapacityorhealthforaperiodofsix(6)successiveweeksbeyondanyaccruedoreligiblepaidleave,includingshort-termdisability,theBoardshallhavetherighttoterminatethisAgreement.Suchterminationshallbedeemedtobewithoutcause.ThiswouldnotnegativelyimpactCleland'seligibilityforanylong-termdisabilityorotherretirement-relatedbenefitsthatClelandmightotherwisebeeligibletoreceive.IntheeventofadisputewithrespecttoCleland'sfitnessandabilitytoperformthefunctionsofhisposition,Clelandagreestosubmitto,andthepartiesagreetobeboundby,thedeterminationofanIndependentMedicalExaminationtobescheduledbytheTownship.E.ForpurposesofcomplyingwithSection3ofthisAgreement,appropriationsheldasunencumberedfundbalancesinanyfundoraccountoftheTownshipshallbedeemedtobeavailableandauthorizedfortransfertotheappropriatesalaryandbenefitexpenditureaccountstoinsurefulfillmentofthisprovisionoftheAgreement.F.Contemporaneouslywiththedeliveryoftheseverancepayhereinabovesetout,ClelandagreestoexecuteanddelivertotheBoardarelease,releasingtheBoardofallclaimsthatClelandmayhaveagainsttheTownshiportheBoard.Section4.Salary.
A.
TheBoardagreestopayClelandforhisservicesrenderedpursuantheretoasTownshipManageranannualbasesalaryof$175,350,effectiveJanuary1,2008,payableininstallmentsatthesametimeasothermanagementemployeesoftheTownshipofLowerMerionarepaid.EffectiveJanuary1,2009,theannualbasesalaryforClelandshallbeincreased+5%to$184,118.EffectiveJanuary1,2010,theannualbasesalaryforClelandshallbeincreased+5%to$193,323.EffectiveJanuary1,2011,theannualbasesalaryforClelandshallbeincreased+5%to$202,989tocontinueuntilDecember31,2011.Section5.RetirementBenefits.
A.
Clelandshallbecoveredandgovernedbythesamedeferredcompensationanddefinedbenefitretirementpensionplansasareprovidedtoallotherqualifiednon-uniformedTownshipmanagementemployees.TheTownshipdeferredcompensationcontributionrateforClelandshallbeincreased(from7%)to8%effectiveJanuary1,2008.Clelandshallatalltimeshavetherighttobuy-backanyamountofhispriorservicecreditforpensioncreditedservicespurposesaccordingtotheprovisionsoftheplanprovidedtoallotherqualifiednon-uniformedTownshipemployees.Section6.InsuranceCoverages.

TheBoardagreestoputintoforce,andmakerequiredpremiumpaymentsforClelandforallemployeebenefits(suchashealth,dental,prescription,vision,shortandlongtermdisability,lifeinsurance,workerscompensation,unemploymentcompensation,andFICAlMedicare)providedtoallotherTownshipmanagementemployees.Section7.Automobile.

TheBoardshallprovideClelandwithafullyequipped(includingcarphoneifneeded)automobileorcomparablevehicleownedbytheTownshipofLowerMerion,forbothbusinessuse,andtheexclusiveandunrestrictedpersonaluseofClelandwithinthestatesofPennsylvania,New3
