EMPLOYMENTAGREEMENT
ThisEmploymentAgreementCAgreement"),datedforidentificationpurposesonlyasofJune28,2005,byandamongtheCityofLakeElsinore("City")andtheLakeElsinoreRedevelopmentAgency(the"Agency"),ontheonehand(theAgencyandtheCityarecollectivelyreferredtohereinas"Employer"),andRobertBrady,("Employee"),ontheotherhand.ThisAgreementshallbeeffectiveasofJuly1,2005,thedateEmployeeshallbeginactinginthecapacityofCityManagerandExecutiveDirector(the"EffectiveDate").
RECITALS
A.EmployerdesirestoemploytheservicesofRobertBradyasCityManageroftheCityandExecutiveDirectoroftheAgency.ForpurposesofthisAgreement,referencesto
"City
Manager"shallbedeemedtoincludethepositionsanddutiesoftheCityManagerandtheExecutiveDirector.B.ItisthedesireoftheCityCounciloftheCityofLakeElsinore(the"CityCouncil")andtheBoardofDirectorsoftheRedevelopmentAgency(the"AgencyBoard"),actingasthelegislativebodiesoftheCityandtheAgency,respectively,toprovidecertainbenefits,establishcertainconditionsofemploymentandtosetworkingconditionsofEmployee.C.
It
isthedesireofEmployerto(1)secureandretaintheservicesofEmployee;(2)tomakepossiblefullworkproductivitybyassuringEmployee'smoraleandpeaceofmindwithrespecttofuturesecurity;(3)toactasadeterrentagainstmalfeasance,misfeasance,ornonfeasanceonthepartofEmployee;and(4)toprovideaprocedureforterminatingEmployee'sservicesatsuchtimeashemaybeunablefullytodischargehisdutiesduetodisabilityorwhenEmployermayotherwisedesiretoterminatehisemploy.D.EmployeedesirestoacceptemploymentasCityManager.
AGREEMENT
DuringtheTerm(ashereinafterdefined),theEmployeeshallperform(a)thedutiesofCityManager,assuchdutiesareprescribedbytheLakeElsinoreMunicipalCode,asthesamenowexistsorasitmaybeamendedsubsequently,andallpoliciesadoptedpursuantthereto;(b)thedutiesofExecutiveDirector;and(c)suchotherdutiesastheCityCouncilortheAgencyBoardmaylawfullyassigntotheEmployee.2.Terma.ThetermofthisAgreement(the"Term")shallcommenceontheEffectiveDateandrununtilFebruary29,2008.b.EmployeeshallremainintheexclusiveemployofEmployerthroughouttheTerm,exceptasprovidedinSections3and4.Theterm"employed"shallnotbeconstruedtoincludeoccasionalteaching,writing,orconsultingperformedonemployee'stimeoff.c.Attherequestofeitherparty,theCityCouncilandEmployeemaymeetandconfertodiscusstheextensionoftheTermatleastsix(6)monthspriortoFebruary29,2008.

3.TerminationorRemovalbyEmployera.NothinginthisAgreementshallprevent,limitorotherwiseinterferewiththerightoftheCityCounciltoterminateorremovetheEmployeeasCityManageratanytime,subjectonlytotheprovisionssetforthherein.b.
In
theeventEmployeeisterminatedbytheCityCouncilpriortotheexpirationoftheTerm,Employershallprovidethelesserof(i)sixmonthssalaryatthethencurrentrateofpayandEmployeragreestoprovidecontinuedhealthbenefits(medical,dental,vision)forsixmonthsthereafter;or(ii)salarybasedonthenumber

fmonthsremainingintheTermatthethencurrentrateofpayandEmployeragreestoprovidecontinuedhealthbenefits(medical,dental,vision)forthatsamenumberofmonths.TheseveranceconsistingofsalaryandanyaccruedleavetimeasprovidedinSection7shallbepaidinalumpsumunlessotherwiseagreedtobytheEmployerandtheEmployee.c.ThedecisiontoterminateornotrenewtheAgreementshallbemadeinclosedsessionandconfirmedinapublicmeeting.
In
recognitionofEmployee'sprofessionalstatusandintegrity,EmployeeandtheCityCouncilshallprepareajointpublicstatementtobemadebytheCityCouncilatthepublicmeetingwhenterminationisconfirmed.d.EmployeemaychoosetoresignhisofficeinsteadofbeingterminatedifadecisionbytheCityCounciltoterminatehasbeenmadeinclosedsession.
In
suchanevent,thepublicannouncementasprovidedforinSection3,paragraphcwillnoteEmployeehasresignedandtheprovisionSection3,paragraphbremainsapplicable.e.
In
theeventthatterminationistheresultofanillegalactbyEmployee,includingbutnotlimitedtotheactsdescribedbelow,theprovisionsofSection3,paragraphsb,canddshallnotbeapplicable,unlessotherwisedeterminedbytheCityCouncil:
(1)
malfeasance,dishonestyforpersonalgain,ormoralturpitude,willfulorcorruptmisconductorconvictionofanyfelony;or(2)willful1ycausingdamagetopublicpropertyorwillfullywastingpublicsupplies;or(3)specificactsorconductwhichbringscandalordisreputetotheCity;or(4)insubordination,whichshallmeanthewillfulrefusaltoobeylawfuldirectionsoftheCityCouncil;or(5)absencewithoutleave.4.EmployeeResignation.a.NothinginthisAgreementshallprevent,limitorotherwiseinterferewiththerightoftheEmployeetoresignatanytimefromhispositionasCityManager,subjectonlytotheprovisionssetforthinSection2,paragraphb,andtherequirementssetforthhereinbelow.b.Unlessotherwiseagreedtobytheparties,intheeventEmployeedesirestovoluntarilyresignhispositionwithEmployerasCityManagerbeforeexpirationoftheTerm,EmployeeshallgiveEmployernotlessthanthreemonthsadvancewrittennotice.

5.DisabilityIfEmployeeispermanentlydisabledorisotherwiseunabletoperformhisdutiesbecauseofsickness,accident,injury,mentalincapacityorhealthforaperiodoffoursuccessiveweeksorfortwentyworkingdaysoverathirtyworkingdayperiod,EmployershallhavetheoptiontoterminatethisAgreement,subjecttotherequirementsofSection3.6.~EmployeragreestopayEmployeeforhisservicesinthecapacityofCityManageranannualbasesalaryequalto$135,000,payableininstallmentsatthesametimeasotheremployeesofEmployer.TheEmployeragreestoincreasethebasesalaryoftheEmployeedependentupontheresultsoftheperformanceevaluationconductedundertheprovisionsofSection10.7.Benefits
In
additiontothesalarysetforthinSection6,Employeeshallreceivebenefitsimmediatelyuponthecommencementofemploymentasfollows:a.Forthefirstninety(90)daysoftheTermofthisAgreementoruntilaDirectorofCommunityDevelopmentishired,whicheveroccurssooner,Employeeshallreceivetwoadditionaladministrativeleavedayspermonthtocompensatefortheincreaseinworkdays"i.e.allFridays".b.Retirement(PERS),medicalinsurance(includingspouseanddependentchildrenatnoadditionalcosttoEmployee),Medicare,dentalinsurance(includingspouseanddependentchildrenatnoadditionalcosttoEmployee),visioninsurance(includingspouseanddependentchildrenatnoadditionalcosttoEmployee),long-termdisabilityinsurance,worker'scompensation,vacationbasedonthehighestannualvacationbenefitallowedforCityemployees(22days/year),sickleave(12days/year),adm~nistrativeleave(110hours/year),andholidays(13days/year).c.
In
additiontothestandardlifeinsuranceprovidedtoemployees,CityCouncilshallpurchaseadditionaltermlifeinsurancecoveragesufficienttoequaltwotimesEmployee'sannualsalary.d.Employeeshallcontinuetoutilizethesamevehicle(a2000FordExpedition)asutilizedbyEmployeewhilepreviouslyservingasInterimCityManager.UponadeterminationbytheCityCouncilthatsuchvehicleisnolongerserviceablefortheintendedpurpose,Employeeshallbeprovidedacomparablevehicle,fullyequipped,whichshallbeleasedorownedbytheCityofLakeElsinore.ThevehicleprovidedhereinmaybeusedbyEmployeeforbothbusinessuseandpersonaluseofEmployee.TheCityshallpayallliability,propertydamageandcomprehensiveinsurancecoverageonthevehicle.TheCityalsoshallpayforthepurchase,operation(includingfuelsandlubricants),maintenance,andrepairofthevehicle.e.AtthetimeofleavingCityemployment,Employeemay,atEmployee'soption,takecompensationforvacationaccruedduringallperiodsofemploymentwiththeCity,administrativeleaveaccruedduringallperiodsofemploymentwiththeCity,andsickleaveaccruedpriortoJulyI,2005(hereinaftercollectivelyas"leavetime"):

inasinglelumpsumbasedonEmployer'sthenexistingsalaryrate,or(2)remainonthepayrollfortheperiodoftimeofanyleavetimeuntilall
