DefendantBizJetInternationalSalesandSupport,Inc.("BizJet"),byitsundersignedrepresentatives,pursuanttoauthoritygrantedbyBizlet'sBoardofDirectors,andtheUnitedStatesDepartmentofJustice,CriminalDivision,FraudSection(the"Department"),enterintothisdeferredprosecutionagreement(the"Agreement").ThetermsandconditionsofthisAgreementareasfollows:
CriminalInformationandAcceptanceofResponsibility
1.BizJetacknowledgesandagreesthattheDepartmentwillfiletheattachedone-countcriminalInformationintheUnitedStatesDistrictCourtfortheNorthernDistrictofOklahomachargingBizJetwithconspiracytoviolatethelawsoftheUnitedStates,inviolationof18U.S.C.
§
371,thatis,toviolatetheanti-briberyprovisionsoftheForeignCorruptPracticesAd("FCPA"),15U.S.C.§78dd-2.Insodoing,BizJet:(a)knowinglywaivesitsrighttoindictmentonthischarge,aswellasallrightstoaspeedytrialpursuanttotheSixthAmendmenttotheUnitedStatesConstitution,Title18,UnitedStatesCode,Section3161,andFederalRuleofCriminalProcedure48(b);and(b)knowinglywaivesanyobjectionwithrespecttovenueand
 
consentstothefilingoftheInformation,asprovidedunderthetermsofthisAgreement,
in
theUnitedStatesDistrictCourtfortheNorthernDistrictofOklahoma.2.BizJetadmits,accepts,andacknowledgesthatitisresponsiblefortheactsofitsofficers,directors,employees,andagentsaschargedintheInformation,andassetforthintheStatementofFactsattachedheretoasAttachmentAandincorporatedbyreferenceintothisAgreement,andthattheallegationsdescribedintheInformationandthefactsdescribedinAttachmentAaretrueandaccurate.ShouldtheDepartmentpursuetheprosecutionthatisdeferredbythisAgreement,BizJetagreesthatitwillneithercontesttheadmissibilityofnorcontradicttheStatementofFactsinanysuchproceeding,includinganyguiltypleaorsentencingproceeding.
TermoftheAgreement
3.ThisAgreementiseffectiveforaperiodbeginningonthedateonwhichtheInformationisfiledandendingthree(3)yearsandseven(7)calendardaysfromthatdate(the"Term").However,BizJetagreesthat,intheeventthattheDepartmentdetermines,initssolediscretion,thatBizJethasknowinglyviolatedanyprovisionofthisAgreement,anextensionorextensionsofthetermoftheAgreementmaybeimposedbytheDepartment,initssolediscretion,foruptoatotaladditionaltimeperiodofoneyear,withoutprejudicetotheDepartment'srighttoproceedasprovidedinParagraphs13-16below.AnyextensionoftheAgreementextendsalltermsofthisAgreement,includingthetermsofthereportingrequirementunderParagraph10,foranequivalentperiod.Conversely,intheeventtheDepartmentfinds,initssolediscretion,thatthereexistsachangeincircumstancessufficienttoeliminatetheneedforthereportingrequirementinParagraph10,andthattheotherprovisionsofthisAgreementhavebeensatisfied,theTermoftheAgreementmaybeterminatedearly.
 
RelevantConsiderations
4.TheDepartmententersintothisAgreementbasedontheindividualfactsandcircumstancespresentedbythiscaseandBizJet.Amongthefactsconsideredwerethefollowing:(a)followingdiscoveryoftheFepAviolationsduringthecourseofaninternalauditoftheimplementationofenhancedcompliancerelatedtothird-partyconsultants,BizJetinitiatedaninternalinvestigationandvoluntarilydisclosedtotheDepartmentthemisconductdescribedintheInformationandStatementofFacts;(b)BizJet'scooperationhasbeenextraordinary,includingconductinganextensiveinternalinvestigation,voluntarilymakingU.S.andforeignemployeesavailableforinterviews,andcollecting,analyzing,andorganizingvoluminousevidenceandinformationfortheDepartment;(c)BizJethasengagedinextensiveremediation,includingterminatingtheofficersandemployeesresponsibleforthecorruptpayments,enhancingitsduediligenceprotocolforthird-partyagentsandconsultants,andinstitutingheightenedreviewofproposalsandothertransactionaldocumentsforallBizJetcontracts;(d)BizJethascommittedtocontinuetoenhanceitscomplianceprogramandinternalcontrols,includingensuringthatitscomplianceprogramsatisfiestheminimumelementssetforthinAttachmentCtothisInformation;and(e)BizJethasagreedtocontinuetocooperatewiththeDepartmentinanyongoinginvestigationoftheconductofBizJetanditsofficers,directors,employees,agents,andconsultantsrelatingtoviolationsoftheFCPAasprovidedinParagraph5below.5.BizJetshallcontinuetocooperatefullywiththeDepartmentinanyandallmattersrelatingtocorruptpayments.AttherequestoftheDepartment,BizJetshallalsocooperatefullywithotherdomesticorforeignlawenforcementauthoritiesandagencies,aswellastheMultilateralDevelopmentBanks("MDBs"),inanyinvestigationofBizJet,itsparentcompanyor
