TheDistrictandPortarebothbasedinManchester,Washington.ThePortisrelativelysmallinsize.
It
operatestheboatlaunchfacilityinManchesterandfacilitiesancillarythereto.
It
hasnofullorparttimeemployees.TheDistrictownsandoperatesapublicwatersystemthatsuppliespotablewatertotheresidentslocatedwithinitsjurisdictionallimits.TheDistrictemploysbothadministrativeandservice/maintenancepersonnel.ItsadministrativepersonnelareresponsiblefordealingwiththepublicandprocessingallDistrictadministrativetaskssuchasitsaccountingrequirements,dealingwithitscustomers,andmaintainingitsaccountingandotherrecords.Itsservice/maintenancepersonnelareresponsible,onadailybasis,formaintaining,repairing,improving,andmonitoringitswatersystem.Previously,thePortapproachedtheDistricttoaiditwithitsadministrativeandservicetasks.ThepartiesmemorializedtheiragreementregardingtheDistrictprovidingaccounting/administrativetypeservicestothePortinthatcertainagreemententitled"AgreementforAccountingServicesBetweenManchesterWaterDistrict
&
PortofManchester"datedthe14thdayofJuly,2006,andhereinaftersimplyreferredtoas"AccountingAgreement".Exceptasmodifiedherein,thetermsoftheAccountingAgreementareherebyratified.ThePortandDistrictalsopreviouslyenteredintoaverbalagreementwherebytheDistrictagreed,onbehalfofthePort,toinspectitsfacilitiesonaperiodicbasis(usuallyweekly)andtomakeusualandordinaryrepairsofarelativelyminornaturetothosefacilitiesasitdeemednecessary.Attheconclusionofeachmonth,theDistrictwouldthenbillthePortfortheservicesprovided.Anyrepair,maintenanceorupgradingworktoPortfacilitiesofasubstantialnature,orthatdidnotinvolve''usualandordinary"repairsormaintenance,requiredPortactionconcerningeachsaidmatter.ThepartieshavedeterminedthroughexperiencethatefficiencieshaveresultedbenefittingbothpartiesbyhavingtheDistrictprovidetheservicesidentifiedhereinforthePort.Thisisdueinpartbyhavingthetwoparties'facilitiesincloseproximitytooneanother,bytheDistrictprovidingitsmaintenance/inspection/repairworkforthePortatitsnormallaborratesandnormalmaterialrates.Forinstance,in2008,MarineFloatsofTacomareplacedadockhingepinforthePortatanexpensetothePortof$203.63;
in
August,2011,theDistrictperformedthissameservicetothePortatatotalexpensetothePortof$45.74.Previously,onaverage;theDistricthasbilledthePortapproximately$490.00permonthfortheaccounting/administrationservicesitprovidesforthePort,andapproximately$338.00permonthforitsPortfacilityinspection,repair
and
maintenancework.ThepurposeofthisAgreementistomemorializeinwritingthe
prior
verbalunderstandingreachedbetweenthePortandDistrictregardingtheinspection,repairandmaintenanceworkperformedbytheDistrictonbehalfofthePort.

NOW,THEREFORE,
in
consideration
oftheforegoingrecitals,andthepromisesandcovenantsofthepartieshereinaftersetforth,theyagreeasfollows:
1.DistrictServicesProvided
to
Port.
On
aperiodicbasis(generallyweekly)Districtmaintenance/servicestaffshallinspectPortfacilitiesandthereaftermakerepairstheretoorengageinmaintenance,ofarelativelyminornatureasitdeemsnecessarytoensurethePortfacilitiesaremaintainedinsafeandgoodrepair.TheDistrict,however,shallnotproviderepairormaintenanceservicestoPortfacilitiesofasubstantialoratypicalnature;insuchcases,Portactionshallberequiredtoeffectuatethenecessarywork.TheDistrict,however,shallusereasonableeffortstoalertthePorttoanysubstantialoratypicalmattersrequiringPortattention.TheDistrictwilluseitsbesteffortstoattendtothedemandsoftheDistrictandPortalltimes;itisunderstood,however,inthoseeventswhentheDistrictmustprioritize,DistrictworkandthedemandsoftheDistrictwilltakepriorityoverPortworkatalltimes.NOTWITHSTANDINGANYTHINGTOTHECONTRARYHEREIN,however,ifthereasonabledemandsoftheDistrictaresuchthatitcannotspareanyofitspersonnelatanygiventimetoattendtotheneedsofthePort,suchPortneedsshallbeheldinabeyanceuntilsuchtimeastheDistrict'sneedshavebeenmettotheDistrict'ssatisfaction,anditisabletoassigntherequiredpersonneltoattendtoPortneedsonceagain;duringallsuchtimeswhentheDistrictisnottending
to
Portneeds,theDistrictshallnotberesponsibleinanyrespectforanydamagethatmaybefallPortproperty,oranyliabilitytowhichthePortmaybesubjectedbecausetheDistricthasnotundertakenanywork/servicesonbehalfofthePort.TheprovisionsofthisparagraphshallbeliberallyconstruedinfavoroftheDistrict.2.Billing
Rate.
TheDistrictshallkeeptrackofthetimeitspersonnelspendprovidinginspection,maintenanceandrepairworkforthePort.Thistimeshallbebilledattherateof$36.00perhourforservicesperformedduringnormalDistrictworkinghoursand$54.00perhourforanytimespentclassifiedasovertimebytheDistrict.TheseratesarethenormallaborratestheDistrictchargesthirdpartieswhenitprovidesservicesontheirbehalf,andmayhereafterbeamendedfromtimetotimeastheDistrict'slaborrateschange.AstheDistrict'slaborrateschange,itshallsonotifythePort.TheamounttheDistrictchargesthePortformaterials!suppliesusedinitsworkonbehalfofthePortshallbetheactualcosttotheDistrictofsuchmaterials/supplies.SoonaftertheconclusionofeachmonthforwhichtheDistrictprovidesservicestothePorthereunder,theDistrictshallsendanitemizedbillingofsuchservicestothePortwhichbillingshallbepaidwithintwenty(20)daysreceiptthereofbythePort.
