BERTHRENTALAGREEMENT
Bysigningthefollowingagreement,OwnerrepresentsandwarrantstotheSanMateoCountyHarborDistrictthattheforegoinginformationiscompleteandaccurate,thatnootherpartyhasanylegalright,titleorinterestinortotheVessel,andthatOwnershallgivetheSanMateoCountyHarborDistrictwrittennoticeofanychangesintheaboveinformationimmediatelyupontheoccurrenceofanysuchchange.IfOwnerconsistsofmorethanoneperson,thentheobligationsofeachsaidpersonasOwner,includingbutnotlimitedtotheindemnificationprovisionsofParagraph6,shallbejointandseveral.NOW,THEREFORE,thepartiesherebyagreeasfollows:THISAGREEMENT,enteredintothisdayof(year),byandbetween--,-(hereinafter"Owner")andtheSan

MateoCountyHarborDistrict(hereinafter"District")forrentalofaberthatPillarPointHarboronamonthtomonthbasiscommencingonthedayof,(year),andatarateasprescribedbytheSanMateoCountyHarborDistrictRatesandFees

Schedule,payableinadvanceonthefirstdayofeachandeverymonth,onthefollowingtermsandconditions:1.GRANTOFBERTHRENTAL:TheDistrictherebyrentstoOwner,andtoOwneronly,andgrantshim/herpermissionfortheuseoftheassignedberthingspacedescribedbelow,andcontinuingthereafteruntilterminatedpursuanttotheprovisionsofthisAgreement,forthepurposeofberthingthedesiqnatsdvesselasdescribedabove,solongasOwnercomplieswitheachandeverytermandconditionofthisagreementandallresolutionsandordinancesoftheDistrict,andallotherapplicablelaws.DuringthetermofthisAgreement,Ownershallalsohavethenon-exclusiverighttouseinconjunctionwithotherauthorizedmembersofthepublic,adjacentfloats,docks,gangways,lighting,freshwater,poweroutlets,vehicleparkingspaces,andrestroomsownedbyDistrict,subjecttosuchreasonablechargesforusinganyoneormoreofthesameasDistrictmaychosetoassessfromtimetotime.ASSIGNEDBERTH:DOCK_BERTH_2.CHARGES:a.ThemonthlyberthingchargesandlatechargeshavebeenadoptedbyresolutionasapartoftheDistrictRatesandFeesScheduleforDistrictFacilities.Annually,andeffectiveonJuly1ofeachyear,saidRatesandFeesaresubjecttoadjustmentbyDistrictresolution,andacopyofsaidfeesshallbemailedtoeachOwner.b.Uponexecutionofthisagreementthefirstmonth'sberthfeesshallbepaidinadvance,plusasecurity.deposit,intheamountsasprescribedbyDistrictRatesandFeesSchedule.Thefirstmonth'sberthingchargesmaybeproratedforthedaysthevesselisactuallyoccupyingtheassignedberth.Thereafterpaymentoftherecurringmonthlychargesshallbedueandpayableinadvanceonthefirstdayofeachandeverymonth.c.ThelatechargesasadoptedwithDistrictRatesandFeesScheduleshallbeassessedforanyfeesunderthisagreementthatarenotpaidwithinten(10)daysofthedatedue.d.InadditiontoanyotherrightsoftheDistrict,iffeesaredelinquent,theDistrictshalltakeactionsasauthorizedanddirectedbyresolutionsoftheDistrict,theStateofCalifornia,andanyotherapplicableregulatoryagencytorecoversaiddelinquentfees.

3.SECURITYDEPOSIT:OwneruponexecutionofthisAgreement,shalldepositwiththeDistricttheamountasrequiredbytheDistrictRateandFeeScheduleasadepositforthefaithfulperformanceofOwner'sobligationshereunder.District,atitssoleoption,andwithoutlimitinginanywayanyotherrightsorremediesitmayhaveunderthisAgreementoratlaw,mayclaimandapplyfromtimetotimesuchamountsofsaiddepositasarereasonablynecessaryinDistrict'sjudgmenttoremedyOwner'sdefaultsinthepaymentoffeesandotherchargeshereunder,torepairdamagestotheMarina(overandabovenormalwearandtear)causedbyOwnerorOwner'sfamilyandguests,andtopayanyreasonablecosts,expensesandattorneys'feesincurredbyDistrictinconnectionwithanybreachoftheAgreementbyOwner.Intheeventsaidsecuritydepositoranyportionthereofshallbeappliedasprovidedherein,Ownershallwithinten(10)daysafterwrittenrequestfromDistrictrestorethedeposittoitsoriginalamount.Additionally,duringtheoccasionalchangestotheDistrictRatesandFeesScheduleasstipulatedabove,depositmayrequireadjustmentbyOwnerorDistrict.UponterminationoftheAgreement,anyremainingportionofsaiddepositshallbereturnedtoOwnerassoonasDistricthasregainedpossessionoftheBerthandisabletodeterminetheamountofthedeposititmayclaimhereunder.DistrictshallhavetherighttocomminglethesecuritydepositwithotherfundsoftheDistrictandshallnotbeobligatedtopayOwnerinterestonthesecuritydeposit.Ownermaynot,withoutDistrict'sconsent,useanyportionofthesecuritydepositaspaymentofOwner'slastmonth'sorotherberthfeesoranyothercharges.4.RENTAL/LAWS:DistrictdesirestorentsaidberthingspacetoOwner,andOwnerdesirestorentsaidberthingspacefromDistrictinaccordancewithallcovenantsandconditionssetforthherein,andallapplicableordinancesandresolutionsoftheDistrict,theStateofCalifornia,andanyotherapplicableregulatoryagency.5.ADDRESSESINOTICES:AnynoticeorcommunicationgivenpursuanttothisAgreementshallbegiveninwritingandmaybedeliveredpersonallyorbesentbyfirstclassmail,postageprepaid,addressedtothepartytowhomgivenatitsaddressasshownhereinaboveanddepositedintheUnitedStatesmailinCalifornia.Eitherpartyheretoshallgiveimmediatenotificationofanychangestomailingaddress,physicaladdress,and/orphonenumbersaspresentedintheoriginalapplicationtotheotherpartyhereto.6.HOLDHARMLESS

INDEMNIFICATION:a)WaiverofClaims:IncidenttotheoperationsoftheHarbor,Districthasprovidedcertainfencingandgates,floodlighting,andaharborpatrolmanforprotectionofpersonsusingtheHarborandtheirpersonalproperty.Nonetheless,becauseofthemanyfeetofunfencedandexposedshorelineoftheHarborandbecauseofthemanyusersoftheHarborwithvariedboatingexperience,itisfinanciallyinfeasiblefortheDistricttocompletelyprotectboatsberthedintheHarborfromdamageinflictedbyotherpersons,ortoprotectthesepersonsusingtheHarborfromphysicalharmcausedbythenegligenceorwillfulmisconductofotherpersonswithintheHarbor.Inacknowledgmentoftheforegoing,OwnerherebywaivesanyandallclaimsofliabilityagainstDistrict,includingbutnotlimitedtoitsBoardofCommissioners,agentsandemployees(theDistrictanditssubordinatesareallhereinaftercollectivelyreferredtoasthe"Indemnitees"),foranypersonalinjurytoordeathofanyOwnerand/oranymemberofOwner'sfamily,and/orOwner'sguests,agents,oremployees,orfordamagetoordestructionofanyproperty,including,withoutlimitation,theVessel,occurringonorabouttheHarbor,arisingfromanycausewhatsoeverotherthanthesolegrossandactivenegligenceorwillfulmisconductofDistrict.Suchwaivershallextendto,butnotbelimitedto,damageorlossfromfire,theft,vandalism,maliciousmischief,orcollision,sustainedbyanyboat,automobileorotherpersonalpropertybelongingtoOwnerpermanentlytotemporarilymaintained,stored,berthed,parked,oroperatedinorabouttheHarbor,including,butnotlimitedtoitsfloats,piers,parkinglots,smallboatlaunchingramp,andfuelfloat.b)Indemnification:Inadditiontotheforegoing,OwnershallindemnifyandholdharmlesstheIndemniteesfromandagainstanyandalldamage,lossandexpense,includingbutnotlimitedtoattorneys'feesandcostsandexpensesoflitigation,andshallathissolecost,upontherequestoftheDistrict,defendallsuitsbroughtagainstalloranyoftheIndemnitees,resultingfromorarisingoutofanyactoromissionofOwneroritsagents,employees,invitees,oranyoneelseforwhomOwnermaybelegallyresponsible,occurringonorabouttheHarbor,includingbutnotlimitedtothebreachofthisAgreementortheDistrictOrdinancesbyanyofsuchparties.
