ADMINISTRATIVESERVICESAGREEMENT
DALLASINDEPENDENTSCHOOLDISTRICTANDF.MIKEMILESThisAgreementismadethis26thdayofApril,2012,byandbetweenDallasIndependentSchoolDistrict("District"),andFloydMikeMiles(the"Administrator").WHEREAS,theAdministratorwillprovideadministrativeservicestoDistrictintheareasofadministrationandoperation;WHEREAS,DistrictdesiresthattheAdministratorprovideadministrativeservicestoDistrictinareasofadministrationandoperations;andWHEREAS,theAdministratordesirestoprovidesuchadministrativeservicestoDistrictunderthetermsandconditionsofthisAgreement;NOWTHEREFORE,inconsiderationofthemutualpromisescontainedinthisAgreementandothergoodandvaluableconsideration,thereceiptandsufficiencyofwhichisherebyacknowledged,thePartiesagreeasfollows:

ADMINISTRATIVESERVICES:(a)SubjecttothetermsandconditionsofthisAgreement,DistrictherebyretainsAdministratortoperformtheadministrativeservicesspecificallysetforthinthisAgreement(hereafterreferredtoasthe"Services").ServicesunderthisAgreementmaybeamendedinwritingfromtimetotime,andAdministratoragrees,subjecttothetermsandconditionsofthisAgreement,torendersuchServicesduringthetermofthisAgreement.AdministratorshallrenderserviceshereunderatsuchtimesandplacesasshallbemutuallyagreedbyDistrictandAdministrator.(b)ItisunderstoodthatthepurposeofthisAdministratorAgreementistoprovideadministrativeservicestoDallasIndependentSchoolDistrict'sBoardofTrusteesandDallasIndependentSchoolDistrictduringtheperiodofApril27,2012untilJune30,2012.Districtwil.lprovideAdministratorwithaccesstoDistrict'sinformation,employeesandfacilities,asnecessarytorespondtotherequestofDistrict.AdministratorshallattendmeetingsasrequestedanddirectedbyDallasIndependentSchoolDistrict'sBoardofTrustees.ItisexpresslyunderstoodthatAdministratorhascontractualobligationstoDistrictasdescribedbythetermsofthisAgreement;thatAdministrator'sroleistoprocureandassembleinformationasrequestedbyDistrict'sBoardofTrusteesandtimelyreportontheresultsofallinformationobtainedbyAdministrator.2.COMPENSATIONANDREIMBURSEMENT:InconsiderationoftheservicestobeprovidedbyAdministratortoDistricthereunder,DistrictshallpaytoAdministrator$1,000.00perdayforadministrativeservicesasspecificallydescribedherein.Inaddition,theDistrictshallreimburseAdministratorforreasonabletravelandotherexpensesapprovedandincurredbyAdministratorinconnectionwithperformingtheServices,inaccordancewithBoardPolicyDEELocalandDEERegulation.DistrictagreestopaytheactualandincidentalcostsincurredbyAdministratorfortravel.Suchcostscaninclude,butnotlimitedto,airlinetickets,hotelaccommodations,meals,rentalcarandotherexpenses

incurredintheperformanceofbusinessofDistrict.Toobtainreimbursement,AdministratorshallsubmittothePresidentoftheBoard,orhisorherdesignee,aninvoicedescribingservicesrenderedandexpensesincurredunderthisAgreement.Administratorshallcomplywithallpolicies,proceduresanddocumentationrequirementsinaccordancewithDistrict'sBoardPoliciesandestablishprocedures,whichshallbesubjecttoreviewbyDistrict'sindependentauditors.DistrictshallpayAdministratorinvoicedamountswithinfifteen(15)daysafterthedateofinvoice.
3.INDEPENDENTCONTRACTORSTATUS:
ThePartiesagreethatthisAgreementcreatesanindependentcontractorrelationship,notanemploymentrelationship.TheAdministratoracknowledgesandagreesthatDistrictwillnotprovidetheAdministratorwithanyemployeebenefits,includingwithoutlimitationanysocialsecurity,unemployment,medical,orpensionpayments,andthatincometaxwithholdingisAdministrator'sresponsibility.Inaddition,thePartiesacknowledgethatneitherpartyhas,orshallbedeemedtohave,theauthoritytobindtheotherparty.
4.INDEMNIFICATION:
NotwithstandinganyothertermofthisAgreement,Administratorshallindemnify,defendandholdharmlessDistrict,itstrustees,officers,administrators,staff,employees,studentsandagentsandtheirrespectivesuccessors,heirsandassigns(the"Indemnitees"),.againstanyclaim,liability,cost,damage,deficiency,loss,expenseorobligationofanykindornature(includingwithoutlimitationreasonableattorneys'feesandothercostsandexpensesoflitigation)incurredbyorimposedupontheIndemniteesoranyoneoftheminconnectionwithanyclaims,suits,actions,demandsorjudgmentsarisingoutofthisAgreement(including,butnotlimitedto,actionsintheformoftortorstrictliability).
5.INTELLECTUALPROPERTY:
AdministratorunderstandsandacknowledgesthatDistrictwillbeprovidingaccesstoproprietaryandvaluableinformationthatAdministratormightotherwisenotreceive.Inaddition,AdministratoralsounderstandthatshouldAdministrator,inthecourseofprovidingServices,inventorparticipateininventingmodificationsorimprovementstoDistricttechnology,Districtreasonablyseekstosecuresuchimprovementsforitsownuseandpractice.
6.CONFIDENTIAL.INFORMATION:
(a)ThePartiesacknowledgethatinconnectionwithAdministrator'sServices,DistrictmaydisclosetoAdministratorconfidentialandproprietaryinformationandtradesecretsofDistrict,andthatAdministratormayalsocreatesuchinformationwithinthescopeandinthecourseofperformingtheServices(hereinafter,subjecttotheexceptionsbelow,"DistrictConfidentialInformation").Suchinformationmaytaketheformof,forexample:dataconcerningscientificdiscoveriesmadebyDistrict;District'sknow-how;District'scurriculumandinstructionalstrategiesandprocesses;District'smarketingplans;dataregardingDistrict'spersonnelandhumanresources;District'spast,presentandfuturebusinessplans;orDistrict'sstrategyfororstatusofregulatoryapproval.Notwithstandingtheabove,DistrictacknowledgesandagreesthatnoneoftheinformationdescribedinthisParagraph6(exceptConfidentialInformationcreatedbyAdministrator)willbeconsideredDistrictConfidentialInformationforpurposesofthisAgreement,unlesstheinformationisdisclosedtoAdministratorbyDistrictinwritingandis

clearlymarkedasconfidential,or,whereverballydisclosedtoAdministratorbyDistrict,isfollowedwithinthirty(30)daysofsuchverbaldisclosurebyawritingfromDistrictconfirmingsuchdisclosureandindicatingthatsuchdisclosureisconfidential.(b)SubjecttothetermsandconditionsofthisAgreement,AdministratorherebyagreesthatafterterminationthisAgreement:(i)Administratorshallnotpubliclydivulge,disseminate,publishorotherwisediscloseanyDistrictConfidentialInformationwithouttheDistrict'spriorwrittenconsent,whichconsentshallnotbeunreasonablywithheld;and(ii)AdministratorshallnotuseanysuchDistrictConfidentialInformationforanypurposesotherthanconsultationwiththeDistrict.Notwithstandingtheabove,DistrictandAdministratoracknowledgeandagreethattheobligationssetoutinthisParagraph6shallnotapplytoanyportionofDistrictConfidentialInformationwhich:(i)wasatthetimeofdisclosuretoAdministratorpartofthepublicdomainbypublicationorotherwise;or(ii)becamepartofthepublicdomainafterdisclosuretoAdministratorbypublicationorotherwise,exceptbybreachofthisAgreement;or(iii)wasalreadyproperlyandlawfullyinAdministrator'spossessionatthetimeitwasreceivedfromDistrict;or(iv)wasorislawfullyreceivedbyAdministratorfromathirdpartywhowasundernoobligationofconfidentialitywithrespectthereto;or(v)wasorisindependentlydevelopedbyAdministratorwithoutreferencetoDistrictConfidentialInformation;or(vi)isrequiredtobedisclosedbylaw,regulationorjudicialoradministrativeprocess.(c)NotwithstandinganyothertermofthisAgreement,DistrictagreesthatitshallnotdisclosetoAdministratoranyinformationwhichisDistrictConfidentialInformation:
(I)
excepttotheextentnecessaryforAdministratortofulfillAdministrator'sobligationstoDistrictunderthisAgreement;or(ii)unlessAdministratorhasagreedinwritingtoacceptsuchdisclosure.AllotherinformationandcommunicationsbetweenDistrictandAdministratorshallbedeemedtobeprovidedtoAdministratorbyDistrictonanon-confidentialbasis.DistrictalsoagreesthatAdministratormaysharethetermsofthisAgreementonaconfidentialbasiswithhisattorney.(d)UponterminationofthisAgreement,oranyotherterminationofAdministrator'sservicesforDistrict,allrecords,drawings,notebooksandotherdocumentspertainingtoanyConfidentialInformationofDistrict,whetherpreparedbyAdministratororothers,andanymaterial,specimensorotherdevicesownedbyDistricttheninAdministrator'spossession,andallcopiesofanydocuments,shallbereturnedtoDistrictwithinfive(5)businessdaysafterterminationofthisAgreement.
7.TERM:
(a)ThisAgreementshallremainineffectthroughJune30,2012commencingonthedatefirstwrittenabove,unlesssoonerterminatedashereinafterprovided,orunlessextendedbyagreementoftheParties.
