NATUREOFTHEACTION
1.ThisisanactiontoenjoinDefendantsfromremovingandtherebydestroyingaworkofartbyAliceAycock,inordertomaintainthestatusquopendinganarbitrationbetweenthepartieswhichwascommencedtoaddressDefendants'breachoftheparties'contractandtheirviolationoftheVisualArtistsRightsActof1990,17U.S.C.§106A("VARA").PlaintiffsservedtheirarbitrationdemandonDefendantsonApril23,2012and

anticipatethatthearbitrationwillbeheardinthisDistrict.2.PlaintiffAliceAycockisaninternationallyrecognizedsculptorwhoresidesinthisDistrict.In1998,DefendantTOGAcommissionedAycocktocreateasculpturefortheTerminalOnebuildingatJohnF.KennedyInternationalAirport("JFK"),pursuanttoanArtworkAgreement,datedFebruary3,1998(the"Contract").3.Specifically,TOGAaskedAycocktocreateasculptureforthesecondfloorofTerminalOne'srotundathatwouldbothenhancetheexperienceofpassengersaswellasaddressasecurityflawintheterminal'sarchitecturaldesign.Byoccupyinganopenspacebetweenthefirstandsecondlevelsoftherotunda,thesculpturewouldpreventobjectsfrompassingfromthepublicsecondfloorabovetheopeningtothesecurity-screenedfirstfloorbelowtheopening.4.Aycockcreatedandinstalledthissculpture,entitled

atJFK.

isaworkofrecognizedstature,havingbeenfeaturedinseveral
PlaintiffsservedanarbitrationdemandonDefendantsonApril23,2012,attachedheretoasExhibitA.

prominentarticlesandpublicationsandhavingbeencelebratedasanexampleofpublicartinairports.Theworkhasbeendescribedbycommentatorsas"anoptimisticvisionofwhatairtravelmightleadto,""abrilliantexampleofartfortheairportandthetwenty-firstcenturyculturethathasemergedaroundit,"and"nothingshortofavisionarysculpturalmachine."6.Section4.CoftheContractbetweenPlaintiffAYC.,Ltd.andDefendantTOGAspecificallyprovidesthatremovalof
