Purpose InaccordancewiththerecommendationsoftheInstituteofCharteredAccountantsinEnglandandWales(ICAEW),thisdocumentconfirms the terms of our appointment as your accountants and seeks to avoid any misunderstandings of your responsibilities and of our responsibilities. Commitment We are committed to the ethical guidelines of the ICAEW, and will endeavour to adhere to these high standards in the delivery of our servicetoyou. NatureofProfessionalServices ThenatureandtimingofourservicestoyouandyourLimitedCompanywillbeagreedwithyouonanongoingbasis. AntiMoneyLaundering SincewearerequiredtoadheretoAntimoneylaunderinglegislationwemayaskournewclientstoproducecertaindocumentsproving youridentity.Youagreetoprovideallrequesteddocumentationbeforeourprofessionalservicescancommence. LiabilityExclusion Youacknowledgeandacceptthatallaccounts,returnsandotherdocumentsarepreparedbyusonthebasisthatinformationisprovidedby apersondulyauthorisedbyyourcompany.Youacknowledgethatweshallnotbeliableforlossordamagesustainedorsufferedbyyou,the company or any third party as a result of any error in a return, account or document produced on the basis of incorrect information provided. Fees Ourfeesarecalculatedbasedonthetimespentonyouraffairs,bysuitablyskilledpeopleandalsoincludethetimeneededtoreviewyour appropriatesourcedocumentation.Insomecaseswewillprovideaguidepriceforaparticularservicebasedonanestimateofthetimeand skillrequired.Unlessotherwiseagreed,ourfeeswillbechargedseparatelyforeachmainclassofservice,andwillbebilleduponcompletion oftherelevantservice. Werequestthatourclientssetupamonthlydirectdebittopayaproportionoftheirannualfee.Wherefeesarenotpaidbymonthlydirect debit, we will usually require payment prior to commencement of the relevant work. Interest will be charged on all overdue debts in accordancewiththeLatePaymentofCommercialDebts(Interest)Act1998. RecordOwnership In the event of nonpayment of our fees for professional services rendered by us, we may exercise a particular right of lien over the documentation,booksandrecordsinourpossessionandwithholdthedocumentsuntilsuchtimeaspaymentofourinvoiceisreceivedin full. ThirdParties All accounts, statements and reports prepared by us are for the exclusive internal use of your business or to meet specific statutory responsibilities.Theyshouldnotbeshowntoanyotherpartywithoutpriorwrittenconsent.Nothirdpartyshallacquireanyrightspursuant toouragreementtoprovideprofessionalservices. _____________________________________________________________________________________________________________ AgreementofTerms Oncethisengagementisagreed,itwillremaineffectivefromthedateofsignatureuntilitisreplaced.Eitherpartytothisengagementmay vary or terminate it at any time without penalty.
