UDagreestoprovidethefollowingservicestoLSU:(A)UDILIGENCETM.UDwillprovideLSDwithUDiligence™servicesandanon-exclusivelicensetousethesameduringandinaccordancewiththisAgreement,toinclude:ii,CreationofoneLSUportalandeighteen(18)sub-portalsontheUDwebsitewhichcontainsalistingofallnameslIPaddressesofthestudent-athletesandstudent-employees'MySpace,FacebookandTwitterpagesbeingmonitored,alistofapproved
terms
forwhichthesearchesarebeingconductedandadatabasecontainingthehistoryoftheresultsfromthesearches.LSUshallbegiveninternetaccesstologintotheLSDporta]withoutadditionalfees.iii.AlertssentviaemailtotheresponsibleLSDadministrator(s)andthestudent-athleteorstudent-employeeatissue,whentherearematchesbetweenthemonitoredstudent-athletesandstudent-employees'pagesandtheapprovedsearchedterms,LSDisresponsibletoprovidethenamesandemailsofthosereceivingalertsto

LIMITATIONS.i.MonitoringofFacebookpagesrequiresstudent-athletesandstudent-employeestoinstalltheUDiligenceFacebookapplicationontheirFacebookpages.UDwillprovideLSUwithwebpageaddress(URL)hyperlinkandinstructionstoprovidetheirstudent-athletesandstudent-employeestoinstallthisapplication.TheUD

ii.MonitoringofTwitterpagesrequiresstudent-athletesandstudent-employeestoidentifytheirTwitterusemame(s)toLSUforusebyUD.iii.UDcanprovidetheabove-definedUDiligenceserviceonlyifLSUprovidesthelistoforchangestotheestablishedlistofstudent-athletesandstudent-employees'namestobemonitoredatthebeginningofeachsemester.iv.LSDunderstandsthat

LSUunderstandsthatUDforFacebookonlyworkswhenLSUstudent-athletesandstudent-employeesinstalltheUDFacebookapplicationtotheirpagesandforTwitterwhenthestudent-athletesandstudent-employeesprovidetheirusemames.vi.LSDunderstandsthatnotallstudent-athletesandstudent-employeeswillhaveMySpace,Twitterand/orFacebookaccounts,orthattheymayuseassumednames,andthatUDisonlyresponsibletomonitorthosenamesandURLsitisgivenbyLSU,and

isnotresponsibletofind/monitoranymaterialpostedunderassumednamesandURLsornamesandURLsnotprovidedtoUDby
LSU.
vii.Sincetheinformationbeingsearchedispubliclyavailable,UDcannotanddoesnotguaranteethatinformationUDiligencegeneratesandisprovidedbyUDtoLSU
will
notbefoundandpubliclyexposedbyotherspriortoLSUreceivingand/ortakingactionontheinformation.viii.UDiscommittedtoprovidingstatedservices,howevershouldaneventoccurthatisoutsideofUD'scontrol,LSUunderstandsandagreestorelease

fromanyobligationtoprovidefurtherserviceifforanyreasonathirdpmtycausesaninterruptionintheabilityofUDtoaccessanysocialnetwork(s)coveredunderthisAgreement.Insuchanevent,UDshallreturn
any
prepaidannualserviceandlorlicensingfeepaidbyLSUunderParagraph3onaperdiembasisbasedonthenumberofdaysremaininginthecontractyearforwhichtheUDiligenceservicewasnotprovided.(C)TERM.UDwillpromptlyinitiateserviceswithin14daysaftertheEffectiveDate(providedthatLSUsuppliesthenecessarystudentnamesandinformationasrequiredherein)soastopermitUDtooperateUDiligenceforLSUforoneyearfromtheEffectiveDate.LSUshallhavetheoptiontorenewtheAgreementforoneyearontheoneyearanniversaryoftheEffectiveDateandforanadditionalyearonthetwoyearanniversaryoftheEffectiveDate,byprovidingwrittennoticetoUDofitsintenttorenewatleastthirty(30)dayspriortothedateofrenewal.Thereafter,anyrenewalshallbebywritten

agreementoftheparties.Allrenewalsshallbeforaoneyearterm,Theinitialtwo(2)renewals,whichareatLSU'soption,shallincludethesametermsandconditionsofthisAgreement,unlessLSDagreesinwritingtoanyproposedamendment(s).Thereafter,anyrenewalshallincludethesametermsandconditionsofthisAgreementunlessonepartynotifiestheotherpartyinwritingidentifyinganyproposedamendment(s)tothisAgreement(includingfeeincreases)atleastthirty(30)dayspriortothedateofrenewal;saidamendment(s)tobemutuallyagreeduponinwritingfortherenewaltobecomeeffective.COMPENSATIONANDPAYMENT(D)AUTHORIZEDUSE.PursuanttothisAgreement,UDauthorizestheindividualsidentifiedbyLSD,pursuanttoParagraphl.A.toaccesstheUDiligenceportalandreceiveemails.INVOICINGANDPAYMENTPROCEDURES2.FEES.LSUshallpayUDserviceandlicensingfeesof$5,300peryearfortheinitialyearoftheAgreementandanyannualrenewalthereafter.Intheeventofrenewal,theannualserviceandlicensingfeesshallnotbeincreasedpriortoSeptember1,2013.LSUshallpayUDaninitialportalset-upfeeof$2,400;whichamountshallonlybeduefortheinitialyearoftheAgreement.Thus,LSUshallpayUD$7,700fortheinitialyearoftheAgreementand$5,300for

toSeptember1,2013.Thereafter,theannualserviceandlicensingfeesshallbesubjecttonegotiationbytheparties,ThepaymentsshallbedueasoutlinedinParagraphs3and4ofthisAgreement,andUD'sannualinvoiceshallbeissuedbetweenAugust1andSeptember1ofeachcalendaryear.TheseFeesshallbethefullcompensationduefromLSDtoUDfortheperformanceofallthingsnecessaryfor,orincidentalto,operatingUDiligenceasdefinedinParagraphIofthisAgreement.3.INVOICING.UDshallsubmitaninvoicetoLSDoutliningtheFeesasdefinedinParagraph2ofthisAgreement.InvoicingwillbeconsideredcompletewheninvoicesaresubmittedelectronicallytoLSDdescribingtheworkperformed.4.PAYMENT.Paymentshallbeconsideredtimely

5.USEOFLOGOINAME.LSUauthorizes

tousetheLSUlogoonitswebsite,mailersandbrochurestobedisplayedasaclientofUD.Suchauthorizationshallberevoked(withoutanyfurtheractionrequiredbyeitherparty)uponterminationofthisAgreementbyeitherparty.UDshallnotusetheLSUlogoforanypurposeotherthan
