    AMENDMENT TO THE DORIAN M.

    ROTHSCHILD LIVING TRUST, DATED APRIL 27, 1998


    I, Dorian Mayhew Rothschild, of San Rafael, California, hereby amend the Dorian M. Rothschild Living Trust, dated April 27, 1998 (the "Trust") as follows: The following is added to/as Section IV of the Trust: I nominate Redwood National Bank, San Francsico, California as the successor trustee, without bond. Except as expressly modified by this Amendment I approve, ratify and affirm the Trust.
