SectionII:BusinessProposal1.Describethequalificationsoftheproposer.NorthAdamsDevelopmentTrust,Incorporated(hereafterreferredtoas"theNADT")isanot-for-profitorganizationestablishedundertheauspicesofthenot-for-profitPartnershipforNorthAdamstoundertakerealestatedevelopmentforthebettermentofourNorthAdamscommunity.IfawardedthisgroundleaseforHeritagePark,theNADTintendstoexecutethatleasethroughtheformationofanewly-createdfor-profitLLCtoinvestintheredevelopmentandmanagementactivitiesdescribedinthisproposal,workingundercontractandincollaborationwiththenot-for-profitMASSMoCAFoundationsoastoleveragetherealestatedevelopmentexperience,marketingreach,brand,andgoodwillofMASSMoCA.TheNorthAdamsPartnershipwasconceivedasacatalystforcommunityanddowntownredevelopmentefforts,withafocusonpublic/privatepartnerships.MASSMoCAwasconceivedasaculturalandeconomicdevelopmentproject,leveragingart,arts-baseddestinationtourism,andrealestatetogrowjobsanddiversifytheeconomicbaseofNorthAdamsanditssurroundingregion.Sincesigningitsfirstcommercialtenantin1996,MASSMoCA'srealestateoperationhasgrownfromzerotosome135,000SFofleasablespaceatroughly85%occupancy,despitethefragilenationalandregionaleconomies.Aspartofitseconomicredevelopmentmission,MASSMoCAhasdevelopedarangeofcommercialspacesfocusingprimarily,however,onofficetenantsincludingfirmsinlaw,accounting,energymanagement,government,publishing,specialeffects,medicalpracticemanagement,andotherfields.Theboardmembers/officersoftheNADT(BruceGrinnell,MalcolmSmith,andDuncanBrown)arelocalcommunityleaderswithdeepexperienceinorganizationaldevelopment,entrepreneurialventures,nonprofitmanagement,andcommercialpropertymanagementanddealstructuring.ChairmanBruceGrinnellisaNorthAdamsresidentandservesasmanagingpartnerwiththelawfirmofGrinnellPartnersLLPinWilliamstown,andhasservedasalong-standingTrusteeofNorthernBerkshireHealthcare,amongothercommunityaffiliations.MalcolmSmithisanentrepreneurwhofoundedNorthAdams-basedXtendEnergy,subsequentlyacquiredbyConstellationEnergy,whichcontinuestooperatetheunitinNorthAdams;Mr.SmithlivesinWilliamstownandiscurrentlylaunchinganewbusinessintheenergymanagementfield.DuncanBrown,residentofWilliamstown,istheretiredCEOofCedarworks,Inc.,amanufacturerinRockport,ME,andalsoservesasChairmanoftheBoardofTrusteesoftheNorthAdamsSteeplecatsandwasformerlyChairmanoftheBoardofMASSMoCA.

DirectorofMASSMoCAsinceitsfoundingin1987,hasoverseen$65millioninconstruction,includingsubstantialstategrantfundsissuedthroughtheMASSMoCACulturalDevelopmentCommission(amunicipalagencyauthorizedbytheCommonwealthinthe1988ActsandResolves,andappointedbytheMayorofNorthAdams,andapprovedbyCityCouncil)inadditiontoothermajorcapitalgrantsfromthestate'sDepartmentofHousing&CommunityDevelopmentandthefederalDepartmentofHousing&UrbanDevelopment.HeisaMBAgraduateoftheWhartonSchoolofBusiness,withconcentrationsinfinanceandpublicpolicy,andholdsanMAinArtHistoryfromtheUniversityofPennsylvaniaandaBAfromWilliamsCollege,wherehegraduatedwithhonors.

DirectorofRealEstateandCommunityDevelopment,hasworkedatMASSMoCAsince2000.Hedirectsallcommercialrealestatedevelopmentandleasingfor135,000squarefeetofincome-producingspace,whichgeneratesaquarterofthemuseum'sannualoperatingbudget.
ArthurMcConnell
isOperationsSupervisoratMASSMoCA,whereheisresponsibleforbuildingsandgrounds,managing40employeesinthreedepartments.McConnellhasbeenintheconstructionfieldfor40years,with25yearsasanelectricalcontractorand15yearsasownerofadesigncontractingcompanythatworkedonnumerousprojectsinvolvingelectrical,mechanical,andHVACsystems.Hecarriesaconstructionsupervisorlicensewithnorestrictions,aswellasmasterandjourneymanelectricallicenses,asecuritysystemscertification,andahomeimprovementcontractorlicense.2.Describetheproposedredevelopmentforthesite.ExplainwhatbenefitstheCitymayexpecttoobtainfromtheproposeduse,withanemphasisonhowtheproposedredevelopmentrelatestotheCity'sgrowthindustries.

Althoughcurrentlyunderutilizedandinneedofrepairandre-positioningwithintheretailmarket,HeritagePark'spositionatthebaseofoneoftheprimaryaccessroadstoMountGreylock-thehighestpeakinMassachusettsandamajordestinationforoutdoorenthusiasts-togetherwithitsproximitytothedowntownbusinessdistrictandMASSMoCA(connectedtothemuseum'sbackgateonWestMainStreetviaanexistingbutvirtuallyunknownfootbridge),presentsuntappedopportunitiestofindandcreatenewmarkets.Ourre-positioningstrategyfocusesonthreechanges:1)developmentofameaningfulphysicalandprogrammaticlinkbetweentheMarketplaceandMASSMoCAinordertodrawtheoverlappingculturaltouristmarketandoutdoorrecreationmarket,andreinvigoratethecommercialtenantpopulationwithagreaterfocusonbusinessesservingthesemarkets.MASSMoCA'sinvolvementasacontractedproviderofreal
