NATUREOFTHECASE
1.Thisisaclassiccaseofself-dealing,breachoffiduciarydutyandmisappropriationofcharitableassetsbyanofficerofanot-for-profitcorporation.Foryears,DefendantKelliConlin("Conlin")systematicallyabusedherpositionasPresidentofNARALPro-ChoiceNewYork("NARAL-NY")anditscharitableaffiliate,theNationalInstituteforReproductiveHealth(the"NARALFoundation,"andwithNARAL-NY,"NARAL"),toobtainhundredsofthousandsofdollarsinimproperpersonalbenefits.UsingcharitablefundstopayforherpersonalshoppingspreesatBergdorfGoodmanandBameysNewYork,rentalofaHamptonsvacationhome,diningatNewYork'sfinestrestaurants,andscoresofotherpersonalexpenses,Conlinbetrayedthetrustofbothdonorsandthepublicatlarge,andthreatenedtheverycharitablemissionshewaschargedunderNewYorklawtoprotect.2.Inadditiontoherluxuryshoppinganddining,ConlinengineeredfortheNARALFoundationtopayforherpersonalvacationsandtravel,staysinluxury
 
Manhattanhotels,andforherdailylivingexpenses,includinghundredsoftake-outdinnersforherfamily,carservicestotakehertoandfromtheofficeandtoshuttleherchildrenfromtheirhomeinParkSlopeBrooklyntoprivateschoolonManhattan'sUpperWestSide,andeventhesalaryofherchildren'snanny.3.Conlinperpetuatedherschemebyfalsifyingherexpensereportstoconcealthepersonalnatureoftheexpenses,maintainingtightcontrolovertheoutsideconsultantswhowerechargedwithbookkeepingduties,andintimidatinganyNARAL
staff
memberwhoraisedquestionsregardingherexpensehabits.

Afterherabuseswereexposed,ConlinresignedfromallofherNARALpositionsandsubsequentlypledguiltytofalsifyingrecordsrelatingtoherimproperexpenditures.However,she
has
notremediedherviolationsofNewYork'snot-for-profitlaws.TheAttorneyGeneralbringsthisactiontoholdConlinfullyaccountableforhermisconduct.5.Inbringingthisaction,theAttorneyGeneralseeksajudgment:(a)directingConlintoaccountforallfundsobtainedbyherasaresultofherwrongdoing;(b)directingConlintobeheldliableforanylossestotheNARALFoundationwhicharearesultofherwasteandmisappropriation;(c)permanentlyenjoiningConlinfromserving'asanofficer,director,ortrusteeofacharitableorganizationincorporatedorregisteredinNewYork;(d)awardingtheAttorneyGeneralcostsanddisbursements;and(e)grantingsuchotherandfurtherreliefastheCourtdeemsjust.
