(TOH) panel(s) to conduct home testing of certain products and tools, I (as named above) (I or me) agree as follows: I hereby grant TOH the absolute, irrevocable, unrestricted right and permission to include, in whole or in part, my name, likeness, image, testimonials and quotes (collectively, Material) for use in editorial, advertising, publicity and promotional materials created for use by TOH or TOHs advertising partners, in any and all media, including but not limited to TOHs magazine, website, digital media and/or other third party media outlets. I agree that the results of my participation in such panel(s) hereunder, including, without limitation, the Materials (collectively, the Proceeds) constitute a work made for hire (as defined in the US Copyright Act) for TOH and TOH shall be the exclusive owner of all copyright and other rights in and to those Proceeds. If the Proceeds are deemed not to constitute a work made for hire, then to the maximum extent permitted by law, I hereby assign to TOH all my rights in and to the Proceeds (and any extensions, renewals, revivals and reversions thereof). I, on my own behalf, and on behalf of my heirs, assigns, executors and administrators, hereby irrevocably release and hold harmless TOH, its advertising partners, their respective parents, affiliates, and each of their respective officers, directors, agents, employees, representatives and assigns, from and against any and all claims (including, without limitation, any claims for invasion of privacy, violation of the right of publicity, defamation, or for any fees in connection with the use of my Likeness as set forth herein), liabilities, injuries and accidents resulting from, or in any way connected with, my participation in the TOH panel(s). I represent and warrant that I have the right and authority to enter into this Agreement. This release reflects our entire understanding concerning this subject matter, supersedes any prior or contemporaneous agreement with respect to its subject matter, whether written or oral, and may only be changed in writing.
