an Oregon corporation having its principal officesa tO n e Bowerman Drive, Beaverton, Oregon
97005-6453 (hereinafter ·NIKE·).
WITNESSETH
WHEREAS, UNIVERSITY fields and maintains nationally recognized athletic teams in

numerous sports (and retains the coaches and staff in connection therewith) and owns all right, title and interest ina n dt o the names, nicknames includingb u tn o t limitedt o "Ducks," mascots, trademarks, service marks, logographics and/or symbols,a n da n yo t h e r recognized reference to

UNIVERSITYo r its "Intercollegiate Athletic Programs" (as defined below) except the Fighting
(DonaJd)D u c k character licensed fromT h eW a l t Disney Corporation ("Disney");a n d
WHEREAS,N I K E is a sportsa n d fitness company engaged in the manufacture. distribution
and saleo f athletic and athieislire footwear, apparel and retated accessories, and desires to support
UNIVERSITYa n d its 'ntercollegiate athletic programsa s described below;
NOW, TH ERE FORE, in considerationo f the mutual promises,t e r m sa n d conditions set forth
hereinIitIs agreeda s follows:

DEFINITIONS.
As used in this Agreement, the terms set forth below shallb e defineda s follows:

IIUNIVERSITY Marks" shall mean any copyright. trademark, service mark, logo, inSignia, seal, designo r other symbolo r device usedby UNIVERSITY and associated witho r referring to UNIVERSITYo ritsIntercoUegiate AthleticProgramsa ss e t forth on Exhibit A hereto.a n da n y other recognized referencet o UNIVERSITYo ri t s Intercollegiate Athletic Programs as approvedb y UNIVERSITY, except the FIghting (Donald) Duck character licensed from Disney.

-Intercollegiate Athletic Program (s)" shall mean all existing organized team and
individual sportssponsoredbyUNIVERSITYandsuch other replacementora d d i t i o n a l
Intercollegiate athleticp r o g r a m sa sm a yb e established from time-to-time during the term
of this Agreement.
(d) "Flagship Program(s)" shall meana n yo ft h e following Intercollegiate Athletic Programs:
Football; Men's Basketball;W o m e n ' s Basketball; Men'sT r a c ka n d Field/Cross Country;
andWomen'sTrack and Field/Cross Country.

(e)· T e a m - shallm e a nt h a t groupo f athletes attending theU N I V E R S I T Y ' s Eugene campus during the termo f this Agreement and comprising the rostero f each Intercollegiate Athletic Program.

(h)"Coach Properties· shall mean the narnst
nickname, initials, autograph, facsimile
signature, voice, videoo r film portrayals. photographs, likeness andi m a g eo r facsimile
image, andanyo t h e rmeanso f endorsementu s e dby suchCoach. Exceptaso t h e r w i s e

provided herein, each Coach shall reta,in all rightsin andt o hiso r hername and endorsement,a n d neither UNIVERSITYn o ra n y Coach shallb e prevented from using, permitting or licensing othersto use aCoach·sn a m eo rendorsement in connection with

the advertisement, promotion or sale of anyp r o d u c to r service other than ·Products" (as
defined below).

·Staff· shall mean, collectively, all assistant coaches and strength coaches, equipment

managers, trainers andany on-fjeldlcourtsides t a f f (e.g.,b a l l p e r s o n s , basketban stat crews, etc.) employedb y UNIVERSITY during thet e r mo f thisA g r e e m e n t top r o v i d e servicest o Intercollegiate Athletic Programs.

uGame Entertainment Activities" shall mean all student-provided game entertainment
activities (e.g., marching band, pep band, performance/dance team, cheerleading, yell
squads)c o n d u c t e d inc o n n e c t i o n witha n yIntercollegiate AthleticP r o g r a m .
(k)I I D e p a r t m e n t - R e l a t e d Activities"shaU mean any promotional, marketingo r community- or

alumni-outreach activities( e . g . , product give-aways, golf tournaments,U N I V E R S I T Yo r coach-operated camps) conducted in connection witha n yI n t e r c o l l e g i a t e Athletic Programo r the Ath'etic Department.

(m) -NCAA" shallmean the National Collegiate Athletic Association.
(n) "Conference"shan mean the intercollegiateathletic conferenceo f whichUNIVERSITY is
amember.
(0)· P r o d u c t s · shall mean:
(1)All athleticanda t h l e t i c a l l y inspired or derived footwear (specttically including
hockey skates) that membersofany Team, Coaches andlor Staffw e a ro r mayb e
reasonably expectedt o wear while participating in their respective Intercollegiate
AthleticP r o g r a m ;
(2) Authentic competition apparel consistingo fu n i f o r m s . sidelineo r courts ide jackets
and sweaters, game-day warm-ups, basketball shooting shirts, footballplayer
capes, woola n d fitted caps, windsuits, rainsuits, sidelineo r courtside pants.shorts
and shirts, and similar apparel, and practicewear (collectively, -Authentic
Competition Apparel-) that memberso fa n y Team, Coaches and/or Staffw e a ro r. . . ."
mayb e reasonably expected to wear while participating in their respective
Intercollegiate Athletic Program;

butn o tl i m i t e dt o h e a d w e a r , headbands, wristbands,b a g s , socks, towels,a n d
gloves,t h a tm e m b e r so fa n yT e a m ,C o a c h e sa n d / o rS t a f fw e a ro r useo rm a y be
reasonablye x p e c t e d tow e a ro r use while participating in t h e i rr e s p e c t i v e
IntercollegiateA t h l e t i c Program;
(4)Sportse q u i p m e n t including,b u tn o t limited to, balls, bats, protective equipment,
protectiveeyewear,eyewear withp e r f o r m a n c e attributes ands u n g l a s s e s ,g o l f
clubs,s p o r t st i m i n g devices (incruding wristwatches,r a c e timers, stopwatches) etc.
andd e v i c e su s e df o rc o m p e t i t i o no r t r a i n i n g thata r ea l s ou s e d in combination with
timingd e v i c e ss u c ha s heart-rate monitorso r calorimeters),a n ds u c ho t h e r
equipment asN I K Em a y addt oI t sP r o d u c t lines at anyt i m e duringt h et e r m oft h i s

meanso f fabrication, embellishment, trimming,c o m p o s i t i o no r other designo r
performance elements.
