1.ThisisanactionforadeclaratoryjudgmentpursuanttothefederalDeclaratoryJudgmentAct,28U.S.C.§§2201-02,andthedeclaratoryjudgmentstatutesofNevadaandFlorida,aswellasforcancellationoffederalandstateservicemarkregistrationsownedbyJuly.Specifically,Caesarsseeksadeclarationofnon-infringementofDefendants'claimedrightsintheservicemarkandtradenameOCTAVIUSTOWERandassociateddomainnames,andcancellationofJuly'sfederalandstateservicemarkregistrationsinNevadaandFloridafortheOCTAVIUSTOWERmark.

10.Caesars,throughwholly-ownedsubsidiaries,istheownerandoperatorofthefamousCAESARSPALACEbrandedcasinohotelinLasVegas,Nevada,andCAESARSbrandedcasinohotelinAtlanticCity,NewJersey,andistheoperatorofaCAESARSbrandedcasinohotelinOntario,CanadaandaCAESARSbrandedcasinoinCairo,Egypt.11.TheCaesarsPalacecasinoislocatedintheheartofthestripinLasVegas,NevadaandwasopenedonAugust5,1966.Asaresultofitslocation,qualityofservice,andsize,theCaesarsPalacecasinoandhotelhasenjoyedandcontinuestoenjoywidespreadrecognitionandsuccess,andisoneofthemostfamoushotelsintheworld.12.Onaverage,approximately1.5millionpeoplestayatCaesarsPalaceeachyear.Millionsmorefromaroundtheworldvisitthecasino,dineatCaesars'restaurantsandcafes,orwatchashowinCaesars'4,l00-seattheaternamedtheColosseum.13.BuiltaroundaRomantheme,CaesarsPalacefeaturesmorethan3,300hotelguestroomsandsuitesinfivetowers,whichtowersarenamedAugustus,Centurion,Forum,Palace,andRoman.14.OnJuly19,2007,theparentcompanyofCaesars,Harrah'sEntertainment,Inc.(nowknownasCaesarsEntertainmentCorporation),issuedawidelypublishedpressreleasethatannouncedplansfora$1billionexpansionofCaesarsPalace.AtrueandcorrectcopyofthepressreleaseisattachedasExhibit

Theannouncedcenterpieceofthisexpansionwasthebuildingofanew665roomtowernamed"OctaviusTower."15.CaesarshasissuedseveraladditionalpressreleasesregardingitsOctaviusTower,andthetowerhasbeenthesubjectofnumerousnewsarticlesandotherpublicitythathavecausedCaesars'planstobecomewellknowntotheconsumingpublic.Asaresult,theOCTAVIUSTOWERnameandmarkhasachievedsignificantnotorietyintheUnitedStates.16.OctaviusToweropeneditsdoorsonSeptember11,2009,withthelaunchofthreeluxuryvillasthatareeachmorethan8,000squarefeetinsizeandrentfor$40,000pernight.-3-
