KIPP NYC Washington Heights Academy Charter School Board of Trustees Minutes of November 5, 2012 Meeting The KIPP

NYC Washington Heights Academy Charter School Board of Trustees met on November 5, 2012 at Hunter College with the following trustees in attendance: David Massey, Joe Negron, Jane Martinez Dowling, Rafael Mayer, Dawn Palo, Brian Zied, and Carrie Gennuso. (Carrie Gennuso attended via phone due to complications surrounding Hurricane Sandy). Also present were Whitney Tilson, Rafael Mayer, Jacqueline Adams, Thomas Lehrman, Andrew Paul, Kelly Coffey, Frank Corcoran, Brian Zied, Joseph Reece, Larry Robbins, Amy Griffin, Josh Zoia, Dave Levin, Jack Chorowsky, Lisa Blau, Deborah Dauman, Charizma Williams, Stephanie Adams, Natalie Webb, Alicia Johnson and Vicki Zubovic. Opening of Meeting The board voted unanimously to run the meeting concurrently with the meetings of the Boards of KIPP Academy, KIPP STAR, KIPP Infinity, KIPP AMP, and the Joint High School Committee due to the commonality of issues. Board Business The board opened the meeting to public comments. There were no comments. The board voted to approve the minutes of its June 18, 2012 meeting. The board reviewed and voted to approve new staff assignments. Charizma Williams, Managing Director of Finance, provided a financial update and discussed the favorable outcome of the annual audit. Jack Chorowsky, Chief Operating Officer, reviewed the finances of the previous fiscal year and current cash balances. He discussed the proposed revisions to the 2012-2013 budget. The board voted to approve the proposed revisions to the 2012-2013 budget. Natalie Webb, Principal of KIPP NYC College Prep High School, presented on the academic performance and college readiness of her students. Rafael Mayer and Vicki Zubovic, Managing Director of Development, provided an update on KIPP NYC’s long-term fundraising plans and introduced the Sponsor-a-KIPPSter campaign. Superintendent Josh Zoia reviewed Special Education services at KIPP NYC schools. He discussed the instructional program and services in place to respond to students with academic and behavioral needs.

Mr. Massey updated the Board on KIPP STAR and KIPP Washington Heights Academy’s charter merger process. The board voted unanimously to move to Executive Session to discuss confidential matters. Adjournment The meeting adjourned.
