1 Origin of the Report As we are doing Business Law, our course instructor Mohammad Ahshanullah has instructed us to prepare a paper on the partnership law. For this reason we make partnership business. 1.2 Purpose To get a clear concept of partnership law. To acquire knowledge how to form partnership business. 1.3 Limitations We tried to gi e our full effort, but still there are some limitations in our stud!. Those are gi en below" a. 1.4 (usiness Profi)e We are going to form a partnership business. There will be si$ members in the business. The nature of this business is to transport ser ice toward the corporate member. The name of this partnership firm is %&ommon Bus 'er ice(. )ur target customer will be school, college student and corporate people. This ser ice will pro ides to the Mirpur Moti*heel, +hanmondi, ,ulshan, Mohakhali, 'a ar, -atrabari, .ttara / man! area. We want to in est 011111 each partner, and we also determine share our profits equall!, and also share our loss equall!. We ha e a proper agreement that follows the rules and regulations of the partnership law. All the partners ha e signed a formal deed of our partnership agreement. We all the people are adult person we make an option in our deed that is we can add a minor as a partner. We make our partnership business in registration office. 'o we are now go ernment register partnership firms. And we build this partnership to make profit. )ur intention is to profit earn from this business. We also di ided our profit equall! as per deed and also bear the losses. Chapter 2.00 Legal Aspect of the Business 2.1 *ormation of the (usiness Before start our %&ommon Bus 'er ice( we want to ensure sections 4 of the partnership act are" We are 5 members with sound mind and ha e the capabilit! to sign a contract. 6o minor people in our agreement. All the partners ha e signed a formal deed oluntar!. 3n our partnership business, all the partners ha e in ested equal amount of capital and we will share the profit or loss of the business equall!. The! all are equall! participating in the business. )ur business is not for a fi$ed period of time neither an! pro ision has been made as to when and how the partnership will come to an end. Reconstitution of the *irm / Rights of an Outgoing Partner0 The reconstitution of our firm ma! be changed b! the introduction of a new partner, death, retirement, insol enc! and e$pulsion partner or b! the transfer of a partnerFs share to the outsiders. A new partner can be introduced onl! with the consent of all the partners. The share of profit which a new partner is entitled to get is fi$ed at the time he becomes a partner. Ce will liable for all the debts of the firm after the date of his admission but he will not responsible for an! act of the firm done before he becomes a partner. When the partner of our firm is ad*udicated an insol ent, he ceases to be a partner from the date on which the order of ad*udication was passed b! the court. A partner of our firm ma! transfer his interest of the firm to an outsider. The transfer ma! be absolute or partial. The interest ma! also be sold to a third part! in e$ecution of a decree of a court. The transferee in such case gets er! limited rights o er the firm. B! a special agreement among all the partners, an outgoing partner ma! be pre ented from carr!ing on a similar business within a specified period or within specifie local limits. 3f there is no restraining agreement, an outgoing partner ma! carr! on a business competing with that of a firm and he ma! ad ertise such business. Where an! member of our firm has died or otherwise ceased to be a partner, and he sur i ing or continuing partners carr! on the business of the firm with the propert! of the firm without an! final settlement of accounts as between us and the outgoing partner. 2.1 $isso)ution of *irms As our partnership form depends on trust, so it ma! terminate an! time. For this reason we prepare a dissolution procedure. An! partner can file a suit for dissolution, if a partner has become of unsound mind. 3f an! partner becomes permanentl! incapable of performing his duties as a partner <like paral!sis?. Cere we will follow the section 44. 3f an! partner make an! unlawful act that affect the business. That partner will be cancel. And we will follow section 44 laws. 3f a partner willfull! and persistentl! commits breach of the partnership agreement. 3n our partnership formation there is no scope of sub partner.
