The distinctive features of the Chairmans role are: to take the chair at meetings of the board; to ensure the

orderly conduct of meetings, so that everyone who should have a say does have a say of an appropriate length; to allocate a proper amount of time to different items; to determine the order of the agenda; to direct discussion towards a consensus view; to sum up decisions so that everyone understands clearly what has been agreed on policy and on action; to act as the companys leading representative in its dealings with the outside world; to play a leading role in determining the composition of the board and any substructure of committees, so as to make the board an effective team, working with a high degree of harmony; and to take, between meetings of the board, whatever decisions are delegated to the Chairman by the board.
