MUTUAL SEPARATION OF SERVICE AGREEMENT

AND GENERAL WAIVER


Valley Emergency Medical Services, Inc (VEMS) and Robert Pettinella entered into an
employer-employee agreement on June 20, 2013 to run from June 15, 2013 for a period of three
years, ending on June 14, 2016. The parties have now decided by mutual agreement to end the
employment contract earlier than originally anticipated with an effective separation of service
date of November
11th
, 2015 at 12:00 noon upon the following terms:
1. VEMS and Robert Pettinella agree that in consideration for covenants enumerated in
paragraphs two through eight of this agreement VEMS will pay Robert Pettinella in severance
$20,000 (Twenty Thousand Dollars) less customary payroll deductions except that there will be
no deduction for 401k or insurance contributions. The parties also agree that Robert Pettinella
will use his remaining vacation time for the current week and health insurance benefits will cease
November 30, 2015. Robert Pettinellas final pay check, as well as the agreed upon severance
pay, will be paid to him on November
2015 in lieu of any other severance pay claim he
may claim to have.

2. Robert Pettinella agrees not to engage in conduct or make statements relating to his
employment or this separation agreement that can be construed as critical or derogatory of
VEMS its employees, agents, partners, shareholders, officers, or directors.
3. Robert Pettinella agrees to continue to cooperate and coordinate with VEMS attorneys in
all presently pending litigation involving VEMS including but not limited to giving testimony if
deemed necessary.
4. Robert Pettinella releases and discharges all claims, complaints, charges, disputes, and
demands against VEMS and its employees, agents, partners, shareholders, officers and directors,
such as claims for back pay, front pay, damages, and fees such as attorneys fees, that could arise
from federal or state employment laws or from any conduct by VEMS its employees, agents,
partners, shareholders, officers, or directors. Robert Pettinella has had the opportunity to consult
with his attorney and is aware of his legal rights, but knowingly and voluntarily waives those
rights to the extent possible under law.
5. Robert Pettinella has surrendered to VEMS paper and electronic copies of all letters,
memoranda, documents, records, and other material that is the property of VEMS. Robert
Pettinella has also surrendered to VEMS all other tangible property of Employer, including keys,
products, charge cards, telephones, pagers, computer and other equipment, and vehicles.
6. Robert Pettinella will not share, divulge or disclose any information about VEMS or its
employees, agents, partners, shareholders, officers or directors that Robert Pettinella knows is
confidential or is considered a trade secret, trademark, service mark, trade name, patent, or
copyright.

7. Robert Pettinella will not share, divulge, or disclose the provisions of this separation
agreement except to his family, agents, representatives, or advisors, or to the extent required by
law.
8. VEMS and Robert Pettinella further agree that in the event of any breach of this
separation agreement or default hereunder, the injured party has the right to pursue any legal
action available to enjoin the breaching party from further injurious conduct and/or to recover
from the breaching party damages for such breach or default.
