Amir and Kimi were promoters for Matang Unggul Sdn Bhd. which
incorporated on 8 August 2008. Ammar was appointed as the first
company secretary. He is a license secretary working with INM
Secretarial Services Sdn Bhd and has vast experience in secretarial
practices. Despite being appointed by the board of directors,
Ammar believes that he is not the servant of the directors.
REQUIRED:
(a) Explain the term and the role of a promoter.
(b)State all possible qualifications and experiences of Ammar
before he has been granted a license to act as a company
secretary. What will make him disqualified?
(c) State the requirement of the Companies Act 1965 with regard
to the first company secretary.
(d)Discuss the statement that Ammar believe he is not the
servant of the directors.
