Notification of a joint venture

1.ÚÙOn 16 March 1998, the Commission received notification pursuant to Article 4 of

Council Regulation No 17/62 of a joint venture (JV) formed by Bayer AG, Leverkusen,
Germany and Bayer Corporation, Pittsburgh, Pennsylvania, USA (both belonging to the Bayer
Group) and by General Electric Company, Fairfield, Connecticut, USA and General Electric
Plastics, BV, the Netherlands, a subsidiary of General Electric Company. Pursuant to the
Foundation Agreement the parties have agreed to create a JV called Exatec LLC, a limited
liability company, incorporated under the laws of Delaware, USA, to be owned 50Ø% by Bayer
Corporation and 50Ø% by General Electric Company. A limited partnership Exatec GmbH @
Co. KG, will be incorporated under the laws of Germany, to conduct business in Europe.
The JV will be in two phases. In phase 1 (duration of about five years) the JV will be involved
in research and development relating to the optimisation of plastic resins and coatings for the
use in plastic glazing systems for automobiles. In phase 2 the JV will, if successful, market and
commercialise plastic glazing systems to original equipment manufacturers (OEMs), i.e. auto-
motive manufacturers, and/or commercialise systems and licenses to window manufacturers.
The plastic windows produced using an injection moulding process will be suitable for use in
cars, delivery vehicles and small trucks through to recreational vehicles.
2.ÚÙOn preliminary examination, the Commission finds that the notified joint venture could
fall within the scope of Regulation 17/62.
3.ÚÙThe Commission invites interested third parties to submit observations on the proposed
