Memorandum of Understanding
between the
Food and Agriculture Organization of the United Nations (FAO)
and
The European Network of Living Labs (ENoLL)
Preamble
Whereas
the Food and Agriculture Organization of the United Nations (hereinafter
referred to as “FAO") has committed to strengthen its role as a
knowledge organization with a particular emphasis on developing
Integrated frameworks for enhancing the impact of science and research
‘on reducing hunger and poverty.
the European Network of Living Labs (hereinafter referred to as "ENOLL”)
is an autonomous association established as an aisbl under Belgian Law
in January 2010, in representation of a network of over 200 European
and international members, with the aim of mobilizing collaborative
efforts, resources and knowledge to promote strategic trans-European
alliances among the main Living Lab stakeholder groups: business,
government, research and civil society in order to stimulate user-driven
open innovation policies and programmes to achieve sustainable
development.
the ENoLL network partners have considerable know-how, resources and
experience in user-driven open innovation, integration of knowledge from
different fields and the link between scientific knowledge and sustainable
development through the Living Labs innovation process.
ENoLL and FAO concur that through this collaboration both organizations
will maximize their efforts in obtaining tangible results towards rural
development, based on clearly defined indicators of impact, and in the
strengthening of networks of government agencies, civil society, private
sector, innovation experts and decision makers that will promote food
security and sustainable development.The FAO and ENOLL (hereinafter referred to as “the Parties”) have agreed to
the following:
Section 1. Purpose of the Collaboration

FAO and ENoLL will work together to capitalize on the accumulated
expertise in the application of the Living Labs methodological framework
in areas of common interest to be defined in the context of specific
projects and activities agreed by both Parties.

The specific areas of cooperation will be defined by common agreement
between the Parties in a Medium Term Plan and in Annual Work Plans to
be added to this Memorandum of Understanding as Annexes.
In the context of the plans to be specified, the Parties agree:
- To promote the use of the Living Labs in order to enhance the
effectiveness of food security and sustainable development policies
and programmes.
- To collaborate in improving the use of ENoLL and FAO’s expertise in
an interdisciplinary approach in order to enhance strengthening of the
impact of the work of FAO in Member Countries.
- To collaborate in the mobilization of the financial resources needed for
the implementation of the activities proposed in the work plans
agreed under this Memorandum of Understanding.
For the purpose of a smooth collaboration in the definition and execution
of the plans, each Party shall nominate a technical contact, responsible
for ensuring active and timely contributions to the common effort. Until
further notice, these roles are assigned as follows:

Section 3. Financial implications
3.1
This Memorandum of Understanding does not have any financial
tions, Any activities in the Medium Term Plan and the Annual
Work Plans shall be subject to the availability of funding. All fund-raising
initiatives related to joint projects (FAO/ENOLL) will be conducted in
accordance with FAO and ENoLL rules and procedures.Section 4. Intellectual Property Rights

Intellectual property rights, in particular copyright of material such as
information, software and designs made available by ENoLL or FAO to be
used to carry out the activities under this Memorandum of Understanding
shall remain with the originating Party. FAO and ENoLL may negotiate
and agree separately the use of the intellectual property rights owned by
the other Party.
Copyright of the information, as well as rights to any other intellectual
property, developed jointly by FAO and ENoLL under the framework of
this Memorandum of Understanding shall be jointly vested. Each Party
shall have full rights to exploit such jointiy-owned rights for non-
‘commercial purposes.
Section 5. Final Provisions

Neither Party shall communicate to any other person or entity any
confidential information made known to it by the other Party in the course
of the implementation of this Memorandum of Understanding nor shall
such Party use this information to private or company advantage. This
provision shall survive the expiration or termination of this Memorandum
of Understanding.
Nothing in this Memorandum of Understanding or in any document or
arrangement relating thereto, shall be construed as constituting a waiver
of privileges or immunities of either Party, nor as conferring any
privileges or immunities of either Party to the other Party or its
Personnel.
The present Memorandum of Understanding and any document or
arrangement relating thereto, shall be governed by general principles of
law, to the exclusion of any single national system of law.
Any dispute between the Parties concerning the interpretation and the
execution of this Memorandum of Understanding, or any document or
arrangement relating thereto, shall be settled by negotiation between the
Parties. If the dispute is not settled by negotiation between the Parties or
by another agreed mode of settlement, it shall, at the request of either
Party, be submitted to one conciliator. Should the Parties fail to reach
agreement on the name of a sole conciliator, each Party shall appoint
one conciliator. The conciliation shall be carried out in accordance with
the Conciliation Rules of the United Nations Commission on International
Trade Law, as at present in force. The conciliation proceedings shall be
conducted in the language in which the Memorandum of Understanding is
drafted, provided that it should anyway be one of the five languages of
the Organization.
Any dispute between the Parties that is unresolved after conciliation shall,
at the request of either Party, be settled by arbitration in accordance with
the Arbitration Rules of the United Nations Commission on InternationalTrade Law, as at present in force. The Parties may request conciliation
during the execution of the Memorandum and anyway not later than six
months after the expiry or the termination of this Memorandum of
Understanding. The Parties may request arbitration not later than ninety
days after the termination of the conciliation proceedings. Any arbitration
award rendered in accordance with the provisions of this Article shall be
final and binding on the Parties.
5.6. This Memorandum of Understanding may be terminated by the Parties at
a jointly agreed time or by one Party giving three months’ notice in
writing to the other Party. In such event the Parties will agree on
measures required for the orderly conclusion of ongoing activities.
5.7. This Memorandum of Understanding shall represent the understanding of
the Parties upon its signature by FAO and the ENoLL.
Section 6. Amendments
Any amendment to this Memorandum of Understanding and its Annexes shall be
effected only on the basis of written mutual consent by the Parties.

n7. Entry into Force
‘The present Memorandum of Understanding will enter into force upon signature
by both Parties and shall be valid until terminated pursuant to Section 5.6.
