PREAMBLE

Whereas the First Party wishes t obtain manpower for the provision of services to the various units pertaining thereto with the option to include additional ervices, and

Whereas the competent Purchasing and Projects Committee of tile First Party has agreed to contract with the econd Party by way of direct negotiation:

Whereas the econd Party undertook to provide the above mentioned manpower (hereinafter referred to as "Per onnel") in accordance with the term and conditions stipulated in this Contract, and with the conditions and pacification stipulated in the said Direct Negotiation's document;

Armed Forces no. (12), for the year 1986. concerning the Organization of the Armed Forces Tenders and Auctions, and any provision or text in this Contract addenda hereof or complementary or supplementary parts hereto contrary to the provisions of the said provisions shall be deemed null and void.

TIle Second Party shall for the fulfillment of this task abide by the following:

1. Personnel Joini.ng:

] -1. The econd Party undertakes to provide the numbers of Personnel determined in Addendum (0) Statement of Work to provide the Services to the First Party throughout the Contract term.

1-2. The Personnel shall attend training courses on the account of the Second Party for a period of time in accordance witb the schedu le set out in Addendum (G) Annex (B) Statement of Work. calculated within the Contract term prior to joining work with the Ftrst Party. 50 as to boost some skill and experience required from them as described in Paragraph b.(2) here below,

1-3. In the e ent where the Fir t Party wishes to have any of the Personnel replaced for incompetence or security or conduct reasons, the econd Party is committed to replace him with another person who has the same experience and qualifications without any additional cost ro the Fir t Party and within 60 days following the date of notice sent by the First Party in this respect.

1-4. If the First Party needs additional numbers of Personnel, a Task Order will be submitted to the Second Party to undertake the request to provide the required numbers within a reasonable period under the same conditions and rates stipulated m this Contract.

2. Military Experience and Cour es

2~ 1. MilitaM' Experience

All Personnel intending to work for the First Party must have received prior military training. and have served in field military units for at least two (2) years. and they shall be selected through the formation 0 a joint committee between the 'two parties, after verification of their identity papers, per anal interviews, and then phy i a1 Iilne s te ts and complete medical exami nations.

2~2. Qualification Training Course

Once the personal interviews and medical examinations are completed. the Per onnel shall participate in training courses as referenced in Addendum G Statement of Work, and Paragraph 2 Annex B attached hereto. including but notlimited to the following subjects:

Physical fitness

Guard duty and search Patrols

earch for explosi ves Telecommunications Unarmed com bat Crowd control

Training on crisis and disaster response

Awareness of the GHQ Arm d Forces laws

Customs and traditions of the United Arab Emirates

2-3-2. The econd Party is

responsible for the recruitment. training and management of the Personnel as pro ided in Addendum G tatement of Work.

2-3-3. The Second Party

undertakes that all the individuals included in thi Contract shall abide by the UAB and Armed Forces laws, regulations and. b law.

2-3-4. The econd Party shall, if requested by the First Party assist in the process of obtaining security approval for the Personnel from the competent entities of the First Party before starting to fulfill their duties under this Contract.

2-3-5. The Second PSI"ty may not u e the contracted work sites as training fields for any person other than the Personnel.

2-3-6. The econd Party s

acti ities and duties are subject to the supervision and audit of the First Party s competent staff.

2-3-7. The econd Party shall DOl use the accommodation facility for non-approved per. onnel within or outside the purpose of the Contra t without the permission of the First Party.

Article (4) Obligations of the First Party

respective professions by the competent authorities In the United Arab Emirates.

2. The First Party shall appoint one of its staff as its representati e for the Contracting Officer's Technical Representative (COTR) for the follow up and execution of this Contract. who shall have the necessary authorization to take decisions and act as link between the two partie regarding this Contract.

3. The First Party shall provide accommodation, food. transportation, life support, as well as all required equipment, ancillary items, logistic and other support needed to execute and sustain the G Program as listed in Addendum G Statement of Work and its Annexes and any additional requirement to the Personnel thr ughout the term of this ontraci,

Article (5) Rates

The below mentioned charges and costs are deemed included in the total value of this Contract, and the econd Party may nOI claim for any increase or other expenses except as agreed upon in advance between the two parties:

Recruitment costs, including the tests and examinations carried out b U1e delegation representing the Armed Forces

Costs of the personal interviews Training costs

Costs for replacement in case of injury or service termination of any of the Personnel

Costs of air pas age rickets (in the country of origin onl ).

Contract Value and Pavrnent

It is hereby agreed between the two parties that the total value of this Comract for the Initial Term is Five hundred and twenty nine million one hundred and sixty SlX thousand seven hundred and fifty four United tates Dollars and thirteen cents (US$ 529.166,754.13) which is agreed between the Parties to be eq uivalent to One billion nine hundred and forty seven million three hundred and thirty three thousand six hundred and fifty five UAE Dirham' and twenty 61 (ABU 1,947.333,655.20). payable to the Second Party in accordance with the invoice and payment structure set out in Addendum H hereto and further according 10 the regulations adopted by the First Party through FirsL GuJ f Barile GHQ Armed Forces. as follows:

I. 20% of the Contract total value as advance payment against the following documents stated in Annex (C) of the tatement of Work:

• The econd Party's invoice (one original + two copies) indicating the amount of tbe advance payment, the Contract number. and the details of the . econd Party s bank account.

A bank guarantee for the advance payment according to Anne' C) attached hereto.

2. 80% of the Contract total value payable by periodical installments

Article (7) Penalties

1. If the eeond Party is hue in

providing all or part of the Personnel beyond the deadlines Ilxed in the Contract, a delay penalty at the rate of 1 % of the Contract value hall be imposed on it for the first week or part thereof, and such penalty shall be increased thereafter to 2% of the Contract value for each we k or part thereof with a maximum of 10% of the antract value. The delay period shall be calculated from the beginning of the training period as per Annex B of Addendum (0) tarement of Work attached hereto.

2. If the Second Party fails to pro ide all or part of the Personn I (including the rejected elements) within the deadline fixed in the Contract, the First Party may take either of [he two following actions without the need 10 resort to the judicial authorities and after sending a registered notice to the

econd Party:

Procure the Personnel not provided b the econd Party through a third party at the econd Party's expense after exhausting the maximum limit of the delay penalty (either by direct negotiation or by means of a local

• Terminate the Contract and confiscate the bank guarantee in whole in case no services at all have been provided or confiscate the equivalent of 10% of the Contract value.

PROVIDED HOWEVER that if the Second Party has provided the required number of Personnel. and the Fir t Part)' has declined to accept a part thereof due to the Fir t Party' inability to accommodate the said declined part, the

econd Party will not be considered as being in breach of its obligations hereunder if subsequently the Fir t Party requests the provision or the previously declined part of the Personnel.

If the econd Party does not within the agreed period pr vide the required number of Personnel that was decli ned previously by the Fir t Party, then the

econd Party will be considered as being in breach of its bligations.

3. The First Party may WID e the penaltie in whole or in part if the Second Party produces documents proving that the delay is attributed to force majeure reasons beyond its control as stipulated in Paragraph (2) of Article (13 herein below.

Article (8) Performance Bond

1. Within 20 days at the most after the Second Party is notified that the Contract has been signed and provided that the Second Party has received an original copy of the C ntract. the Second Party undertakes to provide a bank guarantee as performance bond issued by a bank operating in the tate and amounting to 10% of the Contract value as per the form included in Addendum (F) attached hereto.

2. The bank guarantee must be

unconditional. must remain valid for at least 90 days following the expiry of the Contract. at which rime it shall expire. If the Contract i renewed or extended, the Second Party will provide the appropriate bank guarantee at the lime of renewal or extension.

3. The val ue of the bank guarantee shall be reduced in the respective values of the deliverables made in accordance with this Contract as referred to in Annex attached hereto.

4. Subject to the pro isions of paragraph (c) above, the bank guarantee ball stipulate that its outstanding value shall be payable to the First Party, on immediate basis and upon the mere production of a written letter from the First Party without the need for any judicial proceedings and without any c nditions,

If the value of the bank. guarantee decreases due to the deduction of any sums from the econd Party or if the value of the supplies becomes higber than what is mentioned in the Contract as a result of additional demands or amendments, the Second Party must. as S0011 as it receives a demand from the First Party. top up the guarantee value to the equivalent of 10% of the Contract value after the

increase, within twenty (20) days from the demand date. otherwise the First Party may retain the required increase from the econd Party's entitlements due by the First Party.

6, If the Second Party does not provide the necessary guarantee within the deadline indicated in Paragraph 1 and 5 of this Article ab ve, the First Party may cause the Contract to be executed by a third party and have the updating, development and maintenance carried out at the Second Party's expense and under its responsibility, and claim from the latter payment of all financial differences incurred by the First Party as a result thereof by way of deducting the arne [rom the Second Party's entitlements due by the Flrst Party or by any other governmental entity, or claim the same before the courts while blacklisting the Second Party and preventing it from participating in the Armed Forces tenders for at least one year.

Article (9) Offset Program

It is agreed between the First and econd Parties that arty contract/purchase order or a set of contracts/purchase orders entered into between the two parties for a val ue exceeding within (5) five years the stun of Dirhams 36,730,000. or the equivalent of USD 10 000,000. shall be subject to the UAE ffset Program. The f e year period shall start to run as from the date of the first contract Or purchase order entered into between (he First and Second Parties.

The Second 'Party undertakes to e cecute the Offset Agreement and/or the complementary agreement with the Offset Program Office. and it is hereby agreed between the two parties subject to the pro isions of Article (8) above, that the Fir t Party shall only deliver copy of the Contract signed to the Second Party after the Second Party submits a confirmation

Article (10) Mjscellancou

The twa parties hereto understand that no commission. remuneration or lees have been or shall be paid by way of tips. gifts, or personal payments granted directly or indirectly or otherwise by the Second P1u1y to' any effie r, individual. civilian or UAE Armed Force member. or any of the UAE governmental employees working within or outside the UAE representing a bribe or commission to ensure the signature 0' r this Contract.

On the other hand, the Second Party confirms that there is no pr mise binding it legally, and that in case of the ecood Par. "s having ignorant] committed in the past to any liability or undertaking with any person, establ ishment or company in the AE, such liability or undertaking shall not be binding.

If the econd Party violates the provisions of this Article in an manner whatsoever. and if the First Party is able to establish such iolation, tile econd Party is required to pay a penalty to the Fir t Party amounting to 30% of the Contract value, and the Fir t Party shall be entitled to terminate the Contract without prejudice to its legal rights.

a) J f the econd Party resorts to fraud or manipulation in its dealings with the First Party;

b) If it is established that the Second Party has attempted in person or through a third party, directly or indirectly, to bribe an employee of the Fir t Party or has colluded with the latter in a prejudicial manner to the Fir t Party; and

c) If the econd Party becomes

bankrupt or insol vent.

d) If the Second Party tops

executi ng the services partially or totally without an acceptable reason [or the First Party or breaches any term of the Contract or neglects or delays executing any of its obligation decided in the Contract

2. The First Party i entitled to term i nate the Contract without any objection from the econd Party in the condition to notify the econd Party upon written notification of Dot less than three (3) months before the termination date.

Subject to Article (19), upon termination of this Contract the First Party, in addition to any other rights provided in this Contract, may require the Second Party to deliver to the First Party any prop rty specifically produced or acquired for the performance of such part: of this Contract as has been terminated. The provisions of the "Government Furnished Property/Material (GFEIM)" clause shall apply in such property transfer.

Article (14) Indemnity

The First I)arty undertakes to indemnify the Second Party for the harm. injury or death caused to any of the Personne I in accordance with the provisions of this Contract. excluding the events where the injury or death results from the negligence or failure of the Personnel, in which ca e the Second Party shall assume responsibility therefore.

Article (15) Assignment

Compliance with the Laws, Regulations and Bvlaws

The econd Party undertakes to comply with all the law 1 regulations and bylaws in force in the tate, and all provisions of the Decision of the Deputy upreme Commander of the Armed Forces referred to hereinabove shall apply to this Contract provided that the general legal principle in force in the tate concerning contracts and contracting methods of the administration shall apply to any matter regarding whi h there i no specifi provision in the said Decision or in this Contract.

Article (19) Settlement of Conflicts

In the event of a breach, the nonbreaching party shall notify the breaching party of the aid breach and grant the breaching part thirty (30 days to remedy the breach. if the breaching parry fails to remedy the breach 'within the appointed time. a dispute is deemed to have ari en, and the parties shall attempt to resolve the

arne amicably. Any dispute not capable of being resolved amicably shall be referred to arbitration ill Abu Dhabi. the United Arab Emirates at the bu Dhabi Chamber of Commerce and Indu try's Abu Dhabi Commercial Conciliation & Arbitration Center (ADCCAC) in acoordance with its rules and pursuant to UAE law.

Article (20) Confidentiality

Th Second Party undertakes to pre erve the security and confidentiality of all technical and administrative data and in ormation resulting from and connected to this Contract and pro ided to it by the Fir t Party and on the latter's behalf. The said information shall remain confidential, whether security classified or otherwise, and it is prohibited to copy any of such technical and administrative data and information, reproduce or keep the same in any form whatsoever or divulge the same to any third party without he prior written consent of the Fir t Party. whether throughout the validity period of this Contract or after its expiry or termination. otherwise and if the contrary is established the First Party may take all necessary legal proc ed ings against the Second Party.

This guarantee shall remain valid throughout the validity period of the Contract and sball be gradually reduced according to the quantity of services provided pursuant to the Contract and until Abu Dhabi Finance Department confirms he execution of the obligations against the sum paid, then, the guarantee shall expire with the completion of the services without returning the guarantee to the Bank.

If the execution of the services is not complete within the deadline fi red and no notice is sent regarding the cancellation of the guarantee, this guarantee shall be periodically and automatically renewed 'Until a confirmation is received from the Director General of Accounts, Abu Dhabi Finance Department. stating that the provision of the services is complete or that al! the amount paid in advance has been recovered

The intent is to develop a Security Support Group (SSG) core, which in coordination with the Client's objectives, be able to

throughout the UAE. The SSG will be such that it shall be scalable, capable of expanding in size and or mission profiles as determ in ed by th e needs of th e Clien t.

In support of the intent, the Client will establish a Client Coordination Cell for integrated support and Command. The Contractor's training and advisory staff and the SSG will utilize the Client Coordination Cell for both support from and liaison to the Client. The Contractor will develop, maintain, update and implement the program as required. The Contractor shall also at the direction of the Client develop addltional training or capabilities to support the Client's objective.

1.0 MISSION OBJECTIVE.

The Mlsslon Objective of this program is to provide a dedicated Special Security force which, on order will provide Security Support for critical infrastructure, sensitive regional sites and personnel for the United Arab Emirates (UAE).

2.0 SCOPE.

2.1 Contract Objective.

The objective is to stand up, train, develop and support a Security Support Group (SSG) for the UAE to increase their overall capabilities to provide a trained and professional security presence, enhance public security, and support the operational direction ofthe Client's command element.

3.0 PERFORMANCE REQUIREMENTS

3.1 Security Support Group (SSG).

The Contractor shall provide a security support force of an appropriate size to accomplish mlsslon objectives. Develop and establish the essential task lists while identtfvlng supporting individual and collective tasks to ensure that selected individua.ls have received prior military training and served in field units for a minimum, of two (2) years. The Contractor shall be prepared to provide additional numbers of personnel if required. The

Contractor will also develop the organizatIonal structure of the unit to support the stated mission with regards to action unrts and all required support elements, as well as develop a program structure to provide management of all training and mentoring coordination, curriculum development, scheduling, facilities management and other elements as required to support the development of the SSG. This effort will result in the Contractor providing .a qualified staff, capable of accomplishing the stated goals and tasks in identified facilities at the direction ofthe Client's requirements.

3. L1 Training Program and Advisors of

the SSG.

The Contractor shall conduct in-country assessments, training and supervision in order to execute the Client's security missions. The Contractor shall be responsible for mentoring, training and management of the SSG. The Trainers and Advisors shall work with both SSG and the Client to develop the SSG doctrine and command staff structure in order to provide the capability and procedures to effectively administer and execute the Client's objectives. The Contractor will develop a training schedule to support mission objectives.

The Contractor shall establish a structured program that will build foundational skills within the lndividual technical fields required to accomplish the mission. The Contractor shall continually assess, r-ecommend and update any training needs of the SSG. The Contractor shall work directly with the SSG staff to assist with aspects of their duties and responsibilfties, quality of life, and training and development. Initial m.entoring objectives shall at a minimum, include the following:

3.1.4.1. Deployment Process.

The Contractor shall be responsible for the SSG deployment process from home station to the SSG compound. The Contractor will coordinate with the Client Coordination Cell to ensure all necessary customs f immigration paperwork, Visas and transportation is scheduled and processed with the appropriate UAE officials prior to arrival ..

3.1.4.2. Language Training.

The Contractor shall provide in-service English training and sustainment testing of SSG personnel. The English Language in service trai.ning minimum. objectives shall include preparing SSG personnel to meet English language proficiency standards (leaders only).

3.2 OPTIONAL'REQU.IREMENTS

The Client may exercise all or any of the fo.lilowing options to staff and support current and advanced operations appropriately. The Contractors shall provide and rnaintainquallfied personnel: in support of this contract and exercised optlons.

OPTION A -SSG Aviation Support

The Contractor shatl develop and provide an aviation support capability to the SSG as directed by the Clieht. The aviation support capabllity shall consist of operations and logistics support for rotary and J or fixed wing aircraft as determined by the Client.

The Contractor shall develop and provide advance mission training plans to allow the SSG to attain advance capabilities as directed by the Client.

The advance missIon training capability will be capable of providing the SSG with sniper, EOD, scout I surveillance, military working dogs and other capabilities as directed by the Client to the SSG. The Contractor shall be required to conduct an assessment and analysis of the required support and infrastructure for the advance training and shall assist in the development of plans, policies and procedures to support the overall advance mission training of the SSG.

3.2.3 OPTION C - SSG Maritime Support

(executing now need new task order)

The Contractor shall develop and provide a Maritime Program to allow the SSG to conduct training and operations in the littoral and maritime environments of the UAE as directed by the Client.

The maritime program shall provide the SSG with the capability to conduct basic small boat operations and seamanship, Maritime Interdiction Operations (MIO), Securing Oil Delivery Stations I Platforms and other maritime specific capabillties as directed by the Client Government. The Client shall provide a warehouse of sufficient size and outfitted with appropriate storage racks, shelf decking, storage cabinets and material and securltv, The Contractor shall manage the SSG warehouse and perform quartermaster duties.

4.1.4 'SIte Security Services.

The SSG shall provide site security services 24 hours per day. 7 days per week; this requirement will be Incorporated into the SSG's training and duty cycle.

5.1 Ethics and Legal Policy.

All Contractors shall be subject to local laws, particularly when it comes to illegal. or unauthorized substances or items. The Contractor shall document and hold accountable all employees and sub Contractors to a comprehensive ethics code of conduct. The overall goal is to ensure that the team members supporting this effort continuously cast the program in a professional and moral light that wiH hold up to the level of media scrutiny, The Contractor will put in place a system for accountability and disciplinary actions that wlll be taken in the event of violations.

5.:2 linguist Requirement.

The Contractor shall provide and manage the appropriate number of Contract Linguists to support the required training evolutions and daily interaction between the SSG 'force and training support staff.

full control and accountability of Client furnished property (GFE/GFM) during the period of performance of the contract. The Contractor shall develop and implement a Property Management Plan within 30 days of contract award.

6.2 Government Furnished Equipment

The Client will provide all equipment, material and supplies required to support and sustain the SSG and associated Contractor staff. The list of all equipment, material, to include vehides, weapons, uniforms, tactical gear, etc., will be provide by the Contractor after analysis and review to determlne the Unit Table Organization and Equipment (UTOE) for the SSG and will be included in the EXecution and Management Plan.

7.0 CONTRACT DELIVERABLES. (Annex 8)

Annexes A through E attached hereto and Incorporated by reference, work to be performed under this SOW, the nature of the working relationship between the Client and the Contractor, and specific obligations of both parties.

The Contractor will provide services and staff/ and otherwise do all things necessary for or incidental to the performance of work, as set forth below:

Identify all tasks, work elements- and objectives of the contract, and timetables by which major parts of the work are to be completed. The scope of work may be included within the text of the contract or attached as a separate exhibit as depicted in paragraph 3.2 of the SOW.

The Contractor shall provide a progress report as stated in Annex C attached.

7.3 Invoices

The Contractor shall submit invoices at the end of each scheduled payment cycle. Payment Terms and invoice schedule are depicted on Appendix B.

The dient shall pay the Contractor for providing analytical services on unit mission, composition, equipment and trainihg requirements under paragraph 3.2. These Client exercised option will be invoiced separately and for each change to the base plan requested by the Client, upon acceptance by the Client for the finished analysis.

The CHent shall pay the Contractor for procurement of equipment, ammunition, vehicles or weapons in support of the results of the analytical products or as directed by the Client on a cost plus fee basis.

The Client shall pay the Contractor for the hiring of additional instructors or support personnel in support of changes to the base plan as a result of analytical products developed upon approval by the Client.
