Between: Peter Kelly, Mediação Imobiliária, Unipessoal, Lda, with head Office at Edifício Lagoa Jardim, Lote 1, Loja F, freguesia e concelho de Lagoa, pessoa colectiva n.º 5xxxxxxxx, represented by its legal representantives Peter Kelly, and, Daniel Foster Correia da Silva, herein named as “Algarve Property Specialists” and primeiro outorgante; -ANDXPTO, Mediação Imobiliária, Lda, with head Office at xxxxxxxxxxxxxxxxx, freguesia e concelho de Xxxxxxx, pessoa colectiva n.º 5xxxxxxxx, represented by its çlegal respresentantives Xxxxxxxxxxxx e Xxxxxxxxxxxx, herein named as “Xxxxxxxxxx” and segundo outorgante; Considering that: a) Algarve Property Specialists seeks, whenever possible, to provide its clients, associations or protocoled companies, with actions of prospection, retrieval of information and the promotion in the sphere of the real estate mediation activity, with a strong emphasis com on-line interactive marketing, in terms of planning, study and research and information and business specialised in the real estate activities; b) Xxxxxxxxxx, has the same objectives in the pursuit of achieving the purpose of the real estate mediation contracts its has and which belong to it through its clients; This cooperation protocol is celebrated, which has as its main objective centred in the mutual benefit of the business, technical and human potentials, in achieving these same objectives, and is ruled by the following clauses: FIRST CLAUSE The goal of this cooperation protocol is to increment the achievement of legal deals, objects of their real estate mediation contracts, in equal opportunity and status, respecting each other’s value and entity, their clients and interested parties. SECOND CLAUSE Both parties oblige themselves to act with transparency and respect for each party’s work. And they also promise to: a) Provide the means of e-dissemination of information through their active data bases; b) Promote the contents understood by the parties in this protocol as useful to the target audiences mutually agreed; c) Accompany on equal footing the procedures that come to completion through the achievement of the material object of each real estate mediation contract.
SIXTH CLAUSE This cooperation protocol does not determine any labour relationship between the parties that sign it. if one of them has effectively and in a proven way contributed more to the success of the chore at hand. At its term. if they have contributed equally to the achievement of the deal aimed at by the contract(s) in question. to clients and interested parties foreseen through this protocol. Moreover. FOURTH CLAUSE Each client and interested party will be taken as one event and case. regularly shared and justified. . being that the minute of such minutes become considered as “adendas” of the present protocol and. so as to maintain a balanced Professional relationship. being the remuneration due divided in the following manner. from its beginning and as long as it lasts. in meetings attended by the representatives of both parties. FIFTH CLAUSE During the procedures to achieve the deal aimed at by the original real estate mediation contract. in the percentages agreed between both parties. Both parties agree to revise every trimester this protocol. as such. the parties oblige themselves to accompany the procedures of the processes in the achievement of the deal object of the real estate mediation contract in question. both parties will endeavour in the way of showing to the client in question the sense that a second contract be accepted. except in the context f services rendered between them. the parties will evaluate their contribution to it.
