I've had a quick chat with David. j thought helpful to email on three issues: presentations to internal audiences, discussions with external audiences and the Transition Committee/the Board. Internal audiences- David is keen to preserve the Board's ability to arrive at independent judgements. To ensure this, he'd prefer you gain a good understanding of what the Executive thinks about issues but avoid setting expectations. I think we're getting the balance right at the moment but, as we get into the endgame, we should be cautious about presenting the McKinsey view or the staff view. External audiences - as with internal audiences it is important McKinsey consult widely, listen carefully and test 'elevant areas and options. However this should not involve sharing recommendations or individuals' positions on options. Where there is a' the slides should be shared with me ahead of external engagement. Transition Committee/the Board - McKinsey will not present to the Transition Committee. McKinsey will submit their pack as a Board paper. McKinsey will attend the Board for the discussion of Organisational Design. The Board may want a private afternoon session to discuss Organisational Design at greater length. r hope this is helpful. Assume you already saw this but forwarding just in case Parts of NHS reform mess could be saved By Nicholas Timmins 22 January 2012 Financial Times (FT.Com) As Andrew Lansley's NHS bill slips deeper into the mire, amid ever more noisy opposition from doctors' and nurses' trade unions, there are still bits of the mess that can be rescued. One that has slipped well below the radar is the conflict of interest that has ensnared Mr Lansley's new economic regulator for the NHS. 'onfusingly, it is to be called Monitor - the name of the regulator for NHS foundation trusts. In addition to that task, uowever, it is to take on two new roles: regulating competition in the NHS and helping set prices for treatments. In other words it will be responsible not just for overseeing the financial health and performance of NHS foundation trusts, but for helping set the prices they receive for NHS work and deciding how much competition they face. Ever since Mr Lansley first outlined this idea, before the general election, successive Monitor chairmen have acknowledged that this involves serious conflicts of interest. The prices Monitor sets will affect foundation trust finances. Yet Monitor will be responsible for overseeing their financial viability and protecting the taxpayers' investment in them. A competition ruling, equally, could affect the viability of a trust, and so on. As David Bennett, Monitor's chairman, put it in a paper to his board, there are "real and perceived" conflicts of interest here. "Reasonable stakeholders may disagree, for example, over what constitutes an efficient price, what constitutes an appropriate degree of competitive intensity, or whether Monitor should have done more to protect the survival of an NHS foundation trust," he writes. 'nless Monitor can clearly demonstrate it has acted properly, "allegations and challenges around improper conduct wing to undue influence being exercised by one regulatory function or the other are likely to be numerous". Yet after many months of deliberation and debate, Monitor still does not know how to resolve this. Its latest idea is to have two senior executives - one handling foundation trust regulation and one economic regulation, with a strong "Chinese wall" between them. It may, however, also need to split its board, having separate committees to oversee the two functions - even though the board as a whole will eventually have to take all the key decisions. This not only looks very messy and far from entirely transparent. It also demonstrates the fundamental flaw with this part of Mr Lansley's proposals, namely that his plans are "regulator light". Rather than try to resolve the unresolvable within one organisation, it would be far better to let Monitor continue with its role of overseeing foundation trusts, while a separate organisation does the economic regulation and price setting. The government new quangos. has vigorously resisted this blindingly obvious solution because of its determination not to create

Fortunately a solution is at hand. For the past three years the NHS has had an advisory body set up by Labour which has, in effect, been doing the economic regulation part of the job - though without the price setting. Known as the N HS co-operation and competition panel, it is being rolled into the new Monitor as part of the reforms. Far better to keep it separate and give it the statutory powers for economic regulation, while leaving Monitor to get on with its

existing job. Given that the panel already exists in an advisory form, ministers could claim they are not creating a quango. Without that, Monitor is likely to be plagued not just by the numerous challenges that Mr Bennett fears but by litigation.
