ELIGIBILITY: Contest is open only to, and both Nominators and Nominees (as defined herein) must be, individual permanent legal residents of one of the fifty United States or the District of Columbia. Nominators must be 13 years of age or older as of 7/25/11. Nominees must be between the ages of 13-18 as of 7/25/11. Void where prohibited or restricted by law. Officers, directors, agents and employees of The Coca-Cola Company and the “Promotional Participants” (i.e., Coca-Cola Bottlers, International Olympic Committee (IOC), London Organizing Committee of the Olympic Games and Paralympic Games Limited (“LOCOG”), United States Olympic Committee (USOC), Olympians and current professional athletes, and each of their respective affiliates and subsidiaries, as well as the advertising and promotion agencies and suppliers involved in this contest) and each of their immediate family members (mother, father, sister, brother, husband, wife, daughter, son, step-father, step-mother, step-daughter, step-son, step-brother, step-sister, half-brother, half-sister) and/or those living in the same household of each are not eligible to be a Nominator or a Nominee. To be eligible, the person nominated (“Nominee”) must meet the eligibility criteria stated above as well as the following criteria: Be someone the person submitting the Nomination (“Nominator”) personally knows. Be physically able (without causing themselves any physical harm) to complete the task of carrying the Olympic Flame 300 meters. Have not carried an Olympic Flame within the past 10 years. Uphold and demonstrate the Olympic spirit. Support the London 2012 Olympic Summer Games. Be distinguished for a personal story or feats in his/her school or community that serve to inspire or motivate others in the areas of healthy active living, community involvement or environmental causes. Be willing and dedicated to community services. 2. HOW TO ENTER: Beginning on 7/25/11 at 9:00:01 a.m. Eastern Daylight Time (EDT) through 11:59:59 p.m. (EDT) on 8/15/11 ("Contest Period") logon to www.livepositively.com. If you have not previously done so, you will be required to register on www.livepositively.com. Once registered follow the instructions to complete the nomination form and submit an essay ("Essay") describing a person who meets the eligibility criteria above and you believe to be a champion of positive living and well-being in the community (“Nomination”). You may not nominate yourself. Nominators enter on behalf of the Nominee named in the Nomination. Nominator is not eligible to receive any prize. All entries become the property of The Coca-Cola Company (“Sponsor”) and will not be acknowledged or returned. A champion of positive living and well-being in the community is someone who has positively impacted his/her community in a way that drives and reinforces sustainable, behavioral changes in one or more of the following areas: 1. Healthy Active Living: Inspiring others to live positively by staying active, making smart choices and encouraging others to live healthy, active lifestyles. 2. Community: Striving to make a positive difference in communities near and far. 3. Environment: Being active in recycling, sustainability or conservation programs that help the planet. In your Essay describe and provide examples of how your Nominee has positively affected his/her community in the areas of Healthy Active Living, Community and/or Environment. For example, the Nominee may have started a running club at school, organized an annual bike race, initiated a tutoring program for first generation students with English as a second language, or developed a program to support environmental causes such as recycling, tree planting, water conservation or climate protection. These are just a few examples of the things that a champion of positive living and well-being may have accomplished in your community.
Information stated in your Essay must be truthful and is subject to verification by Sponsor. Essays must be written in English with no more than 150 words. Essays with more than 150 words may be disqualified at Sponsor’s discretion. You may nominate as many different individuals as you would like, however, only one entry per Nominee is permitted by each Nominator. Subsequent entries received from a Nominator for the same Nominee will be disqualified. By submitting a Nomination, Nominator represents that the Essay submitted is the original work of the Nominator, has never been published, has not previously won any other contest or award, use thereof does not infringe third party rights, and is suitable for publication, and that the right to submit the Essay is not restricted by copyright. Essays must not defame or invade publicity rights or privacy of any person, living or deceased, or otherwise infringe upon any person's personal or proprietary rights. Nominations not complying with all rules are subject to disqualification. No correspondence regarding Nominations will be entered into with Nominators or Nominees. Nominator unconditionally assigns and transfers to Sponsor all rights, title, interest and claim to the Essay, including, without limitation, the copyright therein. Sponsor shall have right to use, alter, assign or dispose of Essays however it sees fit, and to grant the right to third parties to use all or portions of the Essays without approval of Nominators. 3. JUDGING CRITERIA: Round 1: On or about 8/16/11 an independent judging organization selected by Sponsor in its sole discretion, will judge all Essays received, based on the following criteria: (50%) Leadership: The Nominee has used influence, ability and resources to effect change. (25%) Sustainable Impact: The Nominee’s work has inspired others on their quest to live positively and/or inspired long-term behavioral change. (25%) Size/Power of Impact: The scale of impact to the community (size and/or percentage of people). The thirty (30) highest scoring Essays (provided a sufficient number of eligible entries are received) will advance to Round 2 of judging. Round 2: The thirty (30) highest scoring Essays from Round 1 of judging will be re-judged on or about 8/22/11 by a second panel of qualified judges selected by Sponsor in its sole discretion, based on the same criteria for Round 1, to select the ten (10) potential “Olympic Torchbearers thanks to Coca-Cola” (“Olympic Torchbearers”). The Nominees featured in the top scoring Essays from Round 2 will be declared the potential Olympic Torchbearers, subject to verification. In the event of a tie in either round, the tie will be broken based on the highest score for the Leadership criteria. If a tie remains, it will then be broken based on the highest score for Size/Power of Impact criteria. Judges’ decisions are final on all matters relating to this Contest. 4. PRIZES AND APPROXIMATE RETAIL VALUE (“ARV”): (10) Grand Prizes (to be awarded to the selected Nominees) – a trip for one (1) Olympic Torchbearer and one (1) guest to London, England where only the selected Nominee will have the opportunity to be an Olympic Torchbearer at the London 2012 Olympic Torch Relay to be held in the vicinity of Oxford, England on or about 7/09/12 – 7/11/12. Actual trip dates to be determined by Sponsor in its sole discretion. Trip includes roundtrip coach air transportation from a major city near selected Nominee’s home as determined by Sponsor in its sole discretion to London, England, 3 days/2 nights hotel accommodations (one room/double occupancy) at Sponsorspecified hotel, ground transportation among airport and hotel and Relay point, and $500 in spending money. ARV: $7,210. There is no monetary value associated with the Olympic Torchbearers portion of the prize. Actual retail value of trip will depend on airfare fluctuations and point of departure/return. Any difference between stated approximate retail value and actual value of prize will not be awarded. Selected Nominee must be able to travel on Sponsor-specified dates or prize will be forfeited in its entirety. Olympic Torchbearer spot is non-transferable. Selected Nominee and guest must possess required travel documents (e.g. valid US Passport) prior to departure and must travel on the same itinerary. If Nominee is a minor in his/her state of residence, the guest of Nominee must be Nominee’s parent or legal guardian. If Nominee is age of majority in his/her state of residence, the guest of the Nominee must be the legal age of majority in his/her state of residence. Any other expenses related to prize, including but not limited to meals, gratuities, luggage fees and incidental hotel and personal expenses, are the sole responsibility of selected Nominee/parent or legal guardian. Sponsor reserves the right to substitute prize of equal or
greater value. Prize consists of only the items specifically listed as part of the prize. Prize cannot be transferred by selected Nominee or redeemed for cash and is valid only for the items detailed above, with no substitution of prize by selected Nominee. If a prize element is not available for any reason, the remaining elements of prize shall constitute full satisfaction of Sponsor’s obligation to selected Nominee and no additional compensation will be awarded. Travel and hotel arrangements to be determined by Sponsor, at its sole discretion. Once issued, tickets are nontransferable and may not be reissued once travel has commenced. Open tickets may not be issued and stopovers are not permitted. Sponsor shall have no responsibility or liability for cancellations, delays, or any other change by any company or person providing any element of Prize due to reasons beyond Sponsor’s control and is not responsible or liable for any expenses incurred as a consequence thereof. If selected Nominee chooses to take the trip with no guest (provided that selected Nominee is not a minor), then the remaining elements of the prize shall constitute full satisfaction of Sponsor’s obligation to selected Nominee and no additional compensation will be awarded. Only one member of a family or household may be an Olympic Torchbearer selected by Coca-Cola in the London 2012 Olympic Torch Relay. 5. NOTIFICATION AND VERIFICATION: Each Potential Olympic Torchbearer (or his/her parent/legal guardian if potential Olympic Torchbearer is deemed a minor in his/her state of residence) will be notified by telephone and/or overnight mail. Potential Olympic Torchbearers may be required to consent to a background check by Sponsor. Sponsor reserves the right, at its sole discretion, to disqualify any individual whose past conduct might reflect negatively on the Sponsor and/or the IOC, London 2012 Olympic Summer Games, the host country or bring the Sponsor into disrepute for any reason. Potential Olympic Torchbearers who pass Sponsor’s background check will be issued an Affidavit of Eligibility/Release of Liability/Publicity Release Form which he/she (or his/her parent/legal guardian if potential Olympic Torchbearer is deemed a minor in his/her state of residence) must sign and return within five (5) days of attempted notification. Potential Olympic Torchbearers must provide along with their Affidavit an Official copy of their school transcript for the 2010-2011 academic year. Potential Olympic Torchbearers (or parent/legal guardian where appropriate) must also agree to comply with the LOCOG Torchbearer Participation Terms. These terms may include completion of the LOCOG Torchbearer Details Form, providing any other documentation (including proof of identity and address) as required by LOCOG and consenting to all background and/or other security checks, as required by LOCOG. The Publicity Release includes consent for Sponsor and its Promotional Participants, and those acting under their control to use their names, picture, voice, likeness, home town and the contents of the Essay, for purposes of advertising, trade and promotion, in any manner it shall elect, in any medium now or hereafter known including, but not limited to, website, television, radio and/or printed materials, worldwide in perpetuity, without further compensation, notification or permission, unless prohibited by law. Olympic Torchbearers (through parent/legal guardian where appropriate) must agree to be filmed, televised, photographed and/or otherwise recorded in connection with the Torch Relay and make themselves available for media and publicity interviews and photographs, for the purposes of publicizing and promotion. Nominators of Potential Olympic Torchbearers (or his//her parent/legal guardian if Nominator is deemed a minor in his/her state of residence) will be required to sign and return within five (5) business days of attempted notification, a Publicity Release Form, an agreement to be contacted by Sponsor or LOCOG in connection with the London 2012 Olympic Torch Relay, and an agreement to be filmed, televised, photographed and/or otherwise recorded in connection with the Torch Relay and make themselves available for media and publicity interviews and photographs, for the purposes of publicizing and promotion. If the foregoing documents are not executed by the prescribed persons noted therein and returned timely, or if notification is returned as non-deliverable, or if a participant is found to be ineligible or otherwise not in compliance with these Rules, Contest prize may be forfeited at the sole discretion of Sponsor and at Sponsor’s discretion, an alternate potential Olympic Torchbearer selected in accordance with these Rules. If a potential Olympic Torchbearer is a minor (as deemed by his/her state of residence) minor’s parent/legal guardian must accompany minor on trip and will be counted as the Olympic Torchbearer guest (subject to satisfactory completion of a background check). Guests of Olympic Torchbearers will be required to consent to a background check. Sponsor reserves the right, at its sole discretion, to refuse to accept any guest whose past conduct might reflect negatively on the sponsor the IOC, London 2012 Olympic Summer Games, and/or the host country or bring the Sponsor into disrepute for any reason. Guests of Olympic Torchbearers will be required to complete a Release of Liability/Publicity Release Form within five (5) days of notification.
GENERAL: All federal, state and local taxes are the sole responsibility of the Olympic Torchbearer. All federal, state and local laws and regulations apply. By participating in this Contest, Nominators agree to abide by and be bound by these Official Rules and the decisions of the judges, which are final in all matters relating to this Contest. By accepting prize, Olympic Torchbearers waive the right to assert as a cost of winning a prize, any and all costs of redemption and any liability which might arise from redeeming or seeking to redeem said prize, or from use, misuse, acceptance or possession of said prize. By participating, and by accepting a prize, Olympic Torchbearers agree to release Sponsor and its Promotional Participants, from any and all liability arising from or in connection with participation in this Contest, or the awarding, receipt or use of any prize. Sponsor and its Promotional Participants are not responsible for: (i) technical failures of any kind, including but not limited to the malfunctioning of any computer, cable, network, hardware or software, delay in operation or transmission, communications line failure, technology outage, theft or destruction or unauthorized access to, or alteration of Nominations, whether caused by the sender or any of the equipment or programming associated with or utilized in the Contest; (ii) the unavailability or inaccessibility of any transmissions or telephone or Internet service; (iii) unauthorized human intervention in any part of the Nomination process or the Contest; (iv) electronic, clerical or human error which may occur in the administration of the Contest or the transmission, receipt or processing of Nominations or notification of potential Olympic Torchbearers; or (v) any injury or damage to persons or property, including but not limited to Nominator’s computer, hardware or software, which may be caused, directly or indirectly, in whole or in part, from Nominator’s participation in the Contest. Without limiting the generality of the foregoing, Sponsor reserves the right, in its sole discretion, to terminate, modify, cancel or suspend this Contest if fraud, technical failures including any network server or hardware failure, viruses, bugs, errors in programming, or any other errors or other causes beyond the control of Sponsor corrupt the administration, security, or proper play, of the Contest. In the event of cancellation, all eligible entries received prior to termination will be judged. The failure of Sponsor to comply with any provision of these Official Rules due to an act of God, hurricane, war, fire, riot, earthquake, terrorism, act of public enemies, actions of governmental authorities outside of the control of Sponsor (excepting compliance with applicable codes and regulations), or other force majeure event will not be considered a breach of these Official Rules. Under no circumstances, including negligence, shall the Sponsor or the Promotional Participants be liable for any direct, indirect, incidental, special or consequential damages that result from the use of or inability to use the website, or out of any breach of any warranty. This exclusion or limitation of liability will not apply to the extent that any applicable statute prohibits such exclusion or limitation of liability. WITHOUT LIMITING THE FOREGOING, EVERYTHING ON THE SPONSOR’S WEBSITE IS PROVIDED "AS IS" WITHOUT ANY WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE OR NON-INFRINGEMENT. SOME JURISDICTIONS MAY NOT ALLOW THE LIMITATIONS OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES OR EXCLUSION OF IMPLIED WARRANTIES; CHECK YOUR LOCAL LAWS FOR ANY RESTRICTIONS REGARDING THESE LIMITATIONS OR RESTRICTIONS. Any attempt to deliberately damage any website or undermine the legitimate operation of this Contest, including but not limited to any fraudulent claims, may be a violation of criminal and civil laws. Should such an attempt be made, Sponsor reserves the right to seek remedies and damages from any such individual, to the fullest extent permitted by law, including criminal prosecution. Sponsor’s failure to enforce any term of these Official Rules shall not constitute a waiver of that provision. Nominator engaging in any of the foregoing activities may be disqualified and his/her nomination(s) withdrawn from consideration. If such activities are discovered after a Nominee has been selected, Sponsor, may, at its discretion, disqualify the selected Nominee and select an alternate. By submitting a nomination, Nominators grant to Sponsor and the Promotional Participants the right to use Nominators’ names, voices, home towns, and/or likenesses for purposes of advertising and trade without further compensation, unless prohibited by law. By accepting prize, Olympic Torchbearers will agree to release and hold Sponsor, the Promotional Participants and their respective directors, officers, employees and assigns, harmless against any and all claims, damages, losses, expenses and liability arising out of acceptance or use of prize. Nominators assume all liability for any injury or damage caused, or claimed to be caused, by participation in this Contest. By participating in this Contest, Nominators agree to be bound by the Official Rules and the decisions of the judges. Sponsor and its Promotional Participants are not responsible for any typographical or other error in the printing, the offering or the announcement of any prize or in the
administration of the Contest. DISPUTES: The Contest is governed by, and will be construed in accordance with, the laws of the State of Georgia, and the forum and venue for any dispute shall be in Atlanta, Georgia. THE PARTIES AGREE THAT THE REMEDY FOR ANY CLAIM BROUGHT PURSUANT TO THIS AGREEMENT SHALL BE LIMITED TO ACTUAL DAMAGES, AND IN NO EVENT SHALL ANY PARTY BE ENTITLED TO RECOVER PUNITIVE, EXEMPLARY, CONSEQUENTIAL, OR INCIDENTAL DAMAGES, INCLUDING ATTORNEY’S FEES OR OTHER SUCH RELATED COSTS OF BRINGING A CLAIM, OR TO RESCIND THIS AGREEMENT OR SEEK INJUNCTIVE OR ANY OTHER EQUITABLE RELIEF. 7.
