LIQUIDATING DEBTORS’ MOTION FOR ORDER EXTENDING THE DEADLINE TO OBJECT TO CLAIMS The captioned liquidating debtors (the "Liquidating Debtors") hereby move this Court (the "Motion") for entry of an order extending the period within which the Liquidating Debtors may object to claims in accordance with Article IX., Section A., of the First Amended Chapter 11 Plan of Liquidation for Pacific Energy Resources Ltd., et al, as Modified (the "Plan") [Docket No. 2088], from March 23, 2011, to September 23, 2011, for the reasons set forth below. Jurisdiction 1. This Court has jurisdiction over this Motion under 28 U.S.C. §§ 157 and

1334. This matter is a core proceeding within the meaning of 28 U.S.C. § 157(b)(2) (A) and (D). Venue of this proceeding and this Motion is proper in this District pursuant to 28 U.S.C. §§ 1408 and 1409.

Section 105 of title 11 of the United States Code (the "Bankruptcy Code"),

Rule 9006 of the Federal Rules of Bankruptcy Procedure (the "Bankruptcy Rules") and the Order confirming the Plan (the "Confirmation Order") [Docket No. 2088] provide the bases for the relief requested herein. Background 3. On March 9, 2009 (the "Petition Date"), the Liquidating Debtors and

various affiliated companies (together with the Liquidating Debtors, the "Debtors") commenced their cases by filing voluntary petitions for relief under chapter lithe Bankruptcy Code (the "Chapter 11 Cases") 4. On December 15, 2010 (the "Confirmation Date"), the Court entered the

Confirmation Order. The Plan became effective on December 23, 2010 (the "Effective Date") 5. Article IX., Section A., of the Plan provides that the Liquidating Debtors

shall file objections to claims within 90 days after the Effective Date ("Objection Deadline") but permits the Objection Deadline to be extended with Bankruptcy Court approval. 6. More than 500 claims were filed in the Debtors’ cases. Prior to the

Effective Date, the Debtors reviewed claims and filed five (5) omnibus objections thereto, as well as other individual claims objections. The Liquidating Debtors believe that all objections to claims have been filed at the time of filing this Motion, but out of an abundance of caution, request that the March 23, 2011 deadline be extended to September 23, 2011, so that the Liquidating Debtors have the opportunity to make certain that no further objections to claims need to be raised.

Relief Requested 7. By this Motion, the Liquidating Debtors seek to extend the Objection

Deadline from March 23, 2011 to September 23, 2011. This is the first motion to extend the Objection Deadline. Pursuant to Del. Bankr. L.R. 9006-2, filing of this Motion prior to the expiration of the Objection Deadline automatically extends the Objection Deadline pending action upon the Motion. Basis for Relief 8. Section 105 of the Bankruptcy Code provides that the Court may "issue

any order. . . necessary or appropriate to carry out the provisions of this title." Also, Fed. R. Bankr. P. 9006(b) provides, in relevant part: [W]hen an act is required or allowed to be done at or within a specified period by these rules or by a notice given thereunder or by order of court, the court for cause shown may. . . order the period enlarged. . Fed. R. Bankr. P. 9006(b). Moreover, the Plan expressly contemplates the possible enlargement of the Objection Deadline upon motion of the Liquidating Debtors. Plan Art. IX, Sec. A. 9. The Debtors and Liquidating Debtors have diligently pursued the

resolution of all claims filed in the Chapter 11 Cases. As stated above, the Liquidating Debtors believe that all objections to claims have been raised, however, to the extent that cause is required, cause exists to extend the Objection Deadline. The Liquidating Debtors, as they make distributions pursuant to the Plan, seek the ability to once again review the claims to be certain that no further objections are warranted. 10. Given the substantial number of claims filed and the estimated recovery

for unsecured creditors in the Chapter 11 Cases, great diligence is demanded of the Liquidating

Debtors to be certain that creditor that do not deserve distributions do not receive them. The Liquidating Debtors thus request this extension so that they may be certain that all appropriate objections will be filed and the recovery of all actual creditors will be maximized. 11. An extension of time will enable the Liquidating Debtors to review and

verify the claims analysis and objection process and to allow the Liquidating Debtors to deal with any claims issues should any arise. 12. Accordingly, the Liquidating Debtors request an extension of the

Objection Deadline from March 23, 2011, to September 23, 2011. Notice 13. The Liquidating Debtors have served copies of this Motion on (a) the

Office of the United States Trustee; and (b) parties requesting notice pursuant to Bankruptcy Rule 2002. The Liquidating Debtors submit that notice of this Motion is sufficient under Federal Rule of Bankruptcy Procedure 3007 and the Plan and that no further notice is necessary. No Prior Request 14. No prior application for the relief sought herein has been duly made by the

Liquidating Debtors to this or any other Court.

Conclusion WHEREFORE, the Liquidating Debtors respectfully request that the Court enter an order, substantially in the form attached hereto, (a) granting the Motion in its entirety; (b) extending the Objection Deadline from March 23, 2011, to September 23, 2011, without prejudice to any request for further extension; and (c) granting such other relief as the Court deems just and proper.
