(DORAVANTE DENOMINADA "SSN") CONSTITUI EM SUA ACEITAO POR PARTE DOS TERMOS DE LICENA DE SOFTWARE E GARANTIA LIMITADA A SEGUIR. SE VOC NO ACEITAR ESTES TERMOS, FAVOR DEVOLVER O HARDWARE E O SOFTWARE EM SUA EMBALAGEM ORIGINAL PARA A LOJA OU OUTRO FORNECEDOR DO QUAL VOC TENHA ADQUIRIDO O PRODUTO, PARA OBTER TOTAL REEMBOLSO DO VALOR DA COMPRA. O que se segue descreve sua licena para utilizar o software (doravante denominado "Software") que foi fornecido juntamente com o seu equipamento SSN DSL (doravante denominado "Hardware") e a garantia limitada que a SSN fornece para seu Software e Hardware. Licena de Software O Software protegido pela lei de direitos autorais e seus tratados internacionais. O Software licenciado e no vendido a voc. Portanto, apesar de voc possuir o meio (CD ROM ou disquete) no qual o Software est gravado, a SSN ou seus licenciadores retm a propriedade do Software em si. 1. Concesso de Licena. Voc pode instalar e utilizar uma (e somente uma) cpia do Software no computador no qual o Hardware estiver sendo instalado. Se o Hardware estiver sendo instalado em uma rede, voc pode instalar o Software em seu servidor da rede ou em outro dispositivo de servidor no qual o Hardware esteja sendo instalado; e nos dispositivos de clientes conectados rede, como necessrio. 2. Restries. A licena concedida limitada. Voc NO pode: * sublicenciar, designar ou distribuir cpias do Software para terceiros; * descompilar, realizar reverso de engenharia, desmontar ou de outra forma, reduzir o Software ou qualquer parte dele de forma que seja percebido; * modificar, adaptar, traduzir ou, de outra forma criar palavras derivadas baseadas no Software ou em qualquer parte dele; ou * alugar, arrendar, emprestar ou de outra forma, agir de forma a obter lucro com o Software. 3. Transferncia. Voc pode transferir o Software somente quando estiver transferindo tambm o Hardware. Nestes casos, voc deve remover todas as cpias do Software de quaisquer dispositivos nos quais ele esteja instalado e deve assegurar que a pessoa para quem voc est transferindo o Hardware receba este Acordo de Licena e Garantia Limitada. 4. Atualizaes Cobertas. Esta licena cobre o Software originalmente fornecido a voc juntamente com o Hardware e quaisquer softwares adicionais que voc possa ter recebido da SSN, seja por meio tangvel (CD ROM ou disquete), seja por meio de download da SSN ou distribudo atravs do suporte ao cliente. Tais softwares adicionais sero considerados como o "Software" para todos os propsitos cobertos por esta Licena.

5. Garantias da Lei de Exportao. Voc reconhece que o Software pode estar sujeito s leis de controle de exportao e s regulamentaes dos EUA. Voc confirma que no exportar nem re-exportar o Software para quaisquer pases que estejam sujeitos s restries de exportao. 6. Nenhum outro direito garantido. Alm da licena limitada expressamente concedida acima, nenhuma outra licena concedida, tanto expressa como implcita, por caducidade, de outra forma, nenhum direito autoral, patente, marca registrada, segredo comercial ou outros direitos de propriedade da SSN ou de seus licenciados. 7. Resciso. Sem limitar seus outros direitos, a SSN pode rescindir esta licena caso voc no cumpra estas disposies. Mediante resciso, voc deve destruir o Software e todas as suas cpias.

Garantia Limitada As garantias limitadas a seguir fornecidas pela SSN estendem-se ao usurio original final do Hardware/licenciado do Software e no so designveis ou transferveis para qualquer comprador/licenciado subseqente. 1. Hardware. A SSN garante que os materiais e a mo-de-obra do Hardware estaro livres de defeitos e que este ter desempenho substancial, de acordo com a documentao do usurio relacionada ao Hardware, por um perodo de um ano a partir da data em que o usurio original final o recebeu. 2. Software. A SSN garante que o Software ter desempenho substancial, de acordo com a documentao que o usurio final recebeu junto com o Hardware e Software, por um perodo de noventa dias a partir da data em que o usurio original final os recebeu. O usurio final responsvel pela seleo do hardware e do software usados em seus sistemas. Dada a ampla variedade de hardware e aplicativos de terceiros, a SSN no garante a compatibilidade, a no-interrupo ou a realizao de operaes sem erros de seu Software com o sistema do usurio final. 3. Remdio Exclusivo. Seu remdio exclusivo e a obrigao exclusiva da SSN pela quebra desta garantia limitada , opo da SSN, ou (a) reembolsar o preo da compra pago pelo Hardware/Software ou (b) reparar ou substituir o Hardware/Software por produtos novos ou remanufaturados. Qualquer substituio de Hardware ou de Software ter garantia cobrindo o restante do perodo original, ou por um perodo de trinta (30) dias, aquele que for mais longo. 4. Procedimentos de Garantia. Se um problema desenvolver-se durante o perodo de garantia limitada, o usurio final dever seguir os procedimentos a seguir: A. Antes de devolver um produto que esteja na garantia, o usurio final deve, em primeiro lugar, ligar para a SSN no nmero (888) 286-9375 ou enviar um e-mail para a SSN no endereo support.ssn@siemens.com a fim de obter o nmero da autorizao para devoluo de material (RMA). As

RMAs so emitidas das 8:00 h s 17:00 h, Horrio Central, menos nos finais de semana e feriados. O usurio final deve fornecer o(s) nmero(s) de srie dos produtos para obter a RMA. B. Aps receber a RMA, o usurio final dever despachar o produto, incluindo as fontes de fora e os cabos, quando aplicvel, com frete ou postagem pr-paga e segurada, para a SSN no endereo 4849 Alpha Road, Dallas Texas 75244, EUA. Dentro de cinco (5) dias aps o comunicado da SSN, o usurio final dever fornecer mesma quaisquer tens que estejam faltando ou, opo da SSN, ela poder (a) substituir os tens faltosos e cobr-los do usurio final ou (b) devolver o produto para o usurio final com frete a cobrar. Este dever incluir um endereo para retorno, nmero de telefone e/ou fax para contato durante o dia. O nmero de RMA deve estar claramente marcado na parte externa da embalagem. C. Os produtos devolvidos sero testados assim que recebidos pela SSN. Os Produtos que passarem por todos os testes funcionais sero devolvidos ao usurio final. D. A SSN devolver o Produto reparado ou substitudo para o usurio final para o endereo por ele fornecido, s custas da SSN. Para os Produtos despachados dentro dos Estados Unidos da Amrica, a SSN se esforar para assegurar a entrega dentro de cinco (5) dias teis a partir da data de recebimento pela SSN. Servio rpido e individualizado est disponvel para o usurio final mediante taxa adicional. E. Mediante solicitao da SSN, o usurio final deve fornecer a data da compra original do produto atravs de uma nota de compra ou de recibo datados, discriminando os tens. 5. Limitaes. * O usurio final no ter cobertura nem benefcios, segundo esta garantia limitada, se o produto estiver sujeito a uso anormal, condies anormais, armazenagem inadequada, exposio umidade, modificaes no autorizadas, reparos no autorizados, mal uso, negligncia, abuso, acidente, alterao, instalao inadequada ou outros atos que no sejam de responsabilidade da SSN, incluindo atos da natureza e danos causados durante o transporte. *A SSN no honrar a garantia e a considerar sem efeito se: (1) o selo ou nmero de srie do Produto estiver adulterado; (2) a caixa do Produto estiver sido aberta ou violada; ou (3) se reparos ou modificaes houverem sido tentados ou efetivamente realizados no Produto por pessoas que no sejam prestadores de servio autorizados da SSN. *A garantia limitada no cobre defeitos na aparncia, cosmticos, decorativos ou tens estruturais, incluindo molduras e qualquer pea no-operacional. *O limite de responsabilidade da SSN, de acordo com esta garantia limitada, ser o valor vista real do produto quando o usurio final devolv-lo para reparo, determinado pelo preo pago pelo usurio final

menos uma quantia razovel a ttulo de uso. A SSN no ser responsvel por quaisquer perdas ou danos. * O usurio final ser cobrado por quaisquer peas ou taxas de mo-deobra no cobertas pela garantia limitada e responsvel por quaisquer despesas relacionadas reinstalao do produto. *ESTA GARANTIA LIMITADA A NICA QUE A SSN TEM PARA O PRODUTO E PARA O SOFTWARE. NA MEDIDA PERMITIDA POR LEI, NENHUMA OUTRA GARANTIA SE APLICA, SEJA EXPRESSA, IMPLCITA OU ESTATUTRIA, INCLUINDO QUALQUER OUTRA DE COMERCIABILIDADE OU ADEQUAO PARA UMA FINALIDADE EM PARTICULAR. 6. Reparos Fora da Garantia. Reparos fora da garantia esto disponveis mediante uma taxa fixa. Favor entrar em contato com a SSN pelos telefones fornecidos acima para determinar esta taxa. Os usurios finais que desejarem um reparo dentro da garantia devem entrar em contato com a SSN, como descrito acima, para obter a RMA e para providenciar o pagamento da taxa de reparo. Todas as taxas para transporte sero cobradas do usurio final. Disposies Gerais As disposies gerais a seguir aplicam-se Licena de Software e Garantia Limitada mencionadas acima: 1. Sem Modificaes. A garantia limitada acima mencionada o nico e exclusivo remdio do usurio final e substitui todas as outras garantias, expressas ou implcitas. Nenhuma informao ou conselho verbal e/ou escrito dados pela SSN ou seus revendedores, distribuidores, funcionrios ou agentes ampliaro, modificaro ou sero adicionados, de nenhuma maneira, Licena de Software e Garantia Limitada. Esta Licena de Software e Garantia Limitada constitui o acordo total entre a SSN e o usurio final e substitui todas as outras representaes, acordos ou entendimentos contemporneos, verbais ou escritos. Esta Licena de Software e Garantia Limitada no pode ser alterada ou emendada, exceto mediante um instrumento por escrito, celebrado por um representante devidamente autorizado da SSN. A SSN no assume nem autoriza nenhum centro de servio autorizado ou qualquer outra pessoa ou entidade a assumir, em seu nome, qualquer obrigao ou responsabilidade alm daquelas expressamente fornecidas nesta garantia limitada, incluindo o fornecedor ou vendedor de qualquer garantia ampliada ou acordo de servio. O prazo da garantia limitada para os complementos e acessrios fornecidos pela SSN est especificamente definido dentro de seus respectivos cartes de garantia e tambm na embalagem. 2. EXCLUSO DE DANOS INCIDENTAIS, CONSEQENTES E ALGUNS OUTROS. NA TOTAL MEDIDA PERMITIDA POR LEI, EM NENHUMA HIPTESE, A SSN OU SEUS LICENCIADORES SERO RESPONSVEIS, TANTO POR MEIO DE CONTRATO, GARANTIA, ATO ILCITO OU POR QUALQUER OUTRA TEORIA DA LEI, POR QUAISQUER DANOS ESPECIAIS, INCIDENTAIS, PUNITIVOS, CONSEQENTES OU SIMILARES, POR QUAISQUER QUE SEJAM, INCLUINDO, MAS NO SE LIMITANDO A, DANOS POR LUCROS CESSANTES, INTERRUPO DE NEGCIOS, FERIMENTO PESSOAL, PERDA OU,

AQUELES CAUSADOS A DADOS OU INFORMAES COMERCIAIS, MESMO SE A SSN HOUVER SIDO INFORMADA SOBRE A POSSIBILIDADE DE OCORREREM. A RESPONSABILIDADE DA SSN OU DE SEUS LICENCIADORES PARA COM VOC (CASO HAJA) RELATIVA A DANOS DIRETOS REAIS, DEVIDO A QUALQUER CAUSA QUE SEJA E INDEPENDENTE DA FORMA DE AO, ESTAR LIMITADA E NO EXCEDER QUANTIA PAGA PELO HARDWARE/SOFTWARE. 3. Geral. Esta Licena de Software e Garantia Limitada ser coberta e interpretada de acordo com as leis do Estado do Texas, Estados Unidos (sendo excludos os conflitos das regras da lei) e vigorar em benefcio da SSN e de seus sucessores, designados e representantes legais. A Conveno das Naes Unidas sobre Contratos para Venda Internacional de Mercadorias no se aplica. A Lei de Uniformizao de Transaes de Informaes sobre Computadores no se aplica. Caso qualquer disposio desta Licena de Software e Garantia Limitada seja considerada por uma corte de competente jurisdio como sendo invlida ou no executvel de acordo com qualquer item de lei aplicvel, tal disposio ser executada na medida mxima permitida e as demais disposies desta Licena de Software e Garantia Limitada permanecero em total vigor e efeito. ("SSN") CONSTITUTES ACCEPTANCE BY YOU OF THE TERMS OF THE FOLLOWING SOFTWARE LICENSE AND LIMITED WARRANTY. IF YOU DO NOT ACCEPT THESE TERMS, PLEASE RETURN THE HARDWARE AND SOFTWARE IN ITS ORIGINAL PACKAGING TO THE STORE OR OTHER VENDOR FROM WHICH YOU PURCHASED IT FOR A FULL REFUND OF THE PURCHASE PRICE. The following describes your license to use the software (the "Software") that has been provided with your SSN DSL customer premises equipment ("Hardware") and the limited warranty that SSN provides on its Software and Hardware. Software License The Software is protected by copyright laws and international copyright treaties. The Software is licensed and not sold to you. Accordingly, while you own the media (CD ROM or floppy disk) on which the Software is recorded, SSN or its licensors retains ownership of the Software itself. 1. Grant of License. You may install and use one (and only one) copy of the Software on the computer on which the Hardware is being

installed. If the Hardware is being installed on a network, you may install the Software on the network server or other server-side device on which the Hardware is being installed and onto the client-side devices connected to the network as necessary. 2. Restrictions. The license granted is a limited license. You may NOT:

* sublicense, assign, or distribute copies of the Software to others; * decompile, reverse engineer, disassemble or otherwise reduce the Software or any part thereof to a human perceivable form; * modify, adapt, translate or create derivative works based upon the Software or any part thereof; or * rent, lease, loan or otherwise operate for profit the Software. 3. Transfer. You may transfer the Software only where you are also transferring the Hardware. In such cases, you must remove all copies of the Software from any devices onto which you have installed it, and must ensure that the party to whom you transfer the Hardware receives this License Agreement and Limited Warranty. 4. Upgrades Covered. This license covers the Software originally provided to you with the Hardware, and any additional software that you may receive from SSN, whether delivered via tangible media (CD ROM or floppy disk), down loaded from SSN or delivered through customer support. Any such additional software shall be considered "Software" for all purposes under this License. 5. Export Law Assurances. You acknowledge that the Software may be subject to export control laws and regulations of the U.S.A. You confirm that you will not export or re-export the Software to any countries that are subject to export restrictions. 6. No Other Rights Granted. Other than the limited license expressly granted herein, no license, whether express or implied, by estoppel or otherwise, is granted to any copyright, patent, trademark, trade secret, or other proprietary rights of SSN or its licensors. 7. Termination. Without limiting SSN's other rights, SSN may terminate this license if you fail to comply with any of these provisions. Upon termination, you must destroy the Software and all copies thereof.

Limited Warranty The following limited warranties provided by SSN extend to the original end user of the Hardware/licensee of the Software and are not assignable or transferable to any subsequent purchaser/licensee. 1. Hardware. SSN warrants that the Hardware will be free from defects in materials and workmanship and will perform substantially in compliance with the user documentation relating to the Hardware for a period of one year from the date the original end user received the Hardware. 2. Software. SSN warrants that the Software will perform substantially

in compliance with the end user documentation provided with the Hardware and Software for a period of ninety days from the date the original end user received the Hardware and Software. The end user is responsible for the selection of hardware and software used in the end user's systems. Given the wide range of third-party hardware and applications, SSN does not warrant the compatibility or uninterrupted or error free operation of our Software with the end user's system. 3. Exclusive Remedy. Your exclusive remedy and SSN's exclusive obligation for breach of this limited warranty is, in SSN's sole option, either (a) a refund of the purchase price paid for the Hardware/Software or (b) repair or replacement of the Hardware/Software with new or remanufactured products. Any replacement Hardware or Software will be warranted for the remainder of the original warranty period or thirty (30) days, which ever is longer. 4. Warranty Procedures. If a problem develops during the limited warranty period, the end user shall follow the procedure outlined below: A. Prior to returning a product under this warranty, the end user must first call SSN at (888) 286-9375, or send an email to SSN at support.ssn@siemens.com to obtain a return materials authorization (RMA) number. RMAs are issued between 8:00 a.m. and 5:00 p.m. Central Time, excluding weekends and holidays. The end user must provide the serial number(s) of the products in order to obtain an RMA. B. After receiving an RMA, the end user shall ship the product, including power supplies and cable, where applicable, freight or postage prepaid and insured, to SSN at 4849 Alpha Road, Dallas Texas 75244, U.S.A. Within five (5) days notice from SSN, the end user shall provide SSN with any missing items or, at SSN's sole option, SSN will either (a) replace missing items and charge the end user or (b) return the product to the end user freight collect. The end user shall include a return address, daytime phone number and/or fax. The RMA number must be clearly marked on the outside of the package. C. Returned Products will be tested upon receipt by SSN. Products that pass all functional tests will be returned to the end user. D. SSN will return the repaired or replacement Product to the end user at the address provided by the end user at SSN's expense. For Products shipped within the United States of America, SSN will use reasonable efforts to ensure delivery within five (5) business days from the date received by SSN. Expedited service is available at additional cost to the end user. E. Upon request from SSN, the end user must prove the date of the original purchase of the product by a dated bill of sale or dated itemized receipt. 5. Limitations. * The end user shall have no coverage or benefits under this limited warranty if the product has been subject to abnormal use, abnormal conditions, improper storage, exposure to moisture or dampness, unauthorized modifications, unauthorized repair, misuse, neglect,

abuse, accident, alteration, improper installation, or other acts which are not the fault of SSN, including acts of nature and damage caused by shipping. * SSN will not honor, and will consider the warranty voided, if: (1) the seal or serial number on the Product have been tampered with; (2) the Product's case has been opened; or (3) there has been any attempted or actual repair or modification of the Product by anyone other than an SSN authorized service provider. * The limited warranty does not cover defects in appearance, cosmetic, decorative or structural items, including framing, and any nonoperative parts. * SSN's limit of liability under the limited warranty shall be the actual cash value of the product at the time the end user returns the product for repair, determined by the price paid by the end user for the product less a reasonable amount for usage. SSN shall not be liable for any other losses or damages. * The end user will be billed for any parts or labor charges not covered by this limited warranty. The end user will be responsible for any expenses related to reinstallation of the product. * THIS LIMITED WARRANTY IS THE ONLY WARRANTY SSN MAKES FOR THE PRODUCT AND SOFTWARE. TO THE EXTENT ALLOWED BY LAW, NO OTHER WARRANTY APPLIES, WHETHER EXPRESS, IMPLIED OR STATUTORY, INCLUDING ANY WARRANTY OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE. 6. Out of Warranty Repair. Out of warranty repair is available for fixed fee. Please contact SSN at the numbers provided above to determine the current out of warranty repair rate. End users seeking out of warranty repair should contact SSN as described above to obtain an RMA and to arrange for payment of the repair charge. All shipping charges will be billed to the end user. General Provisions The following general provisions apply to the foregoing Software License and Limited Warranty: 1. No Modification. The foregoing limited warranty is the end user's sole and exclusive remedy and is in lieu of all other warranties, express or implied. No oral or written information or advice given by SSN or its dealers, distributors, employees or agents shall in any way extend, modify or add to the foregoing Software License and Limited Warranty. This Software License and Limited Warranty constitutes the entire agreement between SSN and the end user, and supersedes all prior and contemporaneous representation, agreements or understandings, oral or written. This Software License and Limited Warranty may not be changed or amended except by a written instrument executed by a duly authorized officer of SSN. SSN neither assumes nor authorizes any authorized service center or any other person or entity to assume for it any other obligation or liability beyond that which is expressly provided for in this limited

warranty including the provider or seller of any extended warranty or service agreement. The limited warranty period for SSN supplied attachments and accessories is specifically defined within their own warranty cards and packaging. 2. EXCLUSION OF INCIDENTAL, CONSEQUENTIAL AND CERTAIN OTHER DAMAGES. TO THE FULL EXTENT PERMITTED BY LAW, IN NO EVENT SHALL SSN OR ITS LICENSORS BE LIABLE, WHETHER UNDER CONTRACT, WARRANTY, TORT OR ANY OTHER THEORY OF LAW FOR ANY SPECIAL, INCIDENTAL, EXEMPLARY, PUNITIVE, CONSEQUENTIAL DAMAGES OR ANY SIMILAR DAMAGES WHATSOEVER, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, BUSINESS INTERRUPTION, PERSONAL INJURY, LOSS OR IMPAIRMENT OF DATA OR BUSINESS INFORMATION, EVEN IF SSN HAS BEEN NOTIFIED OF THE POSSIBILITY OF SUCH DAMAGES. SSN'S OR ITS LICENSORS' LIABILITY TO YOU (IF ANY) FOR ACTUAL DIRECT DAMAGES FOR ANY CAUSE WHATSOEVER, AND REGARDLESS OF THE FORM OF THE ACTION, WILL BE LIMITED TO, AND SHALL NOT EXCEED, THE AMOUNT PAID FOR THE HARDWARE/SOFTWARE. 3. General. This Software License and Limited Warranty will be covered by and construed in accordance with the laws of the State of Texas, United States (excluding conflicts of laws rules), and shall inure to the benefit of SSN and its successor, assignees and legal representatives. The United Nations Convention on Contracts for the International Sale of Goods shall not apply. The Uniform Computer Information Transactions Act shall not apply. If any provision of this Software License and Limited Warranty is held by a court of competent jurisdiction to be invalid or unenforceable to any extent under applicable law, that provision will be enforced to the maximum extent permissible, and the remaining provisions of this Software License and Limited Warranty will remain in full force and effect.
