BID SPECIFICATION AND CONTRACT DOCUMENT FOR THE SUPPLY OF CATALYTIC CONVERTERS

SUPPLY OF OF CATALYTIC CONVERTERS Introduction Monroe NewPower Corporation (Monroe NewPower) owns two cogeneration facilities in Rochester, NY. One facility is located at the IOLA Complex, and the other facility is located at Monroe Community College. Monroe NewPower is required by 40 CFR 63, Subpart ZZZZ, to reduce carbon monoxide emissions from the combustion engines at these facilities. In order to reduce these emissions, Monroe NewPower must install a catalyst on each engine. At the IOLA Complex there are (3) Caterpiller 3615B LE GenSets. Units 1 & 2 have Maxim Model MBT 721(895)-18(14)-2PVW-150 Heat Recovery Silencer Units along with Maxim 14 MT41 (Special) Exhaust Silencers. Unit 3 has only the Exhaust Silencer. At the MCC facility there are (4) Caterpiller 3615B LE GenSets. Units 1, 2 & 3 have Maxim Model MBT 721(895)18(14)-2PVW-150 Heat Recovery Silencer Units along with Maxim 14 MT41 (Special) Exhaust Silencers. Unit #4 has only the Exhaust Silencer. Modifications can be made to the existing installation that allows for the installation of the Catalyst Converter after the engine and before the Exhaust Silencers and Heat Recovery Silencer Units. Scope of Proposals This bid request is for the catalytic converters and related monitoring equipment. No on-site installation labor is required. Contract Documents This Specification and the completed Proposal Forms shall be included in the final purchase order contract. No other proposal forms nor terms and conditions shall be allowed. Bid Documents A returned bid package shall include the entire Bid Form section, and information as spelled out in the Instructions to Bidders. Other proposal data, brochures, etc., may be included under a separate cover, but are not a part of the bid. Evaluation Evaluation will be based on a number factors. These factors include: 1) price for base bid, 2) schedule of delivery, 3) pressure drop across the units.

BID FORMS Bids shall be made only on the forms provided and all blank and underlined spaces in the forms shall be fully filled in, in ink or typed. Bidders shall furnish all information requested herein by filling in the blanks in the submitted copies of this specification. All amounts shall be fully stated both in writing and figures. Bids shall be signed by Principals or Officers duly authorized to execute such documents on behalf of their respective firms or organizations, and the Certificate included in the Bid Form shall be completed accordingly. Bidders legal name must be fully stated. The completed forms shall be without interlineation, alternations, or erasures unless initialed and dated by the signer. 2. RECAPITULATION OF BID Bids shall not contain any recapitulation of the work to be done. No oral, telegraphic or telephonic bids or modifications will be considered. 3. Proposals shall be delivered to Monroe NewPower at the address listed above not later than 2:00 p.m. on March 8, 2013 No oral, telegraphic or telephonic bids or modifications shall be considered. 4. BID OPENING Bids will be opened privately by Monroe NewPower, following the close of the bid preparation period. Bid evaluation will be a few days. Written notification of acceptance or rejection of the bids shall follow. Each bid shall be evaluated for technical merit, contract terms and price. START OF MANUFACTURING The undersigned agrees, if awarded the Contract, to commence manufacturing after date of issuance of written notice to proceed.

TIME TO COMPLETE The Bidder shall state in the space provided in the Bid Form, the number of calendar days required to perform complete engineering of the pump.

BONDS Performance Bond - The successful Bidder shall furnish Monroe NewPower with a "Performance Bond" in the amount of 100% of the Contract Price. The cost of such bonds shall be included in the Bidders Proposal. This Bond is to be in a form with such sureties as Monroe NewPower may approve.

9.
AWARD OF CONTRACT Monroe NewPower reserves the right to reject any or all Bids, and to waive any formalities in proposing. All Bids shall remain in force and effect for a period of not less than thirty (30) calendar days following the bid opening date. Monroe NewPower will evaluate the bids based on price, quality, life cycle cost, and delivery schedule among other factors.
10.
EXAMINATION OF CONTRACT DOCUMENTS Each Bidder shall thoroughly examine and become familiar with the Specifications and associated Bid Documents. By submitting a Bid, the Bidder convenants and affirms that he has carefully examined the Specifications, associated Bid Documents, the Addenda and Bulletins, if any, that he relies on no representation by Monroe NewPower, and that from his own investigation, he has satisfied himself as to the nature of the work, the general conditions, and all matters which may in any way affect the work or its performance, and as a result of such examination and investigation, he fully understands the conditions of bidding and that he will not make any claim for, and waives any right to damage because of misinterpretation or misunderstanding of the Bid Documents and the conditions of bidding.
11.
DISCREPANCIES Should a Bidder find discrepancies in or omissions from the Specifications and associated Bid Documents, or should he be in doubt as to their meaning, he shall at once notify Monroe NewPower, who will send written instructions to all Bidders. Monroe NewPower will not be responsible for oral instructions. Every request for such interpretation should be in writing, addressed to Monroe NewPower. Inquiries received seven (7) or more days prior to the date fixed for opening of Bids will be given consideration.

ADDENDA AND BULLETINS Addenda and/or bulletins issued during the bidding period shall be acknowledged in the space provided in the Bid Forms.

13.
ALTERNATIVES AND SUBSTITUTIONS Manufacturers shall bid exactly as specified in the Technical Requirements. If in the Bidders opinion improvements in either performance or economy can be effected by departures from the specifications, these departures should be offered as separate alternatives. The Manufacturer shall fill out the alternative section of the Bid Form, attaching a written explanation of all alternatives and the associated benefits. If alternatives or substitutions are offered, the Bidder should state clearly wherein the equipment offered is not in accordance with the specifications, why such alternatives are offered, and how in his opinion these alternatives will benefit the Purchaser.
14.

Conditions shall not be considered. Exceptions requested after the proposal date will not be allowed. Those exceptions included will be evaluated as part of the bid, negotiated independently with the Bidders, and issued as an amendment to the specifications in the purchase order. 16.
