For and on behalf of Damodar Valley Corporation, sealed tenders (in duplicate) in 02(Two) PARTS containing 03(three) envelopes (A,B&C) Earnest Money Deposit(EMD)(Envelope-A);Techno- Commercial Bid forming PART-I (Envelope B), Price-Bid forming PART-II (Envelope C) are invited by Superintending Engineer(Tech), MTPS(O&M), DVC, Bankura, Pin Code 722 183,West Bengal for the under mentioned work.. The sealed tenders are to be submitted by way of marking the sealed envelopes correctly as EMD (EnvelopeA), Techno-Commercial Bid/PART-I (Envelope-B) & Price-Bid/PART-II (Envelope-C) respectively as stated above. SCOPE OF WORK: Annual Maintenance Contract for Electrical Equipments and Accessories for Unit Nos.-1,2&3 (210 MWeach), MTPS,DVC. OTHER RELEVANT CONDITIONS: (i) Contract Period: For a period of 01(one) year from the date of commencement of work with a provision for continuation of contract for further one year at the same rate, terms and conditions subject to review performance at the end of 1st year. (ii) Estimated Cost: Rs. 45,15,000/- (Rupees forty five lakhs fifteen thousand) only. (iii) Earnest Money Deposit (EMD): Rs.90,300/- (Rupees ninety thousand three hundred) only. (iv) Cost of Tender Papers/Documents: Rs.500/- (Rupees five hundred) only;. (v) Sale of Tender Papers/Documents: From 27.05.09 to 26.06.09 (vi) Last Date of Receipt (Submission) of Tender: Up to 3.30 P.M of 29.06.09 (vii) Opening of tender: At 3:30 PM on 29.06.09 Non-transferable tender papers/tender documents will be available in the office of the Superintending Engineer(Tech), DVC, MTPS(O&M), Bankura, Pin Code 722 183, W.B on all working days w.e.f 27.05.09 to 26.06.09 ( 9 A.M to 3.00 P.M.) except Sundays and Holidays against cash receipt of Rs.500/- (Rupees five hundred) only (non-refundable) issued from the office of the Sr. Addl. Chief Accounts Officer, MTPS, DVC or Demand Draft/Bankers Cheque for equivalent amount favouring Damodar Valley Corporation, MTPS(O&M) payable either at UBI, MTPS Br. (Code No.-MPS-56) or SBI, MTPS Br. (Code No.-6608). For obtaining tender papers, the intending tenderers should apply to the Superintending Engineer (Tech), MTPS (O&M), DVC enclosing documents of credentials (Xerox copies) as mentioned below under the Qualifying Requirement along with Company Registration Certificate/valid STCC/VAT Registration Certificate. Alternatively, the complete bid documents/tender papers are also available on DVCs Websites www.dvc.gov.in and www.dvctender.com. The intending tenderers may visit the said websites for participation. Tender fees for Rs.500/- (Rupees five hundred) only (non-refundable) is to be submitted in the form of Demand draft/Bankers Cheque as stated above and the same to be placed in the Envelope A along with EMD. Qualifying Requirement:
1. The bidder shall have the following working experience: A. At least two years experience to carry out AMC work of 210 MW or higher capacity Thermal Power Plant Electrical Installation Jobs i.e. Jobs related with maintenance/overhauling etc. (e.g. Jobs related with 3.3/6.6Kv breakers and its control ckt. 415V L.T. Sw. Gr. systems, L.T. Motors and its associated circuit, H. T. Motor, Distribution transformer, Actuator etc.) OR Erection and commissioning of various Electrical Installations of Boiler, Turbine and their auxiliaries etc (Erection and commissioning of 3.3/6.6Kv H.T. & 415V L.T. system, different Actuators etc. will be mandatory) of 210 MW or higher capacity thermal power plant B. The Company should have adequate Technical Manpower in pay roll for last one year which includes Graduate Engineer, Supervisor & Technician etc. C. The Company should have valid Electrical Contractor License. 2. Experience of having successfully completed similar works during last 7 years ending last day of month previous to one in which offers are invited should be either of the following: a. Three similar completed works each costing not less than the amount equal to 30% of the estimated cost i.e. Rs.13,54,500/-. OR b. Two similar completed works each consisting not less than the amount equal to 40% of the estimated cost i.e. Rs.18,06,000/-. OR c. One similar completed works costing not less than the amount equal to 70% of the estimated cost i.e. Rs.31,60,500/-. A tolerance of 5% is allowable on the above quantum to take care of marginal shortfall NOTE: Similar Job means : Execution of maintenance contract of 210 MW or higher capacity Thermal Power Plant Electrical Installation Jobs i.e. Jobs related with maintenance/overhauling etc. (e.g. Jobs related with 3.3/6.6Kv breakers and its control ckt. 415V L.T. Sw. Gr. systems, L.T. Motors and its associated circuit, H. T. Motor, Distribution transformer, Actuator etc.) OR Erection and commissioning of various Electrical Installations of Boiler, Turbine and their auxiliaries etc (Erection and commissioning of 3.3/6.6Kv H.T. & 415V L.T. system, different Actuators etc. will be mandatory) of 210 MW or higher capacity thermal power plant Completed work means:- The executed/completed portion of work/AMC/RC, even if it has not been completed in totality (subject to to furnishing the proof of executed value of the work in the form of certified copies of RA bill). The bidder has to submit the following documents along with NIT. a) Average Annual Turnover of preceding 3 years should not be less than 30% of the estimated cost. b) Overall profitability & cash profit as certified by Auditor / CA, including Annual Accounts & Balance sheet of preceding 3 years. c) A latest Bank Solvency Certificate. d) Status of organization (i.e. sole-proprietor ship, partnership or company) with documentary evidence. e) A latest STCC / VAT Registration Certificate/service tax reg. certificate.

The following points may please be noted: 1) Submission of Tender: Sealed tenders will be received in the Tender Box up to 15.30 hrs. (i.e. 03.30 P.M.) on
29.06.09 in the office of the Superintending Engineer (Tech), DVC, MTPS(O&M) and Techno-Comml Bids (PARTI) shall be opened immediately on the same day after 15:30 hrs.(i.e at 03.30 P.M) in presence of the intending tenderers or their authorized representatives.The Price Parts (PART-II) of the techno-commercially acceptable bidders only will be opened on a date to be intimated later on.

02. Earnest Money Deposit: Earnest Money for Rs.90,300/- (Rupees ninety thousand three hundred) only must be deposited in any of the following forms: (i)Pay Order or demand draft drawn in favour of Damodar Valley Corporation, MTPS (O&M). The instruments should be payable either on UBI, MTPS Br.(Code No.-MPS-56) or SBI, MTPS Br. (Code No.-6608). (ii)Bank Guarantee (B.G) from a Nationalized Bank/Scheduled Bank/Foreign Banks, irrevocable and operative till the validity of the offer as per standard proforma enclosed. (iii)Post Office National Savings Certificate having face value equal to the EMD value and duly endorsed in favour of DVC. (iv) Fixed Deposit Receipt issued by Nationalized Bank endorsed in favour of DVC. (v) DVC Bonds duly endorsed in favour of DVC. The offer accompanied by B.G against EMD will only be considered valid on acceptance of the Bank Guarantee. The offer not accompanied by EMD or specified EMD in proper form as defined above shall not be considered as valid tender for opening. Note: Earnest Money will only be refunded to the unsuccessful Tenderer (s) after finalization of Tender and no interest will be paid thereon. 03. Location of MTPS Site: MTPS Site is near Durlavpur situated at the crossing of Ranigunj Bankura Road and Barjora Durlavpur Road under P.S.- Gangajalghati in the District of Bankura, W.B. and is 28 km (approx) by Road from Durgapur Railway Station of Eastern Railway, 34 km by Road from Bankura Railway Station of E.R. 04. Issuance of the tender papers/documents shall not automatically imply qualification of the firm for bidding which shall be determined during bid evaluation. 05.DVC reserves the right not to accept the lowest rate quoted by a bidder and may reject any or all the tenders without assigning any reason whatsoever. 06. All legal suits arising out of the enquiry and subsequent Letter of Intent/Work Order ,if any, are subject to jurisdiction in the Court of City of Kolkata in India and no other Court elsewhere. 07.Any addendum/corrigendum/extension, if required, pertaining to the NIT will be hoisted in DVC website only and will not be published in Newspaper again. Bidders are requested to visit DVC website regularly for any addendum/corrigendum/extension till opening of the said NIT. 08. If last date of Sale of Tender or date of submission of Tender is declared holiday, the due dates will be the next working days accordingly. ANNEXURE-I
Scope of work: 1. Job category:
Unless any exclusion is specifically mentioned, the maintenance job will be as per the following six categories. The job categories and the scope of work in each category are detailed below. Any job in respect to the Units # 1, 2 & 3 Electrical Installations (tentative List of major equipments as given below) has to be carried out by the contractor in normal working-hours and also any time in the day or night including Sundays and holidays without any extra cost of DVC. The jobs specified are only indicative but not exhaustive. A. The daily running maintenance jobs:a. The Contractor has to prepare the daily running maintenance work schedule as per direction of DVC Engineers and arrange for necessary work permit in every morning and the party will have to depute required workforce accordingly. b. The contractor has to carry out all the tit bit maintenance work of any Electrical Equipment/System/installation of inside power house and depute required workforce asper requirement and as per instruction of Maintenance Engineer of DVC. c. The site-in-charge / supervisor will consult with DVC Engineers all the time till the job is complete. DVC will not bear any extra cost if extra time is required for completion of the Job. B. Break down maintenance jobsa. Any type of Break down jobs in respect to the Units # 1, 2 & 3 Electrical Installations/List of the mentioned equipments has to be carried out by the contractor in normal working hours and also any time in the day or night including Sundays and holidays without any extra cost of DVC. b. The Site - in - Charge / Supervisor has to be available at MTPS site for coordinating the workmen deployment during the above mentioned condition. C. Shut down/Overhauling maintenance jobs:a. The time period for shut down of the plant or for any equipment will be according to the discretion of DVC. b. DVC will prepare the job involvement for the shut down works. c. The Shut down period may squeeze and it will be according to the discretion of DVC. d. The party has to complete all the shut down jobs within the shut down period. e. The Party has to provide adequate maintenance support on round the clock basis for completion of the specified shut down jobs within the shut down periods. f. DVC will not bear any extra cost for additional engagement of workforce for Extra Time or Extra workmen needed for the Shutdown work. g. Apart to the scheduled Shut down jobs the party has to engage his workforce for arranging the temporary power supply for lighting, welding etc. and its dismantling or other maintenance department if required. h. DVC Engineer may divert any group for other running unit/s for the interest of the plant in consultation with Site in charge/supervisor. i. The party has to complete the job up to the satisfaction of DVC Engineers within the stipulated time period of shutdown. D. Preventative maintenance job:a. DVC Engineer will provide preventative maintenance work schedule for the equipments /installations / systems related to the Electrical Division as per requirement one day before and the party should carry out the job and report to the concern Engineer and maintain the record duly signed by DVC Engineer. b. Testing & calibration checking, tit bit repairing of meters, relays, transducers etc-for 6.6 Kv panel board, LT boards, control desk etc. E. Jobs that may require time to time for the plant:-

a. Laying of L.T. Cables, Termination, Glanding, Jointing etc.


HT/ LT. Switch gear repairing, modification with the supervision of DVC Engineer. Changing of HT motor bearing after decoupling & recoupling work. Replacement of LT motor irrespective of its size and also its bearings. Minor Fabrication, welding, boring, gas cutting, drilling, grinding, thread cutting panel cutting etc. the party has to arrange the man and materials (consumables only) and equipments required for those types of jobs without any extra cost to DVC. f. Painting (patch work), leveling of equipments. g. De-watering / cleaning of cable trench/racks/gallery etc. Required pump will be supplied by DVC. h. Sealing of panel holes. i. Temporary connection and disconnection of power supplies, illumination as required for maintenance and testing works. j. The party has to provide assistance by providing skilled & unskilled manpower, tools, test equipments etc. for the Experts, CTC team etc. which DVC may require to engage from time to time as per requirement. k. Collection of materials from main store/site store as per requirement. l. Laying of LT & HT cables in Milling plant equipment / Ash handling plant / entire ESP areas. F. Optional Jobs:The following jobs will be treated as optional. DVC may ask to carry out those jobs as per the requirement. The party has to depute sufficient quality workforce, consumables (e.g. D/A, oxygen gas, cleaning agents etc.) including tools and tackles to carry out the jobs. The jobs are as follows:Sl Description of Job Approx no. Qty./ Span per annum 1. HT cable jointing 06 nos. 2. Laying of cables (a) 50 mm2 to 185 mm2 (overhead) 1000 mtr. and under ground cables (b) 185 mm2 and above 1000 mtr. 3. Overhauling of HT motors 03 nos. 4. Shifting of damaged HT motors to the repairing bay within 03 nos. MTPS campus 5. Shifting of repaired/ healthy HT motors from repairing bay 05 nos. to the plinth / from one plinth to the other Note: (i) Cable jointing kit shall be supplied by the contractor at his own cost. (ii) The above mentioned quantity and length of cables to be laid is purely tentative and may vary during actual execution of the contract. The contractor shall carry out the excess job at the same rate, for any no. of quantity / length of the individual items, during the entire period of the contract of one year. b. c. d. e.

2. Period of Contract:The contract will remain valid for a period of 12 months (i.e. 01 year) from the date of commencement. The contract may be extended for another one year at the same rate & terms and conditions subject to satisfactory performance of the party.

3. Termination of Contract:DVC reserves the right to terminate the contract at any stage without assigning any reason or for unsatisfactory performance (after allowing a reasonable time to be mutually agreed upon for rectifying the shortfall in performance) without any compensation for loss or damage due to such termination in 01(one) months notice.

4. Job Conditions and Expected numbers of Job in a day:The Party shall have to execute the jobs according to the priority of the unit and as per the instruction and discretion of DVC Engineers. The average number of jobs that the party may have to execute at a time in a day considering Unit no. # 1 to 3,

may be 06 (six) nos. In such case, the party shall provide all sort of supports and facilities to attend those jobs in parallel (engagement of supporting hands to OEM/Expert services and overhauling jobs are exclusive).

5. List of major Equipment and installations: The list of the equipment and installations mentioned below is not exhaustive but tentative only for the purpose of assessment of involvement of work. Apart from these any electrical equipment that will be taken in to the ambit of

6. Exclusions of work: The following jobs are excluded from the scope of work of the AMC contractSl no. Equipment and installations 1 Overhauling/repairing work of the generator. 2 Major overhauling/repairing work of the excitation system and AVR. 3 Rewinding and major repairing work of LT/HT motors, valve solenoids etc4 Rewinding and major repairing work of dry distribution transformers. 5 Maintenance of Milling plant equipments (viz. Coat mill motors, PA Fan motors, all auxiliary

motors of milling plant, coal feeders, classifier outlet gates etc.) 6 Central AC Plant for Unit no. 1, 2 & 3. 7 Ash handling plant MCCs, Ash control panels, AHP drives etc. 8 Entire ESP including LT panels/MCCs. 9 Entire lighting system. 10 Repairing of Relays. 11 Major repairing work of batteries. 12 Major machining work. 13 Major repairing work in case of fire hazards. 14 Generator & 220Kv protection and metering circuitry. 15 Fire fighting equipment / system. 16 Boiler lifts / Deaerator lifts / Bidyut Bhavan lifts / Stack Elevators. 17 Roof ventilators and exhaust fans. 18 26 Volt DC battery chargers, related panels and battery banks. 19 220 V DC battery chargers, related panels and battery banks. 20 360 Volt UPS batteries 21 110 VAC auxiliary supply panel. 7. Service of Experts:- For any areas if the contractor feels he requires help of the manufacturer/other expert, he may seek for the same at his own cost after mutual discussion with DVC. 8. The bidder shall mention separate charges in their price bid, as per the following format tabulated below: (i) Total lump sum charge for Electrical AMC jobs of MTPS Unit no. 1, 2 & 3 :Annual charges for daily running maintenance job, Break down maintenance job, Shut down/Overhauling maintenance job, Preventative maintenance job & Jobs that may require time to time for the plant ( as detailed in Cl. Note: The party should quote the unit rate for the above Optional jobs separately and per unit cost of each individual work will be considered during selection of L1 bidder. Selection of L1 bidder will be decided considering the value of (i) plus total unit rate value for (ii) mentioned above, i.e. (L1=a1+b1).

ANNEXURE-II
Technical Terms and Conditions:
1. Manpower Support & Facilities:As per the scope of work mentioned in Annexure-I of the Tender specification, the contractor shall have to provide adequate eminence and experienced workforce for execution of the contract to the full satisfaction of DVC. For daily running as well as breakdown maintenance jobs under the scope of the contract, the contractor shall have to provide enough well experience workmen to carry out maintenance activities on regular basis within scheduled time frame. Workforce engaged shall have adequate experience in similar type of jobs as detailed in the scope of work in Annexure-I. In order to provide hassle free maintenance activities the contractor shall arrange sufficient and requisite supplementary hands at the maintenance sites as and when required, within the lump sump price of the contract without any extra cost to DVC. The party has to arrange all the facilities at site to attend day to day running and emergency troubles of units, shut-down/ breakdown and schedule maintenance jobs etc. within the schedule time frame.

Note: - The Contractor may visit the site before submission of offer to assess the Site condition and volume of the work involved.
2. Working Hours & other conditions:(a) The general shift duty (normal working hours) is from 7 AM to 12Noon and 2 PM to 5 PM in normal working days. The holidays should be as per the DVC declared Holidays. (b) The contractor shall extend all required support in respect of working hands, tools & tackles, equipments & consumables round the clock to attend the jobs during breakdown, emergencies and for pre-planned shut down without any extra cost to DVC. (c) In order to provide a hassle free maintenance activities the contractor shall ensure sufficient and requisite supporting hands at the maintenance-site. Failing which DVC shall have authority to depute own staff and or other contractor for execution of the job. In such case, deduction from the monthly bill will be done as may deemed fit by DVC authority. (d) DVC shall have right to arrange for extra service of specialists for checking, attending major breakdown and major overhauling of any equipment at its own cost, if the situation so warrants. (e) The contractor shall maintain cleanliness of the working site. Jobs will not be declared complete until all men and materials including, scaffolding, scraps, rejects or other wastes are removed from the site. Failing to maintain the cleanliness DVC may engage other cleaning gang and expenditure incurred for the same will be deducted from the monthly bill. (f) In case of any dispute in work related to interfacing areas, instruction of the controlling officer of DVC will be final and binding to the contractor. (g) Site-in-Charge shall maintain a mobile phone for easy accessibility. (h) The contractor shall maintain a Vehicle round the clock for maintenance and other activities to avoid delay in attending problems within the stipulated time frame. (i) (a) All works to be carried out by the contractor shall be strictly in adherence to the norms and methods to be fixed up by the concerned DVC engineer or his authorized representative within the fixed time schedule. DVC engineer shall have the right to intervene at any stage of the execution of a work. (b) The contractor and his men must follow all the rules and procedures of the Plant like (i) Work permit, (ii) Rules for duty hours etc. (j) The contractor shall ensure that the workmen engaged take necessary safety precautions during execution of work. (n) The contractor shall arrange accommodation of their employees in the vicinity of the plant area for easy availability round the clock. DVC may provide unfurnished accommodation to the Site-in-Charge employed by the contractor subject to availability on chargeable basis as applicable. 3. Permit to Work for maintenance job: The contractor shall follow prevailing permit to work system during execution of maintenance job. 4. In case of urgency, subject to availability DVC may lend consumables to the contractors which are to be replenished at the earliest, failing which cost will be deducted from monthly bill. 6. Maintenance record: The contractor shall maintain record of all types of day to day as well as breakdown maintenance work, testing and calibration records including use of spares and consumables. 7. Controlling Officer: ES - III (Electrical Superintendent - III) shall be the controlling officer of the contract.

Facilities that will be provided by DVC:a) Special tools & tackles required for execution of AMC shall be arranged by DVC at no extra cost to the party. b) Machine shop facility as available at MTPS will be extended to the contractor at no extra cost. However any machining work that is minor in nature and required to be carried out outside due to urgency or some other reason is to be taken up by the contractor at his own cost. c) DVC will extend services of EOT crane, crane, trailer etc. free of cost subject to availability. The contractor shall arrange transportation of materials from store to work site at their own cost. d) DVC will provide free electricity, water and compressed service air for work site at the nearest supply point. Supply and arrangement of any type of scaffolding, plank etc. will be under the scope of the contract at no extra cost to DVC. e) Supply of spares, lubricants and special consumables will be under the scope of DVC. f) Site Office: DVC will provide site office space with free electricity. COMMERCIAL TERMS & CONDITIONS 01. Terms of Payment: 100% payment shall be made against running (monthly) bills normally within a fortnight on presentation of bills in triplicate after satisfactory completion of the assigned work and necessary certification by DVC Engineer-in-charge and acceptance of SDBG/Advance Bank draft towards Security Deposit. OR 90% payment shall be made against monthly RA bills subject to satisfactory completion of the job duly certified by the Engineer-in Charge and balance 10% shall be paid after completion of the Contract. 02. Details of Price (To be furnished in the form of Annex- P): (i) In the Price Bid, the bidder shall quote the charges(monthly/annually) for the Contract job considering the Scope of Work in totality. (ii) Service Tax as applicable shall be borne by DVC. The rates will remain firm during the tenure of the Contract. (iii) Contract shall be taken into account for all the Three Units (U# 1,2 & 3) in a comprehensive manner. 03. Security Deposit (S.D): The successful bidder shall have to furnish Bank Guarantee (B.G) from any Nationalised Bank / Scheduled Commercial. Bank as per DVCS prescribed Format as Security Deposit (S.D) for an amount equivalent to 10% of the total contract value for 01(One) year for due compliance of the Contract .The Bank Guarantee submitted as S.D shall remain valid throughout the Contract Period and will be released on successful completion of the contract and after a claim period of 06(Six) months. No payment will be made till the acceptance of the said BG by DVC. Security Deposit (i.e. B.G) will finally be released after successful completion of the contract of 01 (One) year and claim period of 06 (six) months thereafter on request of the contractor. Alternatively, S.D in the form of Bank Draft worth 10% of the contract value of one year /Pro-rata deduction @10% from the running bill /submitted invoice may also be furnished/may be made. Bank Draft must be submitted in advance i.e. within 30 days of issuance of order. The amount so accepted /deducted as SD to be refunded to the bidder after successful completion of the contract 04. Penalty:If the party fails to mobilize 06 (SIX) nos. of full supporting facilities as mentioned in Job Condition (Item 4) of Annexure-I, with quality workman / expertise, as per requirements of the job at a time, an amount of Rs 2000/- (Rupees two thousand) per job per day will be charged as penalty. 05. Period of Contract: The contract will remain valid for a period of 12 months (i.e. 01 year) from the date of commencement. The contract may be extended for another one year at the same rate & terms and conditions subject to satisfactory performance of the party. 06. Site Mobilization: Site Mobilization should be done within a maximum of 02(Two) weeks from the date of placement of LOA/LOI/W.O. Within that period all the tools & tackles, deployment of manpower & infrastructural facilities are to be made ready for starting the actual work of the contract. No advance payment towards mobilization will be provided by DVC. 07. Termination of Contract: DVC reserves the right to terminate the contract at any stage without assigning any reason or for unsatisfactory performance (after allowing a reasonable time to be mutually agreed upon for rectifying the shortfall in performance) without any compensation for loss or damage due to such termination in 01(one) months notice. 08. Validity of Offer: The offered rates shall remain valid for acceptance of DVC for a period of 180 days from the date of Bid opening. 09. SUB- LETTING & ASSIGNMENT: The contractor shall not sub-let or assign any part of the Contract to any other agency without the prior written consent of the Owner .Such assignments or Sub-letting or transfer shall not relieve the contractor from obligation, duty and responsibility under the Contract. Any assignment, transfer or sub letting without the prior written approval of the Owner shall be void. The Owner shall have the right to cancel the order and to purchase the services from elsewhere and the contractor shall be liable to the Owner for any loss or damage which the Owner may sustain in consequence or arising out of such contract and the Contractor shall indemnify such loss or damage to the Owner.

01. DVCs General Conditions of Contract shall govern the execution of the contract. 02. Safety precautions as required to be fulfilled under the Factories Act, 1948 are to be strictly adhered to by the contractor. a) The contractor shall supply all safety wears and equipments to the concern workmen at his own cost. b) The contractor shall ensure that his workmen take necessary safety precautions. DVC in no way shall be responsible for safety of the workmen employed by the contractor. c) The contractor shall be solely and wholly responsible for any accident that may occur during execution of the work and also for injury to person/persons or damage to the property of any description what so ever caused during the execution of the work. In the event of any such accident the contractor shall be responsible and shall pay proper compensation for the same as per Workmens Compensation Act. The contractor shall keep the purchaser safe and harmless and indemnified against all claims and expenses, for any such damage or injury to any property or person.

d) The contractor shall take insurance policies at their own cost so that workmen employed by them are sufficiently covered against the risk of any accident. In the event of furnishing of incomplete and incorrect information, on the part of the contractor resulting in non-admission of claim by the insurance company the contractor shall be liable to pay the compensation to the concerned parties. 03. GUIDELINES FOR SUBMISSION OF BANK GUARANTEE

The Bank Guarantee shall fulfil the following conditions in the absence of which they cannot be considered valid. Bank Guarantee shall be executed on non-judicial stamp paper of applicable value purchased in the name of the Bank. Two Persons should sign as witness mentioning their full name and address. The executors (Bank Authorities) should mention of the power of attorney no. and date executed in his/ her favour authorizing him / them to sign the document or produce the Photostat copy of power of attorney. The Bank Guarantee should be executed by a Nationalised / Scheduled Commercial Bank only. BG issued by rural Bank and Cooperative Bank is not acceptable. A confirmation letter of the concerned bank must be furnished as a proof of genuineness of the Guarantee issued by them. Non-judicial stamp paper shall be used within 06 months from the date of Purchase of the same. Bank Guarantee executed on the non-judicial stamp paper of more than 06(six) months old shall not be treated as valid. The contents of Bank Guarantee shall be strictly as per our Proforma. Each page of Bank Guarantee shall bear signature and seal of the Bank. OBLIGATIONS OF THE PARTY OF THE SECOND PART a) The Party of the Second Part shall provide services as agreed upon and set out in Schedule II for the term of the Agreement or until it is terminated in accordance with the clauses of this Agreement. b) The Party of the Second Part shall obtain at his own cost necessary permits or licenses etc as required under the various laws whether Central, State or Local from time to time for performing and rendering services and the Party of the First Part shall not take any liability whatsoever in this regard. (i) The Party of the Second Part has to obtain licenses/permits etc as applicable as mentioned above within a time period of fourteen days of signing this Agreement, failing which this Agreement shall stand unilaterally terminated. (ii) If the licenses/permits etc obtained by the Party of the Second Part are revoked and/or suspended and/or cancelled by the authority concerned and/or become invalid, the Agreement shall stand unilaterally terminated. c) The Party of the Second Part shall at its own cost comply with the provisions of all laws, rules, orders and regulations and notifications whether Central or State or Local as applicable to him or to this Agreement from time to time. These Acts/Rules include, without limitations the following: (i) The Minimum Wages Act, 1948 & Rules and Orders and Notifications issued there under from time to time; (ii) The Contract Labour (Regulation & Abolition) Act, 1970 with Rules, Orders and Notification made there under; (iii), The Industrial Disputes Act, 1947 with Rules, Orders and Notifications issued there under from time to time; (iv) The Workmens Compensation Act, 1923 with Rules, Orders and Notifications there under issued from time to time; (v) The Payment of Gratuity Act, 1972 with Rules, Orders and Notifications issued there under from time to time; (vi) The Payment of Wages Act, 1936 with Rules, Orders and Notifications issued there under from time to time;

(vii) The Employees Provident Fund and Miscellaneous Provisions Act, 1952 with Rules, Orders and Notifications issued there under from time to time; (viii) The Factories Act, 1948 with Rules, Orders and Notifications issued there under from time to time; (ix) The Employees State Insurance Act, 1948 with Rules, Orders and Notifications issued there under from time to time. (x) All other Acts/Rules/Regulations, Bye-laws, Order, Notifications etc. already in vogue or may be enacted in future by the legislation or present or future Applicable to the Party of the Second Part from time to time for performing the aforesaid services. The Party of the Second Part shall produce the requisite Compliance Report to the Party of the First Part from time to time or as prescribed in the abovementioned laws. d) The Party of the Second Part shall undertake the services as per details given in Schedule II attached to this Agreement. The Party of the Second Part shall also comply with other instructions, if any, given in writing by the authorized representative of the Party of the First Part to the Party of the Second Part or to his authorized representative for performing the aforesaid services. e) The performance of service by the Party of the Second Part shall be of highest order/standing and competence and as described in Schedule II. f) The Party of the First Part may terminate this Agreement if the performance of services by the Party of the Second Part is not up to specified standard and if the Party of the Second Part fails to comply with the laws mentioned hereinbefore. The decision of the Party of the First part in this respect shall be absolute and final. 3. DEPLOYMENT OF EMPLOYEES BY THE PARTY OF THE SECOND PART

a) The Party of the Second Part as and when required shall deploy his own employees for rendering satisfactory services.

b) There shall not subsist in any manner whatsoever any employer-employee relationship between the Party of the First Part and the workmen/employees employed and as and when deployed by the Party of the Second Part or the Party of the Second Part himself. The Party of the Second Part shall be responsible for appointments, payment of wages, compliances with all statutory formalities relating to the workmen/employees employed and deployed by it.

c) The Party of the Second Part shall conduct the work in the manner prescribed by the Party of the First Part and in the event of any deviation there from, the Party of the Second Part shall be responsible to make good the same within ________ ( need based to be incorporated) from being intimated by the Party of the First Part. The Party of the Second Part shall supervise and

control the manner and mode of working and also the working of the workmen as and when deployed and there shall not be any supervision and control by the Party of the First Part over the employees/workmen employed by the Party of the Second Part. d) The workmen/employees engaged and deployed by the Party of the Second Part shall observe discipline at all times and maintain decency and decorum during the course of their employment and the Party of the Second Part shall be fully responsible for the said workmen/employees. e) The payment of wages, ESI, PF, bonuses and other benefits to the employees of the Party of the Second Part shall be the exclusive responsibility of the Party of the Second Part and the employees shall have no claim whatsoever on the Party of the First Part. f) The Party of the Second part as an when deploy workmen Party of the Second part shall maintain a Register of persons employed under him and issue Employment Cards to each worker within three days of employment and a copy of the same to be submitted with the Party of the First Part within seven days there from. g) The Party of the Second part as and when employed workman shall also maintain all statutory register viz register of wages, muster roll register of deductions, register of overtime register of fines, register of advances, wage slip and any other registers required to be maintained under the statute and shall give inspection of the same to the Party of the First Part on demand. h) The Party of the Second part as and when employed workman shall make the Payment of wages and other conditions of employment in respect of workmen employed and deployed by the Party of the Second Part in conformity with statutory requirements and the Party of the First Part shall be fully protected in all respect in this regard. i) The Party of the Second part as and when employed workman shall send half-yearly returns to the Licensing Officer not later than thirty days from the closing of the Half Year. j) The Party of the Second part as and when employed workman shall be solely and wholly responsible for the safety & security of the employees employed by the Party of the Second Part. The Party of the Second Part shall also make adequate provision of insurance for the said employees at their own cost to cover them against the risk of accident and /or death in harness. In the event of any accident and/or death in harness, the Party of the Second Part shall pay proper compensation to the employees as per The Workmens Compensation Act, 1923. The Party of the First Part will have no responsibility whatsoever, and will be kept fully indemnified and harmless. k) The Party of the Second Part shall also be responsible for the property of the Party of the First Part and in case of any damage whatsoever, shall immediately repair/replace the damaged property at their own cost and arrangement failing which Party of the First Part shall have right to recover the cost from the Party of the Second Part.

l) The Party of the Second part as and when employed workman in case of any act of indiscipline on the part of workmen/employees engaged by the Party of the Second Part, the Party of the Second Part shall take suitable action against the delinquent employees with proper intimation to the appropriate authority of the Party of the First Part.

m) The workmen/employees of the Party of the Second Part as and when employed by the Party of the Second Part including himself shall have no right and/or any right to access whatsoever to claim as an employment with the company of the Party of the First Part. n) In case the workmen/employees engaged by the Party of the Second Part have any grievance they shall take it up with the Party of the Second Part without causing any disturbance in the premises of the Party of the First Part in any manner. Under no circumstances, shall the workmen engaged by the Party of the Second Part initiate or take part in any agitation or demonstration against the Party of the First Part. o) If the process forming part of this Agreement is abolished by any provision of law or under Sec. 10 of the Contract Labour (R&A) Act, 1970 the workmen/employees of the Party of the Second Part shall not become the employees of the Principal Employer i.e. Party of the first Part. p) During the terms of this Agreement the Party of the Second Part shall be an independent employer and not in any manner has any employer - employee relationship with the Party of the First Part and that of Principal to Principal. 4. OBLIGATIONS OF THE PARTY OF THE FIRST PART a) The Party of the First Part shall permit the duly authorized workmen of the Party of the Second Part at all convenient times to enter into and upon the premises only on presentation of the approved gate passes as mentioned below, for the purpose of carrying out their work. b) The Party of the First Part shall make to the Party of the Second Part all payments, as per Clause 10, throughout the term of this Agreement or so long the Agreement subsists or the Party of the Second Part performs its obligation under this Agreement. 5. COMPLETION The Work shall be deemed to have been completed on expiry of period of this Agreement and release of final payment to the Party of the Second Part by the Party of the First Part.

BILLS The Party of the First Part reserves the right to require the Party of the Second Part to submit documentary evidence in support of the bills, including details of the work done, duly supported by the Certificate from the representative of the Party of the First Part in the first week of the following month. Party of the First Part also reserves the right to make at the earliest opportunity any adjustment which may be pending from the previous months.

CONSEQUENCES OF TERMINATION a) In the event of this Agreement being determined whether by efflux of time or notice or breach or otherwise, the Party of the Second Part shall forthwith return to the Party of the First Part all the papers, books or other articles belonging to the Party of the First Part.

b) In the event of termination of this Agreement, the rights and obligations of the parties thereto shall be settled by mutual discussion. The financial settlement shall take into consideration not only the expenditure incurred but also the expenditure committed by the Party of the First Part.

c) In the event of termination of this Agreement, the Party of the Second Part shall be liable to refund the amount, if any, paid in advance to it by the Party of the First Part. d) Either Party shall be entitled to exercise any one or more of the rights and remedies given to it under the terms of this Agreement and the determination of this Agreement shall not affect or prejudice such rights and remedies and each party shall remain liable to perform all outstanding liabilities under this Agreement notwithstanding that the other may have exercised any one or more of the rights and remedies available against each other. 14. FORCE MAJEURE As Per the Clause 27 of the General Conditions of the Contract 15. CONFIDENTIALITY During the tenure of the Agreement and 7 years thereafter the Party of the Second Part undertake on their behalf and on the behalf of their subcontractors / employees / representatives / associates etc to maintain strict confidentiality and prevent disclosure thereof, of all the information and data exchanged / generated pertaining to the work under this Agreement for any purpose other than in accordance with the Agreement. 16. NOTICE Any notice to be served by either party on the other shall be sent by Registered Post and shall be deemed to have been received by the addressee within 07 days of posting. 17. SETTLEMENT OF DISPUTES AND ARBITRATION a) Any dispute(s) or difference(s) arising out, of or in connection with the contract shall, to the extent possible, be settled amicably between the Party of the First Part & Party of the Second Part. b) In the event of any dispute or difference whatsoever arising under this Agreement or in connection therewith including any question relating to existence, meaning and interpretation of the terms of the Agreement or any alleged breach thereof, the same shall be referred to the Secretary, CEO of Damodar Valley Corporation, Kolkata-54 or to a person nominated by him for arbitration. The Arbitration shall be conducted in accordance with the provisions of Arbitration and Conciliation Act, 1996 or

any other latest enactment and the decision/judgment of Arbitrator/Arbitrators shall be final and binding on both the parties. The venue of the arbitration shall be at Kolkata. However, in case the Party of the Second Part is a Central Public Sector Enterprise/ Govt. Department, the dispute arising between the Party of the First Part & Party of the Second part shall be settled through Permanent Arbitration Machinery (PAM) of the Department of Public Enterprise, Govt. of India as per prevailing rules.

c) All suits arising out of NIT, subsequent work order and agreement, if any, are subject to jurisdiction of Court in the City of Kolkata only and no other Court, when resolution/ settlement through mutual discussion and arbitration fails. 18. AMENDMENTS OF THE AGREEMENT No amendment or modification of this Agreement shall be valid unless the same is made in writing by both parties or their authorized representative and specifically stating the same to be an amendment of this Agreement. The modifications / changes shall be effective from the date on which they are made/ executed, unless otherwise agreed to. 19. MISCELLANEOUS a) The Party of the Second Part as and when required shall deploy as many in number -expert personnel and/or skilled/semiskilled/unskilled workmen with adequate qualification and experience having appropriate level of acumen to carry out the job with entire satisfaction of the Party of the First Part.

b) No child labour shall be engaged by the contractor as per statutory rules of the Govt. of India.

c) The Party of the Second Part as and when employed their employees engaged in the job shall follow all safety rules at the

time of execution of work. It shall be the responsibility of the contractor to supply all safety equipment necessary to their O&M personnel without any extra cost to DVC. All statutory rules & regulations shall have to be followed by the contractor during employment/retrenchment of his workers/employees.

d) As the plant site is a protected area, necessary gate passes with photograph of every worker/employee of the Party of the Second Part shall be arranged by the Party of the Second Part with proper intimation to the Party of the First Part. The

expenditure of issuing the gate passes to the workmen shall be borne by the Party of the Second Part. The gate passes shall be duly signed by the Party of the Second Part with official seal in addition to the signature of the holder (employee of the Party of the Second Part) and the authorised officer of the Party of the First Part.

e) In case of sub-letting the contract, the sub-contractor shall be engaged with prior approval of the Party of the First Part and at full risk of the Party of the Second Part.

f) The Party of the Second Part shall not pay less than the prescribed minimum wages to the workmen engaged by him under the Minimum Wages Act, 1948 and the Govt. Rules made there under and subject to revision from time to time. The monthly payment is to be made on the 7th day of the successive month. The Party of the Second Part shall intimate the disbursement of payment to the authorized representative of Personnel Dept. of the Party of the First Part on 7th -10th day of the successive month.

g) Legal suits arising out of the Agreement, if any, are subject to the jurisdiction in the Court of the city of Kolkata and no other Court elsewhere.

h) The workers/employees engaged by the Party of the Second Part should not be under the influence or addiction of drug/liquor while on duty. It should be obligatory on the part of the Party of the Second Part to remove any such person from the job whose action or conduct in the opinion of management of the Party of the First Part is detrimental to its interest. i) If the Party of the Second Part desires to execute a part of scope of maintenance contract which are very specialized in nature by engaging a specialized competent group they will have to obtain approval from the Party of the First Part, furnishing all credentials and requirement of the manpower strength before their engagement. However, the Party of the First Part reserves the right to discontinue the same at its discretion. j) The Party of the Second Part shall fully cooperate with other contractors employed by the Party of the First Part for associated plant and subsidiary as well as other similar activities and shall carry out all reasonable directions of the designated Chief Engineer (O&M) of the Party of the First Part or his authorized representative as the case may be. 20. CHANGE OF ADDRESS Each Party shall give notice to the other of any change or acquisition of any address or telephone number or FAX or similar number at the earliest possible opportunity but in any event within 48 hours of such change or acquisition.
