DEFINITIONS “MEMBER” defines the persons whose name appears on the membership certificate, as well as the children living at home, or others as registered with the club secretary residing in the home. “ADULT” means a person who is fully 18 years of age or older. “HOUSE GUEST” means a person living temporarily in a member’s home. “GUEST” means a person on the grounds by invitation of and in the company of a member.

A. SCHEDULE - Tentative

The pool is always closed for lightening, bad weather or when the air temperature falls below 65 degrees. 3 Each week the pool is super-chlorinated by the addition of high levels of chlorine on Saturday night to kill bacteria and algae. The pool gates will remain locked until 12:00 PM Sunday.

B. SAFETY RULES
The gates to the fence must be closed immediately after entering or leaving. It is the responsibility of each member to ensure that the gates are securely locked. Every person entering the pool must shower. This is a state law. After using tanning lotions, it is imperative that showers are again taken, to remove the oil. Every pool user is responsible for keeping the pool and pool area free from litter. Wading Pool Rules 1. When the lifeguard is ON duty, each child must be ACCOMPANIED AND SUPERVISED by a member who is 18 years old or older, who is responsible for the child’s safety. 2. Only non-swimmers are permitted in the wading pool. Children of age and ability to use the swimming pool are not allowed in the wading pool. 3. The lifeguard is not responsible for the wading pool. 4. Children using either pool must be toilet trained or must have swimming diapers. Swimming Pool Rules 1. All persons must shower before entering the pool. Persons with contagious diseases or infections are prohibited from entering the pool. Band-Aids are not allowed in the pool. 2. Persons entering the water must wear swim suits. “Cutoffs”, shorts and underwear are not considered swim suits. No street clothes are allowed in the pool. 3. Disorderly or unsuitable conduct including running, pushing, dunking, or “horseplay” and loud, foul, or obscene language is not allowed. 4. When the lifeguard is ON duty, children under the age of 8 years old may enter the pool only when ACCOMPANIED AND SUPERVISED by a member who is 18 years old or older, who is responsible for their safety. 5. Deep end: Non-swimmers are not allowed. 6. Swim test: The lifeguard on duty will give each child a swimming proficiency test before they are allowed into the deep end of the pool. 7. Supervision: When the lifeguard is not on duty, the following table applies:

Rules for swimming pool use when NO lifeguard is present:

*Adult is defined as a pool member 18 years or older who can swim Swimming Pool Rules (cont.) 8. Diving board: Only one jump is allowed, followed by the jump-off, then swim to the side. Bouncing up and down on the board is not allowed. Swimming toward the diving board is not allowed. Safe time intervals between jump offs are required. Only one person is allowed on the board. Dives that cause excessive displacement of water onto the pool deck and splashing of other persons are not allowed. Diving board and waterslide use is prohibited during adult lap swim if there are lap swimmers in the pool. 9. Diving for objects. All objects for diving will be approved by the lifeguard. 10. Floating Rope: Playing with, sitting on and pulling on the rope is not allowed. The floating rope is provided to warn non-swimmers that they are leaving the shallow end of the pool and to guide them back to safety. 11. Water guns, floats, masks and fins: these are allowed at the discretion of the lifeguard, and when they do not cause a disturbance. Oversize floats and tire tubes are not allowed. Diving into the pool with a mask is not allowed. Diving off the board with fins is not allowed. Diving into a float from the side or diving board is not allowed. Diving into the shallow end is not allowed. 12. Games: Water games such as tag and Marco Polo may be played in the pool only at the discretion of the lifeguard. Any game that is disruptive to members at the pool will be halted by the lifeguard. Pets or wheeled toys are not allowed in the fenced area. 13. Conversation with Lifeguard: Conversing with the lifeguard should be kept to a minimum and should be limited to pool safety or pool operation issues. The lifeguards cannot perform their primary function if they are distracted. 14. Swimming after dark is not allowed unless the underwater pool lights are on.

5 15. Pool gates: The gates to the fenced area must be closed immediately after entering or leaving. It is the responsibility of each member to ensure that the gates are securely locked and that only pool members and their guests use the pool. 16. Adult Swim Period: The pool will be promptly cleared every hour for 10 minutes for adult swimming. Lap swim is scheduled from Noon to 1:30 PM and 5:00 PM and 6:00 PM. 17. Food is not allowed in the pool. Food is allowed only on the exposed aggregate concrete area. No glass is allowed. 18. Smoking is only allowed outside the pool fence. 19. Pumphouse : Entry into the pump and storage house is prohibited. Entry by authorized personnel only. 20. Battery-operated radios are allowed provided they are used with earphones. 21. Lifeguard chair: Persons other than the lifeguard are not allowed to sit in the lifeguard’s chair. 22. The lifeguard is responsible for safety at the pool when on duty. Lifeguard’s instructions will be followed. The lifeguard has the authority to impose penalties of up to three days suspensions of admission privileges or other lesser penalties including site clean-up, as warranted. 23. Emergency drills: The pool manager shall periodically request the lifeguard to conduct a pool emergency drill. The drill will include rapid exiting of the pool by all individuals in the water, a quick determination of whether anyone has failed to exit the water, and other actions deemed important to safety by the pool manager. 24. No extremely loud noises after 8:00PM out of courtesy for the neighbors. 25. Slide rules: One person on the slide ladder at a time. Feet first ONLY. Watch for others and ask them to move before entering the water. Once in the water move away from the slide. 26. Personal belongings: Double check to make certain your towels, goggle, toys, etc. are not left behind. 27. NO alcoholic beverages on the premises at any time. C. USE OF FACILITIES BY MEMBERS 1. Members in good standing shall be allowed use of the Club facilities on the basis of the conditions stated in the bylaws and safety rules. 2. Members shall sign a “hold-harmless” agreement with the Club prior to use of the pool. 3. Keys are the property of the pool association and are to be returned at the end of the season and before next year’s keys will be issued. Member will be assessed a $5.00 replacement fee for lost keys. Keys are not to be duplicated or loaned.

D. USE OF FACILITIES BY NON-MEMBERS 1. A guest may use the pool in the company of a member in good standing. The member is fully responsible for the conduct of the guest and shall sign in all guests in the daily log. 2. An adult member may escort up to 5 guests at any one time. Members under 18 may not bring more than 2 guests to the pool. A family may not exceed the limit of 5 guests at any time. 3. A house guest may use the pool just as any other member of the family would. Rentals: 1. Members in good standing are allowed to rent their membership in accordance with the following rules: a. Rental of a membership is allowed for the entire season only. b. The owner of the membership is responsible for all dues, fees, special assessments, and work party obligations. c. Renters must sign a “hold-harmless” agreement with the Club prior to use of the pool privileges. d. The owner of the membership shall be responsible for the transfer of tags, keys, newsletter, bylaws, and rules to the renter. e. Rental fees shall not exceed those charged to the general membership. f. Qualifications of renters are governed by the Bylaws. g. Renters have no voting rights. h. A $25 handling fee shall be payable to the Club in advance by the member. 2. The Pool Board is allowed to rent open memberships for one year with the option that the renter may purchase a membership the following year. The Pool Board rentals are made in accordance with the following rules: a. Renters must sign a “hold-harmless” agreement with the Club prior to use of the pool privileges. b. Rental fees shall not exceed those charged to the general membership. c. Qualifications of renters are governed by the Bylaws. d. Renters have no voting rights.

7 E. PARTIES 1. A member family shall be permitted two reservations per year for group parties. Party reservations must be made in advance by contacting the Junior Pool Manager. 2. Parties may be held any time between 1:30 pm and 5:00 PM when there are no regularly scheduled activities and the pool is available. 3. Party reservations shall not exclude other Club members from using the pool. 4. The party size will be defined as the total number attending, whether swimming or not. 5. A flat fee of $50.00 will be charged for each party plus a $100.00 damage deposit required when booking the party, returned after inspection at close of the party. 6. The family holding the party is responsible for cleaning up the pool area. 7. The member holding a pool party shall ensure that the party is conducted in a safe and responsible manner and that all pool rules are followed. 8. A parent or legal guardian shall be present and responsible for the conduct of the party. 9. Parties shall require an additional Board approved lifeguard for the duration of the party. Arrangements for the additional lifeguard are the responsibility of the member hosting the party. Said member shall also be responsible for payment of the additional lifeguard’s salary, payable to the lifeguard by check or cash before the party date. F. OPERATION AND MANAGEMENT 2. The Board of Directors shall be responsible for the establishment of general rules and regulations covering the use of Club facilities. a. Setting the operating schedule and operations hours and posting a schedule at the Club. b. Establishing rules for special functions such as parties. c. Establishing policies regarding guest admissions. d. Establishing the hours that the lifeguard will be on duty and posting a schedule. e. Establishing rules for work performed by members in support of pool operations. f. Establishing rules for safety and hygiene to be observed by lifeguards, members and guests. g. Establishing the rules for removing a member or guest from the pool grounds for disruptive or unsafe conduct. The lifeguard may impose penalties of up to three days suspensions of admission privileges or other lesser penalties as warranted. More serious infractions must be reported to the pool president for disciplinary action by the Club Board.

NORTHVIEW SWIM CLUB BYLAWS
ARTICLE 1 – MEMBERSHIP
1. Definitions A. Club as used hereinafter shall mean the Northview Swim Club, a Washington non-profit corporation located at Davison and Spring Street, Richland, Washington, 99354. B. Guest as used hereinafter shall mean any person who is not a Member or Renter but who is entitled to use the facilities of the Club by virtue of being a resident or guest in the single family residential dwelling unit occupied by the Member or a bona fide Lessee. C. Renter as used hereinafter refers to an individual to whom a Member has, in exchange for a fee and/or other consideration, turned over the rights of the Member to the use of facilities of the Club. D. Member as used hereinafter shall mean the person(s) whose names appear on the Northview Swim Club membership certificate, and who have been appropriately registered with the Club as such. E. Membership as used hereinafter shall mean the status of being a member of the Club and shall also mean the certificate issued by the Club to a Member, which, together with the requisite dues, assessments and charges authorizes the Member to use the facilities of the Club. F. Owner as used herein shall mean the person(s) liable for the payment of the property taxes imposed by Benton County, Washington, against the Owner’s single family residential dwelling. G. House guest means a person living temporarily in a member’s home. 2. Qualifications for Membership A. Membership is open without restriction to the Owner of a single family residential dwelling located within the City Limits of the City of Richland, Washington, within the area bounded by the Columbia River on the East; Sprout Road or a line extending Sprout Road to the West to Stevens Drive on the North; Stevens Drive on the West; McMurray Street on the South. B. Membership shall be open to persons who do not qualify under the provisions of Paragraph I.2.A at the discretion of the Board of Directors,

9 provided that no more than 10 percent of the Club Memberships shall be so issued. 3. Member Limitation The number of Memberships in the Club shall be limited to 100. 4. Obtaining Membership A. Persons meeting the criteria set forth in Article 1, Section 2, Paragraph A desiring membership in the Club may make application to the Club for purchase of an available membership and shall become Members upon payment of all dues and assessments. B. If the full complement of 100 Memberships has been issued, applications shall be kept on file and membership offered to applicants in the order in which the application are received. C. A Member may at any time transfer his/her Membership in the Club to any person(s) qualified in accordance with Article1, Section 2, Paragraph A. In order for the transfer to become effective, the Club shall be notified in writing by the member, who shall return his/her certificate of Membership to the Club for reissue to the new Member. A Membership may only be transferred on the records of the Club. D. A Member may at any time offer to sell or relinquish his/her Membership to the Club. The Club is under no obligation to purchase or otherwise accept a Membership. 5. Leasing of Memberships Members shall be free to lease the rights to use the facilities of the Club providing that the Renter is a resident within the geographical area defined in Article 1, Section2, Paragraph A. 6. Dues, Fees, Assessments and Other Charges A. The Board of Directors is empowered t establish Membership dues, o fees, assessments and other charges, including the sale price for Memberships owned by the Club. Dues, fees, assessments, and other charges shall be due and payable irrespective of whether the Member utilizes the facilities of the Club. Sale or termination of Membership shall not release the Member from the obligation to pay dues, fees, assessments, or other charges. B. Dues shall become due and payable at the regular annual meeting. Dues, fees, and assessments for that year shall be deemed to be delinquent 1 week after Memorial Day, shall be subject to a late penalty of 10 percent and shall accrue interest at a rate established

10 by the Board of Directors, not to exceed the maximum rate permitted by law. A Member who is delinquent in the payment of dues, fees, assessments and other charges shall forfeit rights to use the Club facilities, and shall not be issued a key until the delinquency has been satisfied. The Board of Directors at its sole discretion may permit Members in arrears to satisfy their delinquency through periodic payments and may allow retention of rights, complete or limited, of use of Club facilities. Assessments against the general membership may be made by the Board of Directors to cover extraordinary costs such as may be necessary from time to time to repairs, renovations, improvements, emergency needs, or to establish and maintain an operating reserve. The amount and conditions of payment for assessments shall be established by the Board of Directors. Fees may be established by the Board of Directors for special services or privileges, such as the use of the Club facilities for Member parties, or in the event a Membership is leased. In the case of the latter, the Lessee shall not have use of the Club facilities until such time as the Membership dues and the fee have been paid. Other charges may be established by the Board of Directors on an ad hoc basis.

7. Suspension or Termination of Membership: A. Failure to comply with the Bylaws or Rules and Regulations of the Club, commission of illegal acts on Club facilities, vandalism or intentional damage to Club facilities, or endangering the safety of users of the Club facilities shall constitute grounds for suspension or, in extreme situations, termination or cancellation of membership. B. The rights of a Member, Lessee or Guest to use the facilities of the Club may be suspended for cause for a reasonable period of time as determined by the Lifeguard or by the Board of Directors. C. The Board of Directors may permanently terminate the rights to use Club facilities and cancel Membership for serious or repeated violations of Club Bylaws or Rules and Regulation; willful or intentional damage to Club facilities; commission of illegal acts on Club property; endangering the safety of the users of the Club facilities; or for failure to pay dues, fees, assessments or other charges within one year of the date on which such dues, fees, assessments or other charges become due and payable. The Board of Directors shall take no action to cancel Membership and/or to terminate their right to use the Club facilities without due

Due process as used herein requires that the Board of Directors convene a special meeting to determine whether sufficient grounds as put forth in Article 1, Section 8, Paragraph C exist to justify termination and/or cancellation. At least seven (7) days in advance of the meeting, the Member shall be provided with written notice indicating the date, time and location of said special meeting of the Board of Directors; the reason(s) why it is proposed that Member’s right to use Club facilities shall be terminated and may offer evidence in opposition to the proposed action. If, after due and careful consideration of all available evidence, the Board of Directors determines that adequate cause exist, the Member’s right to use the Club facilities shall be terminated and/or Membership immediately cancelled. Canceled Memberships shall immediately revert to the Club. 8. Rights of Members. A. Members in good standing shall gain the right to use the Club facilities in accordance with the Bylaws and Rules and Regulations established by the Board of Directors. B. Each Membership for which all Club dues, fees, assessments and other charges have been paid in full shall be entitled to one (1) vote at all general membership meeting of the Club. Votes may be cast in person or by proxy. Proxies must be written, dated, and bear the signatures of both the Member and proxy holder; and shall be filed with the Secretary at or prior to the meeting at which the proxies will be voted. All proxies shall become void thirty (30) days after issuance.

ARTICLE II --- OFFICERS AND DIRECTORS
1. OFFICERS The officers of the Club shall be six in number and at any one time shall be: a. President b. President-elect c. Secretary d. Senior Pool Manager e. Junior Pool Manager f. Treasurer 2. BOARD OF DIRECTORS The six elected officers shall constitute the Board of Directors. Each officer shall serve on the Board for two years. 3. ELECTION AND TERM OF OFFICERS Officers shall be elected from among the Members of the Club; all Members in good standing of the Club shall be eligible to hold office but one member of a Member family may not serve simultaneously with any other member of that same family. Election of officers shall be held during the 1st Quarter of each calendar year, either at a general membership meeting or by a general mail ballot. Officers shall assume office at the conclusion of the meeting during which the election was held, or, in the case of election by mail ballot, immediately after the conclusion of the counting of the mail ballots. Counting of ballots shall be by two or more members of the then current Board of Directors as selected by the President. Election to any office shall require a simple majority of the votes cast, or, in the event there are more than two candidates for any office a plurality of the votes cast. Ties shall be broken by a coin flip, casting lots, drawing a card from a deck of playing cards, or similar means. Officers serve on the Board of Directors for a period of two years. The following officers shall be elected each year: President-Elect, Junior Pool Manager, and Treasurer-Elect and shall serve in the capacity indicated for one year, then automatically stepping up to President, Senior Pool Manager, and Treasurer respectively for their second year on the Board. The Secretary shall be elected in odd numbered years.

4. Vacancies Vacancies on the Board of Directors may be filled by appointment by the remaining Officers from among the Members of the Club. 5. Removal from Office Any officer may be removed from office by unanimous vote of the other officers or by a majority vote of the Members at a special meeting. 6. Compensation No office shall deriv e any salary or other compensation for service on the Board, nor shall any member of the Board of Directors enter into any business agreement or contract with the Club, except that Officers shall be exempt from payment of dues during their term of office. If any officer should resign from their position prior to their two year completion date, their remaining fees will become due and payable immediately. For example if an officer resigns on the 4th week of the pool opening their fees for the year would be $325.00 multiplied by the numbers of weeks that the pool is left open for the season divided by total weeks in the season. 7. Meetings The Officers shall hold an organizing meeting during the first quarter of the calendar year, and shall meet as a body periodically during the year a sufficient number of times to properly conduct the business of the Club. Meetings shall be called by the President and shall be conducted in accordance with Robert’s Rules of Order: four Directors shall constitute a quorum.

ARTICLE III --- DUTIES OF THE OFFICERS AND BOARD OF DIRECTORS
1. BOARD OF DIRECTORS The Board of Directors shall have the authority to act for the membership in all respects except as otherwise specified in the Bylaws. Specifically, the Board shall have the power to fix the amount of the annual maintenance fee and other assessments and charges to be paid by the Members. Changes to the Bylaws and, except as noted in Article II.4 shall be the responsibility of the Members and shall not be assignable to the Board of Directors. 2. PRESIDENT The President shall serve as the chief administrative officer of the Club with responsibility for proper conduct, oversight, and scheduling of all Club activities. The President shall preside over, schedule and assure the orderly conduct of meetings of the Board of Directors and of the Membership, including preparation of a suitable meeting agenda; assist the other officers in the conduct of their activities, including acting as a backup to them; execute all instruments in behalf of the Club including preparation and filing of official corporate documents on behalf of the Club, such as but not limited to the Annual Report to the Washington Secretary of State; enter into contracts on behalf of the Club, as approved or directed by the Board of Directors; preparing an annual letter report for distribution to the members. 3. PRESIDENT-ELECT The President-elect shall assume the responsibilities of the President in his/her absence or incapacitation and be responsible for pool opening and closing in accordance with the schedule approved by the Board of Directors. The President-elect will assist pool managers to assure appropriate pool maintenance and operation throughout the pool season. 4. SECRETARY The secretary shall be responsible for maintaining the records of the Club; preparing and distributing minutes of meetings of the Board of Directors and of the Membership; maintaining an up to date roster of members; preparing and issuing membership certificates; correspondence of the Club, including preparation and distribution of notices of meetings and the Annual Letter of the President. The Secretary will, at the direction of the Treasurer, collect fees and dues from members and issue pool keys. The Secretary will assist the President with ballot preparation and publish the member’s handbook annually. Circulation of monthly electronic newsletters.

5. TREASURER The Treasurer shall be responsible for the collection and disbursement of all Club funds; including member dues, fees and assessments; investment of Club funds in accordance with maintaining the financial records of the Club according to generally accepted principles; preparing an Annual Budget; presentation of tax returns and related documents as may be required of the Club; and preparing and presenting an Annual Financial Report to the members.

6. POOL MANAGERS The Pool Managers shall be responsible for pool maintenance and operations, and ensuring the safe operation of the pool, including hiring and scheduling of lifeguards, pool assistants, and other operating staff, as authorized by the Board of Directors; ensuring that the pool operations are conducted in full accord with applicable laws and regulations; performance or oversight of the performance of such activities as pool chlorination, maintaining proper pool temperature and water chemistry, and enforcement of pool rules and maintenance of signage and of the parking lot and grounds. Pool Managers will assist the President-elect with pool opening and closing as necessary. Specific duties will be assigned to each manager.

ARTICLE IV – FUNDING
1. ADMINISTRATION The Treasurer shall administer the Club funds as approved by the Board of Directors and in accordance with the budget approved by the Members. 2. RESERVE FUND The Club shall strive to maintain a Reserve Fund at least equal to the previous year operating budget for extraordinary expenses. 3. EXPENDITURE LIMITATIONS Regular operating expenditures (insurance, taxes, utility bills, and payroll) over $1,000.00 may be paid by the Treasurer with the email approval of a minimum of 2 Board Members and email documentation of approval shall be retained by the Treasurer. Capital expenditures in excess of $1,000.00 will be approved at a regular board meeting by a quorum of the Board of Directors and documented in the minutes. The Board will select two (2) Board Members each year that will be able to countersign checks.

ARTICLE V – MEETINGS
1. ANNUAL GENERAL MEMBERSHIP MEETING A general membership meeting shall be held annually prior to the end of the first quarter of the year (March 31). Actions to be taken at that meeting shall be the election of Officers, adoption of an operating budget for the current calendar year, and such other business as may properly come before the general membership of the Club, including proposed revisions to the Bylaws. Members shall be notified in writing of the date, time and location of the meeting at least fourteen (14) days prior to the meeting. 2. OTHER MEETINGS Other or special meetings of the Membership may be called from time to time for ad hoc purposes by the Board of Directors or by written petition signed by at least fifteen (15%) percent of the Members in good standing. 3. QUORUM A quorum for General membership meeting shall be no less than eleven (11) members in good standing. 4. CONDUCT OF MEETINGS. Meetings shall be conducted in accordance with Robert’s Rules of Order. A simple majority of those present and voting in person or by proxy shall decide all issues brought before the meeting. 5. ELECTION OF OFFICERS Officers shall be elected at the general membership meeting. Voting for Officers shall be by secret ballot; ballots shall be distributed by the Secretary and counted by two or more tellers appointed by the President from the Members present in person at the meeting, who shall report the result of the election to the President for announcement to the members.

ARTICLE VI – COMMITTEES
1. STANDING COMMITTEES A. Audit Committee The President shall, each year, appoint with the concurrence of the Board of Directors an Audit committee which shall conduct an independent review or audit of the Club financial records. B. Nominating Committee The President shall with concurrence of the Board of Directors, each year appoint from among the Members a Nominating Committee of at least three persons to develop a slate of candidates for open positions on the Board of Directors.

2. Ad Hoc Committees The Board of Directors may establish any number of ad hoc committees to accomplish specific purposes specified by the Board. Ad hoc committee members shall be appointed by the President and shall serve at the pleasure of the Board of Directors.

ARTICLE VII – MISCELLANEOUS
1. RECORDING An appropriate notice shall be filed and maintained with the Benton County Auditor which shall cause title companies and other interested parties to be put on notice that no Membership may be transferred to another party on the records of the Club until all dues, fees, assessments and other charges owing to the Club have been paid. 2. WORD USAGE Unless some other meaning and intent is apparent from the context, the plural shall include the singular and vice versa, and masculine, feminine and neuter words shall be used interchangeably.

ARTICLE VIII – AMENDMENTS
These Bylaws may be amended by a majority of those present in person or by proxy at any general membership meeting of the Club. Adopted March, 2003
