AGREEMENT FOR SALE


THIS DEED OF AGREEMENT FOR SALE is made on this 18th day of September, 2013 at Lucknow, between (1) Dr. PRAKASH SINGH son of Mr. R. N. Singh and (2) Mrs. NEETA SINGH wife of Dr. Prakash Singh, both residents of Flat No. 402, Crown Block of Eldeco Greens, Gomti Nagar, Lucknow, (hereinafter jointly referred to as the First Party of the one part and (1) ABHISHEK SARAFF, son of Sri Subhash Chandra Saraff, and (2) PRIYANKA SARAFF wife of Sri Abhishek Saraff, both residents of Flat No. 401, Crown Block of Eldeco Greens, Gomti Nagar, Lucknow, (hereinafter jointly referred to as the Second Party of the other part. The terms First

party and second party shall always mean and includes their respective legal heirs, successors, transferors, executors, administrators, attorney and assigns unless repugnant to the context. WHEREAS by virtue of the Deed of Transfer (Sale Deed) made on 25 th October, 2006 by (1) M/s Eldeco Construction Pvt. Ltd., (2) M/s Eldeco Housing & Industries Ltd. Both companies registered under the Indian Companies Act having their offices at First Floor, Pragati Kendra, Kapoorthala Commercial Complex, Aliganj, Lucknow, through their authorized Signatory Mr. B.K Saxena (3) Sri Pankaj Bajaj, (4) Sri Arvind Bajaj, (5) Mrs. Rashi Bajaj, (6) Sri Manoj Singhal, (7) Mrs. Jyoti Singhal and (8) Mrs. Poonam Jajudia (nee Garg) all (2) to (8) through their legally Constituted Attorney (duly registered) Mr. B. K. Saxena, son of Dr. O.N. Saxena, then resident of 34, Triveni Nagar, Lucknow have transferred a FLAT No. 402, on Fourth Floor in Crown Block of Group Housing Complex known as Eldeco Greens:, situate at Gomti Nagar, Ward- Rafi Ahmed Kidwai Nagar, Lucknow, having 194.4 Sq. Mt. built-up area with car parking along with proportionate undivided interest in land underneath and appurtenant land to the Crown Block (measuring 64.00 Sq.mt.) to the First Party and said transfer deed (Sale Deed) dated 25.10.2006 is registered in the office of Sub-Registrar-II, Lucknow on 30.10.2006 at Bahi No.I, Jild 6142 on Pages 131 to 188 at sl. No.10033. AND WHEREAS the First Party are the absolute owners in possession of the aforesaid Flat with Parking and same have been acquired by the First Party out of their own money and is also free from all sorts of encumbrances registered or unregistered such as prior sale, gift, prior agreement, attachment, mortgage, bequeath, surety, litigation, lien, any charges or any adverse orders etc and the same have not been pledged with any Financial institution and is not encumbered in any manner whatsoever may be and since after purchase the First Party are in uninterrupted proprietary and physical possession thereof and have marketable title and saleable rights therein, the First Party hereby assured that they either jointly or severally

have not created any charge or encumbrances of any kind whatsoever in respect of the same and have neither been made nor have been a party to any act under which they (First Party) are debarred from entering into this agreement for sale and they have absolute right to sell and part with the possession and to deal with the same in any manner they like and the First Party are competent enough to enter into this agreement for sale with the Second Party in respect of the aforesaid Flat with Parking. AND WHEREAS the First Party have made a proposal to sell, transfer and assign to the aforesaid Flat with the Parking and the Second Party have offered to purchase the same from the First Party and said offer has been accepted by the First Party accordingly the First Party have agreed to sell, transfer and assign the same to the Second Party and the Second Party have also agreed to purchase from the First Party, the Flat No. 402, on Fourth Floor in Crown Block in Eldeco Greens Situated at Gomti Nagar, Ward rafi Ahmed Kidwai Nagar, Tehsil & District Lucknow, having 194.4 Square Block Meters built-up area with Parking, along with proportionate (measuring 64.0 Sq. Mt.) beside (more the parking and fully along with all in the undivided interest in land underneath and appurtenant land to the Crown appurtenances attached thereto described

Schedule-A of this deed and referred hereinafter whole as the said Property for a total sale consideration of Rs.1,00,00,000/- (Rupees One Crore) only on the terms and conditions reproduced hereinafter. NOW THIS AGREEMENT WITNESSETH AS UNDER:1. That in pursuance of this agreement for sale, the Second Party have paid total amount of Rs.19,00,000/- (Rupees Nineteen Lac) only as per details of payment given in Schedule-B of this deed, before execution of this deed as advance money in respect of the said Property, receipt of said advance money the first Party; hereby acknowledge and now the balance amount of Rs. 81,00,000/-

(Rupees Eighty One Lac) only shall be paid by the Second Party to the First Party within two months from the date of execution of this agreement for sale. 2. That the First Party hereby declare that the said Property agreed to be sold are not the subject matter of any agreement and the first Party hereby agreed that they will not encumbered or create any charge against the said Property 3. That at the time of making the final payment of balance amount of sale consideration the First Party will execute the sale deed and get registered in favour of the Second Party in respect of the said Property and shall also handover vacant physical and peaceful possession of the said Property to the Second Party and will also handover the original title deed and all other original papers to the Second Party in respect of the said Property agreed to be sold. 4. That in case the First Party (jointly or severally) neglect or delay to perform their part of this agreement and to execute the sale deed in respect of the said Property then the second Party shall have a right to get this agreement enforced to get sale deed executed through Court in their favour at the costs of the First party. Similarly in case the Second Party fails to pay the balance amount of sale consideration within the stipulated period as mentioned above then the Second Party shall be liable pay the interest on the balance amount due at that time. 5. That all types of charges and dues (if any) payable in respect of said Property to any department, authorities and person/s shall be borne and paid by the First Party (jointly or severally) only before executing the sale deed and incase the First Party do not pay the same then the Second Party shall have a right to deduct the said amount of

charges and duties etc. (whatsoever may be) from the balance amount of the sale consideration payable by the Second Party at that time in respect of the said Property to which the First Party hereby agreed and give their consents. 6. That the case First Party shall be liable and responsible for all their commitments and acts in respect of the said Property. 7. That in case there is any defect or dispute found in the right, title or interest of the First Party and in result thereof the First Party unable or fail to execute the sale deed in respect of the said Property in favour of the Second Party then the Second Party Shall have a right to cancel or repudiate this deed of agreement for sale and the First Party will refund the entire amount paid till that date along with all losses and damages thereon to the Second Party to which the First Party hereby and shall have no objection for the same. 8. That the terms and conditions of this agreement for sale shall be binding on the parties and their respective heirs, legal representatives, nominee and assignees. 9. That the expenses on execution of sale deed such as stamp duty, registration charges and other necessary expenses shall be borne by the second party exclusively. 10. That the possession of the property is not being transferred to

the second party, the same shall be transferred at the time of execution of sale deed. 11. That stamp duty of Rs. 2,00,100/- has been paid with this which shall be adjusted in final sale deed. deed,

12. That all the receipts, correspondence and deeds executed between the parties subsequent to this agreement shall be binding on the parties. SCHEDULE-B DETAILS OF PAYMENT (a) RS. 5,00,000/- (Rupees Five Lac) only has been paid by the

Second Party to the First Party through Cheque No.932258 dated 22.08.2013 drawn on Standard Chartered Bank. (b) Rs. 4,50,000/- (Rupees Four Lac fifty thousands) only has been paid by the Second Party to the First Party through Cheque No.932261 dated 22.08.2013 drawn on Standard Chartered Bank. (c) Rs 9,50,000/- (Rupees Nine Lac fifty thousands) only has been paid by the Second Party to the First Party through Cheque No.217575 dated 22.08.2013 drawn on HDFC Bank Ltd.

Thus the Second Party have paid the total amount of Rs.19,00,000/- (Rupees Ninteen Lac) only as advance money as per details given above and receipt of which the First Party jointly acknowledge and now the balance amount of Rs.81,00,000/(Rupees Eighty One Lac) only shall be paid by the second Party to the First Party as stipulated in this deed of agreement for sale.
