These terms and conditions (Rules) govern the song writing competition 2013 Competition hosted by Sony ATV

Music Publishing (UK) Limited of 30 Golden Square, London, W1F 9LD (Sony ATV). 1. 2. By entering the Competition, you agree to be bound by these Rules; The Competition is open to entrants who are or have been pupils at the Brit School of 60 The Crescent, Croydon, CR0 2HN during or prior to the 2013/2014 academic year. Sony ATV reserves the right not to award a prize and select an alternative winner if Sony ATV has reasonable grounds to believe that a winner is not eligible. Entrants under 18 years old must obtain their parent or guardians consent to enter the Competition and procure that their parent or guardian signs the entry form where indicated to indicate their acceptance of the Rules and assignment of rights (where applicable). Sony ATV shall have the right to disqualify any entries which omit the parent or guardians signature (as appropriate). Sony ATV reserves the right to cancel, withdraw or amend the Competition or the Rules without notice at any time. In order to enter the Competition, please submit two original songs (Entry) by delivering a physical recording of each along with a signed copy of the entry form which acknowledges and agrees to the Rules. The Competition opens on Monday 7th October 2013 and the closing date for entries is 1230pm on Friday 15th November 2013. It is at Sony ATVs discretion as to whether it accepts entries received after this date. Your Entry must be 100% your own work or alternatively be co-written with other entrants who meet the entry criteria set out in the Rules and who has agreed to and complied with the Rules (if the latter, you and the co-writer must have written 100% of the Entry); Sony ATV cannot accept responsibility for lost, stolen or damaged entries, not for the failure of any server, internet connection or other system which may result in an entry not being received by Sony ATV. Proof of posting or emailing cannot be accepted as proof of delivery. You are responsible for all costs incurred in producing your Entry including without limitation costs associated with writing, composing, recording and delivering the Entry.

10. Sony ATV shall appoint at its absolute discretion a panel of judges (which may include Sony ATV employees) to select the winner of the Competition. Sony ATV may at its absolute discretion select more than one winner. 11. The judges decision shall be final and no correspondence will be entered into. 12. The winner of the Competition will be announced on Wednesday 8th January 2014 at the British Music Experience (BME), O2. Winners names may be published on the Sony ATV, Brit School and BME website. 13. There is no purchase requirement to enter the Competition and there is no charge to enter. 14. Entrants should note that Sony ATV does not accept responsibility for the return of any entries, including those consisting of artistic or other material. 15. Prizes are non-transferable and there is no cash alternative. Sony ATV reserves the right to substitute prizes of equal or greater value at any time. 16. Sony ATV reserves the right not to select a winner, and/or to remove or amend selection criteria and/or the structure and operation of the Competition if entries are not of the requisite standard. 17. The winner shall be responsible for all travel and accommodation costs incurred by the winner and those accompanying the winner in claiming the prize and Sony ATV accept no liability for loss or

damage to the winners property during such time. If the winner is under 18 years old, they must be accompanied by a parent or guardian when claiming the prize. 18. Save where your Entry is selected by Sony ATV as the winning entry, Sony ATV does not claim any rights of ownership to the copyright in your Entry; 19. In the event that Sony ATV inform you that your Entry is the winning entry, you hereby agree to the following: 19.1 In consideration of the potential opportunity for Sony ATV to exploit your Entry (which you hereby acknowledge is good and valuable consideration), you irrevocably grant and assign to Sony ATV absolutely with full title guarantee all copyright and similar right and all other rights title and interest, whether or not now provided for or contemplated under the laws of any country) to which you are or may be entitled in all compositions written in whole or in part (to the extent of that part) together with any associated literary work and all arrangements, adaptations, versions, editions and translations thereof (free from all encumbrances whatsoever throughout the World ("the Territory") in your Entry TO HOLD by Sony ATV, its successors and assign absolutely for a period of ten (10) years (Rights Period) from the date of submission of your Entry into the Competition and confirm that Sony ATV shall have the sole and exclusive right to exploit the Entry (and you hereby grant Sony ATV all necessary consents to do so) throughout the Territory (or not as we see fit) and to authorise others so to do without further reference to you. 19.2 Without prejudice to the generality of the foregoing, the rights granted and assigned include (without limitation) the exclusive right to collect and distribute in accordance with the terms of the Rules not less than six-twelfths (6/12) of all performance, broadcast and diffusion fees distributable by the PRS or other relevant society in respect of the Entry and one hundred per cent (100%) of all other revenues, monies and other income arising from the exploitation or existence of the Entry both before and during the Rights Period (as defined below). You undertake not to take any action necessary to achieve and to do nothing, which would or might prejudice such right. 19.3 You hereby represent warrant to and covenant with Sony ATV: 19.3.1 the Entry is and shall be new and original (does not and shall not involve the sampling of another musical work) and unpublished and that no part of any of the Entry will be an infringement of the copyright in the works of another or will be obscene or defamatory; and that you hereby irrevocably and unconditionally waive any and all moral and like rights that you may have in the Entry; 19.3.2 that you are and shall continue to be fully entitled to agree to the Rules and you are not subject to any agreement with any third party which conflicts with the Rules; 19.3.3 you are or shall be solely and absolutely entitled to the copyright and all other rights of whatever nature in and to the Entry; 19.3.4 if you are under 18 years old your parent or guardian has signed below to indicate their acceptance of these Rules; 19.3.5 you acknowledge you have been strongly advised to take expert legal advice on the terms of these Rules and you fully understand the provisions of the Rules and that the Rules are in your best interests. 19.4 You acknowledge that Sony ATV is under no obligation to exploit your Entry but in the event that it does so, Sony ATV shall pay to you seventy percent (70%) of all mechanical reproduction fees and royalties, monies resulting from the recording and/or synchronisation of the Entry with films, tapes or other permanent visual images or other exploitation of the Entry save for all monies resulting from licensing third parties to publish, print, copy or otherwise graphically which shall be at fifty percent (50%). Your writers share shall be six twelfths (6/12) of all fees distributed by the performing right society in respect of public performances of the Entry, including internet radio and television broadcasts and Sony ATV shall credit to your account forty per cent (40%) of the "publishers' share" of performing fees arising in the UK. 20. Any personal data relating to entrants will be used solely in accordance with current UK data protection legislation and will not be disclosed to a third party without the individuals prior consent. 21. The Competition and Rules will be governed by English law and any disputes will be subject to the exclusive jurisdiction of the courts of England.
