1. License. The software ("Software") accompanying or to be provided under this Shrink Wrap License Agreement (hereinafter "License"), regardless of the m edia on which it is distributed, are licensed to you by Digital Theater Systems, Inc. ("DTS"). You own the medium on which the Software is recorded, but DTS ret ains all right title and interest in the Software and related documentation. Yo u may: use the Software only to produce the following Compact Disc ("CD") or DVD Video Master Material from which replications are made ("Master Material") for recording onto package media. If the Software i s updated, any transfer must include the update and all prior versions. 2. License Restrictions. 2.1. The Software contains patented or patent pending materials, copyrighted material, trade secrets and other proprietary material. In order to protect the m, and except as permitted by applicable legislation, you may not: decompile, re verse engineer, disassemble or otherwise reduce the Software to a human-perceiva ble form; or modify, network, rent, lend, loan, or distribute Software or create derivative works based upon the Software, in whole or in part; or electronicall y transmit the Software from one computer or machine to another or over a networ k. 2.2 The Software shall only be used to produce Master Material in the format s specified in Clause 1. above for recording onto CD or DVD Video discs only. 2.3 No right is granted under this Agreement to use, lease, sell or otherwis e distribute the Software to produce Master Materials other than as specified in Clause 1. above. 2.4 No right is granted under this Agreement to use the trademark "DTS", or its derivatives, in any fashion or form, or on any product or for the indication of any service(s) without the prior express written permission of Digital Theat er Systems, Inc. 3. Termination. This License is effective until terminated. You may termin ate this License at any time by; (1) destroying the Software, related documentat ion and all copies thereof, or (2) contacting the Hardware Vendor indicating you r interest to terminate this License wherein the Hardware Vendor will remove or deactivate the Software. This License will terminate immediately without notice from DTS if you fail to comply with any provision of this License. Upon termin ation you must destroy the Software, related documentation and all copies thereo f. 4. or any ill be by the Export Law Assurance. You agree and certify that neither the Software n other technical data received from DTS, nor the direct product thereof, w exported outside the United States except as authorized and as permitted laws and regulations of the United States. If the Software has been righ

tfully obtained by you outside of the United States, you agree that you will not reexport the Software nor any other technical data received from DTS, nor the d irect product thereof, except as permitted by the laws and regulations of the Un ited States and the laws and regulations of the jurisdiction in which you obtain ed the Software. 5. Disclaimer of Warranty on Software. You expressly acknowledge and agree that use of the Software is at your sole risk. The Software and related documen tation are provided "AS IS" and without warranty of any kind and DTS EXPRESSLY D ISCLAIMS ALL WARRANTIES, EXPRESS AND IMPLIED, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE. DT S DOES NOT WARRANT THAT THE FUNCTIONS CONTAINED IN THE SOFTWARE WILL MEET YOUR R EQUIREMENTS, OR THAT THE OPERATION OF THE SOFTWARE WILL BE UNINTERRUPTED OR ERRO R-FREE, OR THAT DEFECTS IN THE SOFTWARE WILL BE CORRECTED. THE ENTIRE RISK AS T O THE RESULTS AND PERFORMANCE OF THE SOFTWARE IS ASSUMED BY YOU. FURTHERMORE, D TS DOES NOT WARRANT OR MAKE ANY REPRESENTATIONS REGARDING THE USE OR THE RESULTS OF THE USE OF THE SOFTWARE OR RELATED DOCUMENTATION IN TERMS OF THEIR CORRECTNE SS, ACCURACY, RELIABILITY, CURRENTNESS, OR OTHERWISE. NO ORAL OR WRITTEN INFORMA TION OR ADVICE GIVEN BY DTS OR HARDWARE VENDOR SHALL CREATE A WARRANTY OR IN ANY WAY INCREASE THE SCOPE OF THIS WARRANTY. 6. Limitation of Liability. UNDER NO CIRCUMSTANCES INCLUDING NEGLIGENCE, S HALL DTS, OR ITS DIRECTORS, OFFICERS, EMPLOYEES OR AGENTS, BE LIABLE TO YOU FOR ANY INCIDENTAL, INDIRECT, SPECIAL OR CONSEQUENTIAL DAMAGES (INCLUDING DAMAGES FO R LOSS OF BUSINESS PROFITS, BUSINESS INTERRUPTION, LOSS OF BUSINESS INFORMATION, AND THE LIKE) ARISING OUT OF THE USE, MISUSE OR INABILITY TO USE THE SOFTWARE O R RELATED DOCUMENTATION, EVEN IF DTS OR DTS' AUTHORIZED REPRESENTATIVE HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. SOME JURISDICTIONS DO NOT ALLOW THE LIMITATION OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES, S O THE ABOVE LIMITATION OR EXCLUSION MAY NOT APPLY TO YOU. In no event shall DTS total liability to you for all damages, losses, and causes of action (whether in contract, tort (including negligence) or otherwise) exceed the amount paid by y ou for the Software as determined by Hardware Vendor. 7. Controlling Law and Severability. This License shall be governed by and construed in accordance with the laws of the United States and the State of Cal ifornia. All disputes hereunder shall be resolved in the applicable state or fe deral courts of California. The parties consent to the jurisdiction of such cou rts, agree to accept service of process by mail, and waive any jurisdictional or venue defenses otherwise available. If this Agreement is translated, the Englis h text shall be controlling. Should any portion of this Agreement be declared n ull and void by operation of law, or otherwise, in any country, the remainder of this Agreement shall remain in full force and effect. 8. Complete Agreement. This License constitutes the entire agreement betwee n the parties with respect to the use of the Software and the related documentat ion, and supersedes all prior or contemporaneous understandings or agreements, w ritten or oral, regarding such subject matter. No amendment to or modification o f this License will be binding unless in writing and signed by a duly authorized representative of DTS. LICENSEE HEREBY ACKNOWLEDGES THAT IT HAS READ THIS AGREEMENT, UNDERSTANDS IT AND AGREES TO BE BOUND BY ITS TERMS AND CONDITIONS.
