STATEMENT OF REASONS FOR RESIGNATION

West Geauga School Board Member
MICHAEL KILROY

Now come the students, teachers, parents, administrators, neighbors, voters, community members and friends of the West
Geauga Local Schools and call for the immediate resignation of West Geauga School Board Member Michael Kilroy.

It is the opinion of the undersigned, that West Geauga School Board Member Michael Kilroy has acted in a fashion
that is not in concert with the best interest of the students, parents, teachers, and administrators of the West Geauga
Local Schools and said allegations as delineated below have created an environment of hostility and open conflict
within the school system that is detrimental to the well being and purpose of educating our children.

It is the opinion of the undersigned that West Geauga School Board Member Michael Kilroy has allegedly:

1. Created an appearance of impropriety with regards to what appears as decisions being made outside of the public
forum in violation of the Open Meetings Act which occurred by conducting a school board meeting in which a Mr.
Nutter was introduced immediately after the Board voted to reassign Superintendent Palmer and the Board authorized
the buy out of Superintendent Palmer’s contract costing the school system over $150,000 in buy out compensation.

2. Created an appearance of impropriety and violated Board policy and procedures and violated the intent of the Open
Meeting Act by conducting separate communications with some but not all board members in private and outside of
the public forum with respect to the reassignment and buy out of Superintendent Palmer.

3. Offering or negotiating the offer of a position to Mr. Nutter, before any Board public discussion or vote on the creation
of a position for Mr. Nutter, creating an appearance of impropriety and violating Board policy and procedures and
violating the intent of the Open Meeting Act and concealing the process from public scrutiny.

4. Wasting substantial amounts of public money due to the alleged mismanagement of the school budget resulting in a
projected budget impact between December 2013 and April 2014 of $2 million in excessive spending and
mismanagement, which has created a projected deficit in 2018 of $3.8 Million which will require a substantial levy.

5. Wasting over $20,000 of public money due to the alleged excessive use of telephone calls to the West Geauga School
system’s attorney and request that the attorney attend school board meetings regularly and prepare minutes for the
Board.

6. Willfully and flagrantly exercised authority or power not authorized by law and/or in contravention to established
West Geauga School Board policies by interfering with and directly disrupting the orderly administration of the West
Geauga Local Schools and faculty.

7. Engaged in gross neglect of duty, breach of his fiduciary duties, misfeasance, malfeasance and/or flagrant disregard for
the rights of the public and the requirements of the Open Meetings Act and/or the Public Records Act including but
not limited to going into executive session and conducting numerous meetings in a manner which discouraged public
participation.

8. Engaged in gross neglect of duty, breach of his fiduciary duties, misfeasance and/or malfeasance by repeatedly having
conflict with multiple members of the school administration including three separate school superintendents and a
school treasurer, resulting in the school system having to incur substantial costs for both legal services and contract
issues that have been incurred.

9. Engaged in gross neglect of duty, breach of his fiduciary duties, misfeasance and/or malfeasance by requiring an
attorney to be present at all school board meetings, an unusual act and extreme cost not typically incurred by other
public school boards resulting in unjustifiable costs to the West Geauga school system especially in light of the non-
cost legal services available from the Geauga County Prosecutor.

10. Engaged in gross neglect of duty, breach of his fiduciary duties, misfeasance and/or malfeasance by failing to follow
Board Policies and procedures including but not limited to policy 0123G, 0123S, 0123DD.

11. Engaged in a pattern of hostility and animosity toward members of the administration resulting in multiple departures
and/or reassignments by superintendents and other administrators to the detriment of the West Geauga Local Schools,
its students, parents and faculty.

12. Engaged in a pattern of interference, hostility and involvement in school day to day affairs causing disruption, conflict
and needless distraction to school administrators and teachers, demonstrating repeatedly intolerance toward concerns
raised by multiple members of the public and has further engaged in an alleged pattern of conflict creating an
environment that is hostile to the wellbeing of the children and that furthers Mr. Kilroy’s own personal and private
agendas to the detriment of our community.
