Re: Micah Nathan Writer Agreement with Good News Holdings, LLC

Dear Attorney Bertsche:

Please be advised that I am writing in connection with a proposed article in Boston


Magazine authored by Micah Nathan (“Nathan”) which refers to Good News Holdings (the
“Company”).

Please also be advised that on or about October 2, 2006, Nathan signed a Writer’s
Agreement with the Company in which the terms of Nathan’s employment and services with the
Company are stated (the “Agreement”). In Paragraph 5 of the Agreement it is stated that “the
Artist’s participation and the facts of this Agreement (both during and after Artist’s employment
by the Company) shall be kept in the utmost confidence, and neither Company nor Artist shall at
any time directly or indirectly release or disclose such facts to any other person or entity (other
than to Artist’s agents, attorneys and/or business managers, and to Company’s attorneys and
other similar representatives). In addition, Paragraph 11 of the Agreement states, “Artist shall
not issue, release, authorize or in any way participate in any publicity, press releases, interviews,
advertisements or promotional activities relating to Company, the Books or Artist’s services
hereunder without the prior written consent of the Company.”

Disclosure of any information whatsoever pertaining to the Company or its founding


members, is a breach of the Agreement and actionable under law. While we understand that
Nathan may have represented that his forthcoming Boston Magazine essay is in compliance with
the Agreement, we do not agree that it is. Any disclosure of Nathan’s employment with the
Company or its founding members is a clear violation of the Agreement. We will hold not only
Nathan in violation of the Agreement, but also anyone who participates in breaching the
Agreement.

The Company currently has a $300 mil dollar project in Massachusetts which could be
irreparably harmed by violation of the Agreement. Notwithstanding any indemnification that Mr.

Nathan may have signed, this letter serves as notice that if the parties suffer any financial harm or
loss of any kind in relation to their current projects due to the breach of the Agreement, the parties
intend to hold Boston Magazine and its parent company Metrocorp Holdings, Inc. responsible for
the entirety of these losses, plus damages.

This letter also serves as notice that Nathan did not receive any written (or oral) consent
from the Company to disclose any information about the work relationship between them. If the
parties suffer any financial harm or loss of any kind in relation to their business due to the breach of
the Agreement, the parties intend to hold Boston Magazine and its parent company Metrocorp
Holdings, Inc. responsible for their losses and subsequent damages.
