CONTRACT

THIS CONTRACT, made this ji.day of ki 0%)e.Athex , 2010 by and between
the City of Pensacola, Florida (hereinafter called the Owner) and Utility Service Co. Inc. of Gulf
Breeze, Florida (his, its, their) heirs, executors, administrators, and assigns (hereinafter called the
Contractor).
WITNESSETH: The Contractor agrees with the said Owner, for consideration herein mentioned,
and at his, its, or their own proper cost and expense to do all the work and to furnish all necessary
labor, materials, equipment, machinery, tools, apparatus, and means of transportation for the:
ADMIRAL MASONSTORMWATERMANAGEMENTFACILITY PROJECT
for the base bid amount of: One million, Eighty-Eight Thousand, Two Hundred Fifteen dollars and
Ninety-Two cents ($1,088,215.92) plus additive alternate #1: (irrigation well) Ten Thousand Five
Hundred Twenty-Five dollars ($10,525.00) for a total amount of One million, Ninety-Eight
Thousand Seven Hundred Forty dollars and Ninety-Two cents ($1,098,740.92).
In the manner and to the full extent as set forth in the plans and specifications therefor and the
Contract Documents relative thereto as follows:
Forms of Advertising for Bids, Instructions to Bidders, Proposal, Bid Bond, General Conditions
(including Insurance and Indemnification), Special Conditions, Contract Bond, and all Addenda, if
any issued with the construction specifications and hereto attached, and the said plans accompanying
(and which are signed by both parties for identification) are made a part of the agreement as
completely as if set forth herein to the satisfaction of the Owner, or its duly authorized
representative, who shall have at all times full opportunity to inspect the materials to be furnished
and the work to be done under this agreement. The Contractor hereby agrees that it will not
discriminate on the basis of race, creed, color, national origin, sex, age or disability.

IT IS FURTHER AGREED that if at any time after execution and approval of this contract, and the
performance required by the Contract documents, the Owner shall deem any of the sureties upon
such bond to be unsatisfactory or if for any reason such bond shall cease to be adequate security for
the Owner, and the party of the second part shall within five (5) days after notice of the first party to
do so furnish a new or additional bond in full sum, form signed by such parties as shall be
satisfactory to the Owner, no further payment shall be deemed to be due nor shall any further
payment be made to the Contractor unless and until such new or additional bond shall be furnished
and approved. The premium on such bond shall be paid by the Contractor.
The Contractor further agrees to start the work at such time as set up in the bid and to complete the
same at such time as set up in the General Conditions or at such later date as may be fixed by the
Owner by granting an extension of time.
In consideration of the foregoing premises, the Owner agrees to pay the Contractor for all work
completed, equipment and materials furnished in amounts as indicated in the general conditions,
under the conditions set forth in the proposal of the Contractor, submitted to the Owner and in the
said contract documents for the doing of the work hereinbefore specified, which is the bid indicated
in said proposal, in good lawful money of the United States of America.
IT IS FURTHER AGREED that the Contractor shall in all respects comply with the terms and the
conditions of this contract, and its obligations thereunder including the Contract documents, Form of
Advertising for Bids, Instructions to Bidders, Proposal, Bid Bond, General Conditions (including
Insurance and Indemnification), Contract Bond, and all addenda, if any issued prior to the opening of
bids, which said Contract documents with the Construction Specifications are hereto attached by
reference, and the said plans accompanying (and which are signed by both parties for identification)
and made a part of the agreement as completely as set forth herein.
I T IS FURTHER AGREED that Contractor agrees to pay to the Owner any difference between the
sum to which the said Contractor would be entitled on the completion of the contract, and that which
the Owner may be obliged to pay for the completion of said work by the Contractor or otherwise and

such work, or on account of the failure of the said Contractor to properly and in all things keep and
execute all of the provisions of the said contract.
This Contract shall be governed and construed in accordance with the Laws of the State of Florida.
The parties stipulate that venue for any matter relating to this contract shall be in Escambia County,
Florida.

Recommendation:
That City Council award a contract for the construction of the
Admiral Mason Stormwater Management Facility to Utility Service
Co, Inc. of Gulf Breeze, Florida, the lowest and best responsible
bidder, in the base bid amount of $1,088,215.92 plus additive
alternate #1 $10,525.00 (additional irrigation well) for a total amount
of $1,098,740.92 and that proposal No. 600510 from the Gulf Power
Company to provide and install 19 - 60 watt LED street lights
associated with the project be authorized in the amount of $55,544.00
for a project total of $1,154,284.92 with a 10% contingency.

That City Council award a contract for the construction of the Admiral Mason Stormwater
Management Facility to Utility Service Co, Inc. of Gulf Breeze, Florida, the lowest and
best responsible bidder, in the base bid amount of $1,088,215.92 plus additive alternate #1
$10,525.00 (additional irrigation well) for a total amount of $1,098,740.92 and that
proposal No. 600510 from the Gulf Power Company to provide and install 19 - 60 watt
LED street lights associated with the project be authorized in the amount of $55,544.00 for
a project total of $1.154,284.92 with a 10% contingency.
SUMMARY:
In February, 2008, the City entered into an Agreement with Escambia County, the
Community Redevelopment Agency (CRA) and the Pensacola-Escambia Promotion and
Development Commission (PEDC) to cooperatively develop a Technology Park On 7.5
acres of property immediately south of the Pensacola Civic Center. Subsequently, the
PEDC approached the City in January 2010 to fund the construction of the required
stormwater facilities to assist with the development costs of Technology Park. The City' s
FY 2010 & 2011 Stormwater Capital Improvements Plan was modified to appropriate
$1,800,000.00 toward the construction costs of the Technology Park stormwater facilities
by rescheduling several projects.
In addition to providin g basic stormwater requirements the project incorporates substantial
landscaping, hardscaping and irrigation into the project design so as to create a major focal
point along •Bayfront Parkway highlighting the eastern approach to downtown Pensacola. It
is anticipated that the perimeter sidewalk and benching will be used by City residents who
take advantage of the walk along Pensacola Bay. Although funding the Technology Park
stormwater facilities will delay a number of other stormwater projects, the Admiral Mason
Stormwater Facility will support a priority g oal of City Council - Economic Development.

10 Notice to the Surety, the Owner or the Contractor
shall be mailed or delivered to the address shown on
the signature page.
11 When this Bond has been furnished to comply with
a statutory or other legal requirement in the location
where the construction was to be performed, any
provision in this Bond conflicting with said statutory or
legal requirement shall be deemed deleted herefrom
and provisions conforming to such statutory or other
legal requirement shall be deemed incorporated
herein. The intent is that this Bond shall be construed
as a statutory bond and not as a common law bond.
12 DEFINITIONS
12.1 Balance of the Contract Price: The total
amount payable by the Owner to the Contractor
under the Construction Contract after all proper
adjustments have been made, including allowance
to the Con-
tractor of any amounts received or to be received by
the Owner in settlement of insurance or other claims
for damages to which the Contractor is entitled, re-
duced by all valid and proper payments made to or on
behalf of the Contractor under the Construction Con-
tract.
12.2 Construction Contract: The agreement between
the Owner and the Contractor identified on the sig-
nature page, including all Contract Documents and
changes thereto.
12.3 Contractor Default: Failure of the Contractor,
which has neither been remedied nor waived, to per-
form' or otherwise to comply with the terms of the
Construction Contract.
12.4 Owner Default: Failure of the Owner, which has
neither been remedied nor waived, to pay the Con-
tractor as required by the Construction Contract or to
performand complete or comply with the other terms
thereof.
MODIFICATIONS TOTHIS BOND ARE AS FOLLOWS:
This bond is given to comply with Section 255.05 Florida Statutes, and any action instituted by a claimant under this
bond for payment must be in accordance with the notice and time limitation provisions in Section 255.05(2), Florida
