SCHEDULE A

SCOPE OF SERVICES – GEOFF ENGLEBRECHT – PROJECT RESPONSIBILITES

Consultants

. Write consultant brief, and or

. Review design briefs submitted from the consultants

. Arrange and call tenders for the Consultants

. Assess and report on tenders submitted by the consultants and recommend


consultants to be engaged by the Principal

.Monitor and report to the Principal on the progress of Consultants

.coordinate the services provided by Consultants

.Ensure that the Consultants comply with the terms of their Consultancy
Agreements

.Issue all instructions, notices and directions to the Consultants as may be


required

.Advise the principal if additional consultants are required and make


recommendations to the Principal in regard to additional consultants

.Assess and report to the Principal on tenders submitted by Consultants

Technical Appraisals

.Prepare or cause to be prepared and implement all necessary or desirable


technical appraisals, planning and design studies, timetable and contract
procedures

Concept and Schematic Design

. My responsibilities as Project Director and Project Manager were:

– Use all reasonable endeavours to ensure the other Consultants produce


concept and schematic designs in accordance with the development brief and
– Use all reasonable endeavours to ensure that the concept and schematic
designs are approved by the date set out in each development program

Authorities

.Assist the Principal with its dealings with Authorities when requested

.Use all reasonable endeavours to ensure that all necessary approval consents,
surveys and certificates are obtained from the relevant authorities to permit
carrying out each project and the use of the project for the purposes in the
development brief
.Conduct negotiation with the Authorities when requested by each Principal

Adjoining Owners

.Assist the Principal as requested on each project in all dealings and negotiations
with adjoining land owners

Engagement of the Project Contractor

.Prepare and coordinate preparation of tender documents for the letting of the
design and Construct Contract and do all things necessary to have each tender
documents approved by the Principal

.Use all reasonable endeavours to ensure that each of the tender documents are
ready by the date set out in the development programme

.Prepare in conjunction with the Principal a list of approved tenderers

.Deliver the approved tender documents to the approved tenderers

.Evaluate, assess and make recommendations to the Principal (with reasons) on


all tenders submitted for the Design and Construct of each project

.Attend all post tender meetings when requested by the Principal

.Finalise contract conditions with the approved Project Contractor if requested by


the Principal

.Assist the Principal in the preparation of the design and Construct contract if
requested on each project

Developed Design

.On each project I have had the responsibility to:

– Use all reasonable endeavours to ensure that the Project Contractor produces
a developed design in accordance with the Development brief and any
Principal’s requirements for its approval; and
– Use all reasonable endeavours to ensure that the developed design is
approved by the Principal by the date set out in each of the projects
development program

Final Design

. As Project Director/Project Manager I have

– Used all reasonable endeavours to ensure that the Project Contractor


produces a final design in accordance with the Development Brief and any of
the Principal’s requirements for is approval: and
– Used all reasonable endeavours to ensure that the final design is approved
by the Principal by the date set out in the development program
Design and Construct Documentation Design

.As Project Director/Manager I have used all reasonable endeavours to ensure


that the project Contractor produces and completes all documents required for
the Design and Construct Contract in accordance with the final design approved
by the Principal by the date set out each time in the Development Program

Development Program

.As Project Director/manager I must prepare and submit a development program


to the Principal for its approval

.If the development program is rejected, I must perform all necessary services in
order to obtain the Principal’s approval:

.Activities included in each development program I have been responsible for


are:

– Briefing of Consultants
– Preparation, delivery and approval of the cost plan and any revised cost plans
– Development, delivery and approval of the schematic design
– Preparation, delivery and approval of tender documents
– Assessment of tenders
– Dealings with Authorities
– Staging requirements
– Development, delivery and approval of the developed design
– Development, delivery and approval of the final design
– Commencement of the project contractor
– Interface and coordinate the fitouts of the proposed retail tenants (retail
projects) including any Principal requirements
– Interface and coordinate any multi-unit residential (high rise housing or
combination retail) for the project including any Principal’s requirements
– Practical completion
– Defects liability Period and Final Certificate

.Monitor the progress of all other Consultants and the Project Contractor against
the development program

.Prepare detailed fitout, equipment and installation schedules to match the


development program

.Manage and advise the Principal of the programming consequences of any


design variation or construction variation

.Revise the development program showing any alterations made and track
progress against the development program
.Use all reasonable endeavours to ensure that the Project Contractor submits a
construction program in accordance with the development program

Cost of Works

.As Project Director/Manager responsible to assist the Principal to manage and


coordinate the preparation and implementation of a budget and use all
reasonable endeavours to ensure that the total estimate of costs in the cost plan
or budget will not exceed the agreed sum

.If the cost plan or budget is rejected by the Principal I must perform all
necessary services in order for Principal’s approval to be obtained

Claims by other Consultants and Project Contractor

For every progress claim from the Project Contractor as PD/PM I must determine:

.whether the work and the subject of the progress claim has been performed in
accordance with the contract and

.whether the Project Contractor has complied with its quality assurance
obligations under the Contract and

.the amount of payment to be made by the Principal and issue a payment


certificate to the Project Contractor and a copy to the Principal

For every progress claim from the other Consultants as PD/PM I must determine
all of the above also with regard to their services.

Contract Administration

.Administer the Design and Construct Contract and use all reasonable
endeavours to ensure that the Project Contractor performs to the terms of the
Contract and that the project is constructed in accordance with the Principal’s
requirements, any construction program, the development program and any
approved cost plan or budget

.Provide all necessary direction to the project Contractor; monitor progress and
performance and initiate any corrective action required to maintain satisfactory
performance and progress

.Perform the duties of the Superintendant under the Design and Construction
Contract

.Use all reasonable endeavours to ensure the Project Contract minimises the
extent to which any building works cause or contribute to any nuisance,
interruption or disturbance to the Principal and all lessees (as required),
occupiers and users of any project

Quality Management
.Use all reasonable endeavours to ensure the delivery of the Project in
accordance with the quality objectives stipulated from time to time by each
Principal

.Monitor and report on the preparation and effective implementation of the


documented quality systems for all consultants, the Project Contractor and any
of its sub-contractors in accordance with the relevant Australian Standard

.Provide any evidence to the satisfaction of the Principal that all quality
objectives are being met

Practical Completion

As Project Director/Pm I will on each project

– Inform the Principal with the Project Contractor requests the issue of a
Certificate of Practical Completion
– Determine in conjunction with the Principal whether there are any matters
which prevent the Project Director/manager issuing a Certificate of Practical
Completion to the Project Contractor
– Provide the Principal with a copy of the Certificate of Practical Completion
issued pursuant to the Design and Construct contract

Defects Liability Period

.Prepare and submit a program to the Principal for their approval, detailing the
steps to be taken during the defects liability period for the identification and
rectification of defects

.Review any list of defects provided by the Principal during the defects liability
period

.Provide the Principal with any notice issued to the Project Contractor requesting
the Project Contractor to perform rectification work pursuant to the Design and
Construct Contract and

.Carry out all other necessary services and issue all necessary directions until a
final certificate is issued

Final Certificate

Each time as the Project Director/project Manager I will:

– Advise the principal of the likely date for the issue of the Final Certificate
– Using the assistance of other Consultants where it is considered necessary to
satisfy itself in conjunction with the Principal whether the Final Certificate can
be issued to the Project Contractor and
– Carry out all other necessary services and issue all necessary directions until
a final certificate is issued

Design and Construction Variations


As Project Director/manager on each project I:

-review and report in detail, including a cost-benefit analysis to the Principal on


all Design and Construct Variations requested by the Principal

-Make recommendations with a detailed report including a cost-benefit analysis


to the Principal in respect of any Design and Construct Variations that should be
initiated by the Principal for their benefit

-Ensure the implementation of all Design and Construct Variations approved in


writing by the Principal

Extensions of Time

.On each project I will assess and report to the Principal on any extensions of
time requested by the Project Contractor under the design and Construct
Contract to the date of Practical Completion

Authorities and Statues

.On each project I have used all reasonable endeavours to ensure that the
Principal, the Consultants and the Project Contractor comply with all Legislation
and obtain all relevant approvals from the Authorities and comply with all
directions of the Authorities

Reporting

On each project I have been responsible for preparing a monthly report in the
form approved by the Principal which must report to the Principal on each of the
following matters if relevant during that month;

– Development program
– Schematic design
– Developed design
– Final design
– Documentation for design and construct
– Tender package
– Consultants
– Construction
– Authorities
– Budget on a cash flow basis
– Quality assurance

Disputes

.Provide advice to the Principal on any claim or dispute which arises out of the
Project prior to issue of the Final Certificate

.Use all reasonable endeavours to promptly resolve any disputes arising in


respect of construction and if requested by the Principal, institute proceedings
for the purposes of enforcing the Principal’s or the Project Manager’s rights in
respect of construction

Certification

.Before the issue of the Final Certificate, I have been responsible to certify with
the Principal that it has:

– Reviewed and checked the sufficiency of and compliance with all design and
other documentation relevant to the project and
– Reviewed and checked the quality of work, materials, goods and services
provided by the Consultants, Project Contractor and Subcontractors in
connection with the Project

Handover Documents

.Before Practical Completion on each project I have been responsible to submit


to the Principal a complete list of all documents that the Principal should receive
on or before the issue of the Final Certificate
