CAVITE HIGH SCHOOL CLASS OF 1961

ALUMNI ASSOCIATION
CODE OF BY-LAWS

KNOW ALL MEN BY THESE PRESENTS;


WE, THE UNDERSIGNED FILIPINO CITIZENS AND RESIDENTS OF THE
PHILIPPINES, AND ALUMNI OF CAVITE HIGH SCHOOL CLASS OF 1961 HEREINAFTER
REFERRED TO AS ALUMNI of CHS CL61, DO HEREBY ADOPT THE FOLLOWING CODE
OF BY-LAWS.
ARTICLE I
NAME OF CORPORATION
Section 1. The name of the corporation shall be CAVITE HIGH SCHOOL CLASS
OF 1961 ALUMNI ASSOCIATION, CHS CL 61.
ARTICLE II
OBJECTIVES AND PURPOSES
Section 1. The objectives and purposes of this incorporation is to form an
association of alumni of Cavite High School Class of 1961 to promote bonding and
camaraderie among the members; provide support services to the members, their
siblings and their community and to Cavite High School, our alma mater.
ARTICLE III
PLACE OF BUSINESS
Section 1. The place of business of the association shall be Cavite City,
province of Cavite.
Section 2. The Association shall do business in Cavite City and in all other
towns of the province of Cavite where there are members native and residents of
such towns and in such other places where the Board deems necessary and
appropriate.
ARTICLE IV
MEMBERSHIP
Section 1. All members of the Cavite High School Class of 1961, herein
referred to as alumni of the school shall compulsorily be members of the
association; membership of which shall be confirmed in writing thru a form
formulated for the purpose.
Section 2. The Association reserves the right to accept application for
membership.
Section 3. The Association reserves the right to accept as honorary member,
any person who had belonged to the batch of students of Cavite High School for the
year 1961 but has not graduated for some reasons, but opted to join the association
in such an honorary status.

Section 4. No member of the Association may cease to be a member unless


by reason of death or fortuitous events.
Section 5. All members of the Association shall pay a membership fee of fifty
pesos (Php50.00).
Section 6. All members of the Association shall pay an annual membership
due of Two hundred pesos (PhP200.00).
Section 7. Duties of the Members. All members of the Association shall
attend all activities of the Association as shall be deemed necessary by the Board of
Directors, and decide on all matters presented to the members in a general
assembly and shall support all endeavors entered into by the Association.
Section 8. A regular member is a member who is an alumnus of Cavite High
School Class of l961, had applied for membership to the association, application of
which had been approved by the Membership Committee, and had paid the
membership due as herein provided.
Section 9 . An active member is a regular member who pays the annual
membership dues and attends regular meetings of the association and had not
absented from the last three (3) regular meetings, except for valid reasons.
ARTICLE V
GOVERNMENT
Section 1. General Control and Administration. Final authority in the
management and control of the administration of the Association is vested upon the
general membership herein referred to as the General Assembly.
Section 2. Quorum at the General Assembly shall be one-half plus one of the
active registered members and in no case less than 25% of the regular
membership.
Section 3. Powers and Limitations of the General Assembly
a. To elect Officers of the Association, and other Committees as required
under these code of by-laws; and remove them from office for cause;
b. To hear and pass upon the reports of the Board of Directors, Committees
and Officers;
c. To take final decisions regarding any drastic change in the financial
policies, subject to legal restrictions;
d. Adopt proposed amendments to the provisions of the Articles of
Incorporation and these By-laws;
e. Exercise final authority on all matters vitally affecting the Association;
f.

To approve developmental plan of the Association; and

g. To exercise all powers expressly provided for by law and this code of Bylaws.
Section 4. Board of Directors The Board of Directors shall be composed of
the past presidents living and alive, and such other Presidents who may be elected
hereafter. The current President shall automatically be the Chairman of the Board.

Section 5. Officers of the Association - An annual election of officers shall be

Sergeant-at-Arms

Section 6. The President-elect shall appoint his Secretary, and assistant


Secretaries as he deems necessary.
Section 7. Duties of Officers
a.

Board of Directors The Board of Directors, as a body shall have general


supervision and control of the affairs of the Association. It shall prescribe
policies consistent with law, these by-laws and the resolution of the
general assembly for the management of the business of the Association
and for the guidance of its officers and members.
b. President The President shall be:
1) The Chief Executive Officer of the Association,
2) Preside in all meetings of the Board of Directors,
3) Execute all resolutions and/or decisions of the Board of Directors,
4) Direct and oversee the activities of the Association, review and
approve expense vouchers,
5) With the consent of the Board appoint Chairman of standing and
special committees,
6) Together with the treasurer of the Association, shall present to the
Board of Directors and the members, an annual budget and,
supplemental budgets, as may be necessary and from time to time a
report of financial status. and,
7) Submit to the Board, and to the members, as soon as possible after the
close of each fiscal year, and at each annual meeting, a complete
report of the activities and operations of the Association for the fiscal
year under his term.
c.

Executive Vice-President shall


1) have such duties and responsibilities as follows:

a) Manages all activities of the Association under the authority of the


President.
2) Exercise all the powers and perform all the duties of the President
during his absence or
incapacity
d. Vice-President Internal Affairs- shall have such duties and responsibilities
on internal affairs of the Association and shall have duties and
responsibilities as maybe prescribed by the Board,
e. Vice-President for External Affairs shall:
1) have such duties and responsibilities on external affairs of the
Association
2) Establish linkage with other CHS alumni associations abroad
particularly CHS Cl 61,

3) Act as the class representative in functions with relations abroad


unless otherwise others maybe appointed by the Chairman of the
Board.
f. Treasurer shall:
1) Have charge of the funds receipts, and disbursements of the
Association,
2) Prepare, and countersign all checks for disbursement for the signature
and approval of the President.
3) Maintain a petty cash fund of an amount as maybe decided by the
Board for disbursements approved by the President and report all
expenses incurred during the period just ended.
4) Prepare annual and periodic financial statements,
5) Be responsible in the collection of dues, fees, monies and donations to
the Association,
6) Perform such other duties and functions as maybe assigned to him
from time to time by the Chairman of the Board.
g. The Secretary shall
1) Give notices to regular and special meetings as required by the bylaws,
2) Prepare, report and keep the minutes of all meeting of the members
and the Board of Directors.
3) Prepare all necessary correspondence of the Association,
4) Have custody of all the correspondence, files and all other records of
the Association,
5) Maintain an updated members roster, and
6) Perform such other duties as the Board of Directors and the President
may assign.
h. Auditor shall
1) Examine the financial records and audit all the funds and expenditures
of the Association once a year and as maybe necessary,
2) Certify the annual and periodic financial reports to the members of the
Association during the annual and special meetings,
3) Act as treasurer in case of his resignation or incapacity, until such time
that a replacement shall be made.
4) Perform such other related functions as may be assigned by the Board
of Directors.
i. General Information Officer (GIO) shall
1) Act as liaison officer among coordinators of the Association and with
the other Alumni Associations, and to such other offices as maybe
necessary,
2) Handle and perform all press and public relations work of the
Association.
j. Sergeant-at-Arms shall
1) At all times maintain peace and order during meetings of the Board
and general membership
2) Assist in determining the number of attendees during general
membership meetings.
Section 8. The Officers, in the conduct of their functions shall create
Committees who shall augment them to carry out the objectives of the
Association, as necessary and appoint chairpersons to man the Committees.
The following committees shall be formed:
a) Committee on Ways and Means
1) The Committee Chairman shall be responsible for the planning, and
organization of any project to raise funds

2) He shall supervise the mechanics of the projects to be undertaken and


assign members to implement the project to ensure its success,
3) He shall coordinate with the Board the viability of the project before its
implementation.
b) Committee on Sunshine
1) The Committee shall take charge of the visitation to sick classmates or
anyone who suffered infirmities or suffered great loss in their lives.
2) They will also take the initiative to greet birthday celebrants of the
month
3) They will represent the Class as the need arises in attendance in the
wake or funeral of any departed members or their immediate relatives.
4) They will be in charge of in forming other members regarding the
bereavement of any member of the Class
5) They will take charge of sending flowers or any form of sympathy or
condolences to the members.
c)

Committee on Membership
1) Act on Application for membership and approve them as appropriate
2) The Committee shall take charge of compiling all information regarding
the members
3) The Committee shall prepare and updated list of members.

d) Committee on Awards
1) The Committee shall prepare the criteria and guidelines for the
selection of qualified alumni
2) The Committee shall take charge in the endorsement of the
nomination for qualified members in any search for outstanding alumni
3) The Committee shall coordinate with the Board and submit their
evaluation for final approval.
c) Committee on Socials and Fellowship
1) The Committee shall be in charge of the planning and preparation for
fellowship of members
2)
Coordinate with the Committee on Ways and Means with regard
to any activity if this activity will help in raising funds for the Association
3) Present activities and programs that will enhance harmony and closer
relationship among the members.
d) Committee on Constitution and By-laws
1) The Committee shall take charge in the legal documentation of the
Association
2) The Committee shall take charge in any amendment or revision to be
made on the by-laws as the need arises.

e) Committee on Special Projects


1) The Committee shall coordinate and undertake the implementation of
the special project as approved by the Board
2) The Special Project should not be in conflict with other projects of
other committees.
f) Committee on December Affair
1) The Committee shall be in charge of the planning and preparation of
the traditional get-together party every December
2) The committee shall take charge of the venue, arrangements,
transportation as needed to maximize attendance.
3) The committee shall be responsible on the over-all preparation of the
affair.

Section 9. Liabilities of Directors, Officers, and Committee Chairmen and


members. ho willfully and knowingly voted for or assent to patently unlawful
acts or who are guilty of gross negligence or bad faith in directing the affairs
of the Association or acquire any personal or pecuniary interest in conflict
with their duties as such Directors, Officers, or Committee Members shall be
liable jointly and severally for damages or loss resulting there from to the
Association, members and other persons.
When a Director, Officer or Committee Member attempts to acquire or
acquires, in violation of his duty, any interest or equity adverse to the
Association in respect to any matter which has been reposed to his
confidence, shall as a trustee of the Association , be liable for damages and
for profits which otherwise would have accrued to the Association.
ARTICLE VI
MISCELLANEOUS
The Association may invest its capital in any of the following:

In shares or debentures or securities of other associations


In any reputable bank in the locality or any cooperative
In securities issued and/or guaranteed by the government,
In real estate primarily for the use of the Association
In any other manner approved by the General Assembly
ARTICLE VII
AMENDMENTS

Section 1. Amendments to the provisions of the Articles of Incorporation


and/or this Code of By-laws may be adopted by the General Assembly at any regular
or Special meeting called for the purpose.
Section 2. Effectivity of the amendments shall take effect upon receipt of the
Association of a Resolution passed to the effect.
ARTICLE VIII
EFFECTIVITY

Section 1. This Code of By-Laws shall take effect upon ratification of the
General Assembly.
