MEMORANDUM

January 19, 2010

TO: All Employees

FROM: Charlie Redmayne

I'm happy to announce the creation of HarperCollins Digital, a new structure focused
on growing our authors' reach and revenues in today's exciting digital marketplace.

HarperCollins Digital will work ever more closely with our operating divisions to create
content, marketing reach, products, communities, and consumer knowledge that has
direct and measurable benefits for our authors and the sales of their work. There are three
teams within HarperCollins Digital: Author Services, Consumer Products, and
Business Development. In addition, we will work closely with the Digital Technology
Services Team. These groupings reflect our commitment to delivering against the digital
strategy defined by our executive leadership team. The purpose of these organizational
changes is to increase focus while enhancing our ability to provide quickly what authors
need today to reach book consumers online. The HarperCollins Digital team is located
on the 9th floor in our New York office, a space equipped for the multi-media and
collaborative work of a publisher today. I encourage you all to visit the new space.

Carolyn Pittis will move into the role of Senior Vice President, HarperCollins Digital,
Global Author Services, focused on establishing and building an industry-leading Author
Services proposition, for all divisions of our company. The expectations and needs of
today's book readers have changed. HarperCollins believes it is a publisher's
role to provide content and services that augment authors' knowledge and ability to
connect with their readers. Carolyn's vision and experience in the online space, deep
knowledge of the book industry, and recognized leadership ability make her the perfect
candidate to build out these new capabilities for the company. She will work with our
exceptional editorial and marketing staff around the world to build new author
communication offerings, and new marketing and content services that show
how increased collaboration online grow revenues. The HarperCollins Speakers' Bureau,
under the leadership of Jamie Brickhouse, will become part of the Author Services group,
and will now report into Carolyn.

Joe Park, currently CEO of BibleGateway, a division of Zondervan, and a former

Amazon executive, will move into the role of Senior Vice President, HarperCollins
Digital, Consumer Products, effective immediately. He is tasked with building out
consumer content, communities, and sites that exponentially increase our relevance and
engagement with the world's book lovers. Joe brings to HarperCollins enormous
knowledge and experience of the consumer marketplace and of the technologies required
to succeed in it. He brings skill sets that are unique to the business, a real understanding
of the consumer, and entrepreneurial flair. He will work closely with our publishers and
with HarperMedia to create more consumer content and valuable website experiences.
He will also direct our e-commerce efforts, and will drive our consumer membership and
engagement efforts, email marketing and consumer mobile strategy. Joe will report to
me.

Employees of the Internet Development Group will be subdivided into work and project
teams reporting to Joe, Carolyn, and Mike McGinniss. More details about the
organizational structure and deliverables of these teams will be communicated within
coming weeks.

Leslie Hulse will continue on in the critical role of Vice President, Digital Business
Development, responsible for establishing and enhancing our strategic relationships with
third party partners, such as Amazon, Google, and Apple, as well as establishing new
opportunities in different channels as yet unexploited by publishers. Leslie has enormous
and valuable knowledge of the digital marketplace, of its technologies and business
terms, and her insight and experience will continue to insure that our authors are well
positioned in the digital marketplace. Leslie will report directly to me.

HarperMedia, our digital publishing group led by Publisher Ana Maria Allessi, will
continue its focus on producing innovative digital products for sale to consumers. Ana
Maria will continue to report to Michael Morrison, but will now have a dotted line
reporting into me working closely with the new HarperCollins Digital team.

2010 is an exciting and important year for HarperCollins – there are great opportunities,
but also threats, and making the right decisions and implementing the right strategy in the
digital market are hugely important factors in maintaining the growth of our business. I
am tremendously excited about this team, and about what, with your support, they
will accomplish for the company and our authors.
