MEMORANDUM AGREEMENT

Between
EDUARTE TRAINING CONSULTANCY. And NINOLETA GUDOY-LAGUNA
This is an agreement between:
Party A, EDUARTE TRAINING CONSULTANCY, a company existing
under the laws of the Philippines with office addreses at 13 Manga Rd.
Pilar Village Las Pinas City. 1740, herein represented by its president and
CEO RODERICK EDUARTE, of legal age, Filipino, , hereinafter called ETC;
and
Party B, NINOLETA GUDOY-LAGUNA, of legal age, Filipino with office
address at ________________________, as CEREBRUM CENTER OPERATOR
General Santos City, hereinafter called CCO;
I.PURPOSE
The purpose of this MOA is to clearly identify the roles and responsibilities
of each party as they relate to the promotion, sales and conduct of the
BRILLIANT MIND DEVELOPMENT/ MIDBRAIN ACTIVATION WORKSHOP
business in the province/city of General Santos City.
II. BACKGROUND
The Eduarte Training Consultancy company engaged in providing
trainings, seminars and workshop services. The BRILLIANT MIND
DEVELOPMENT/ MIDBRAIN ACTIVATION WORKSHOP is an exclusive
product/service of the ETC.
CGCO has expressed its intention to be appointed as a CEREBRUM
CENTER OPERATOR (CCO) General Santos City, for the BRILLIANT MIND
DEVELOPMENT/ MIDBRAIN ACTIVATION WORKSHOP in the entire
province/city of GENERAL SANTOS CITY. It was able to comply with the
minimum amount required to be appointed as CCO General Santos City.
III. PARTY A RESPONSIBILITIES UNDER THIS MOA
Party A hereby accepts and appoints Party B as CEREBRUM CENTER
OPERATOR - GENSAN (CCO-GENSAN) for the entire province/city of
GENERAL SANTOS CITY with the following terms and conditions:

The CCO shall be entitled to all the potential benefits under the
program:
1. Prepaid ETC Certificates at P16,500.00 each:

2. A rebate of P2,000.00 from the base price of P16,500.00 (or

Metro Manila rate) from each certificate:
3. Additional profit to be generated for organizing effort and cost
outside Metro Manila. Determination of additional cost in
organizing shall be at the sole discretion of the CCO, but with the
concurrence of Party A.
4. Marketing support in terms of materials, e.g., tarpaulins,
brochures, etc.
Party A shall ensure proper coordination with CCO with regards to
scheduling of the workshop and for booking and deployment of
facilitators/trainers to the designated workshop venue of CCO within
its designated city/province.

IV. PARTY B RESPONSIBILITIES UNDER THIS MOA

Party B shall agree to be bound this MOA

Party B shall always promote and sell BRILLIANT MIND

DEVELOPMENT/ MIDBRAIN ACTIVATION WORKSHOP in conformity
with the standards and set by Party A. Any planned activity outside
of the actual workshop, specially public promotions and
demonstrations with the involvement of the children, should be
reported to and approved by Party A. Approval by Party A shall be
based on the safety of the children, and on the written consent by
the parents.
Party B shall bear the following expenses to be incurred by
facilitators/trainers to conduct workshop:
1. Transportation via any mode necessary
2. Hotel accommodation depending on the number of days of the
workshop.
3. Per diem of Php 1000./day for each.
Party shall bear the amount for rent for the use of a venue for the
workshop.
Party B shall notify Party A in writing, at least 30 days prior to any
plan of terminating this contract.
V. IT IS MUTUALLY UNDERSTOOD AND AGREED BY AND
BETWEEN THE PARTIES THAT:

Any part of this MOA shall not be disclosed to any party, and this shall
be considered as confidential.
Party B may assign its rights and obligation in this contract
to a corporate controlled by Party B.
VI. EFFECTIVE DATE AND SIGNATURE
This MOA shall be effective upon the signature of the Parties A and B
authorized
officials. Parties A and B indicate agreement to this MOA by their
signatures.
