Call to Order
Chair, Alan Barfoot called the meeting to order at 8:00 AM.
Declaration of Pecuniary Interest and the General Nature Thereof:

Minutes of Previous Meetings October 30, 2015

Be it resolved that the Joint Board Minutes of October 30, 2015 be adopted as
presented, including any revisions to be made.

Reports and Recommendations:
1) Operation of BioGrid Facility
Rick Winters gave a review of the operation of the facility. The contract with Veolia
ends December 31, 2015. The operation of the BioGRID facility was included in the

Request for Proposal for the operation of drinking water systems for Georgian Bluffs.
Rick spoke with the three lowest bidders to see if there was interest in short term
contracts.
OCWAs price would stay the same but would have flexibility in operating the facility.
Veolia would honour their price month to month. Aquatechs price is only good if they
were awarded the contract, and came back with a new price of $6,500 per month. Rick
is recommending entering into a month to month contract with Aquatech.
Scott Mackey noted there would be savings of $2000 per month with Aquatech.

Be it resolved that the Georgian Bluffs-Chatsworth Joint Board receives report
Bio.15.15 from the Director of Operations and enters into a month to month operating
contract with Aquatech/GSS Engineering Consultants Limited at $6,500 per month of
the BioGrid facility effective of January 1, 2016.

2) Partnership Opportunities
Staff from both Townships met with OCWA and SusGlobal in regard to partnering.
OCWA is prepared to operate the facility. SusGlobal is prepared to invest capital into
the facility and take over operations. They are prepared to issue a surety bond for five
years.
Rick also met with Miller Waste to see if they are willing to invest capital into the
facility. They would only put capital into their own facility and haul material to the Bio.
Miller Waste noted the site is not a large enough facility.
Rick noted SusGlobal is looking at 3 things; generating power, tipping fees, and
minimize costs with the sale of fertilizer. Once the plant is in operation and the
approvals are granted for SSO, SusGlobal guarantees for the first 5 cycles, $200,000
in revenue. Staff have only reviewed with SusGlobal and not negotiated. Rick does
have concerns over finances but SusGlobal is proposing to absorb all of the operating
costs.

Be it resolved that the Georgian Bluffs-Chatsworth Joint Board receives report
BIO.15.16 and provides direction to staff to negotiate a potential business agreement
with SusGlobal regarding the operation, maintenance and expansion of the BioGrid
facility in order to achieve a sustained revenue source.
Scott Mackey asked for a recorded vote.
For: Alan Barfoot, Dwight Burley and Bob Pringle.

Public Question Period:
a) Bob DeJong
a. Mr. Dejong suggested the Board get a corporate lawyer involved
immediately.
b. Mr. Dejong also suggested getting other options developed at the same
time.
Alan Barfoot noted the motion passed is only to negotiate with SusGlobal.
Bob Pringle noted both Townships will have to look outside the area for a corporate
lawyer.

Unfinished Business:
1) Proposed 2015 Biodigester Budget
Rick Winters told the Board he understood Chatsworths concerns in regard to the
Sunset Strip expense. Georgian Bluffs plows the area, gets fuel for the tractor and the
extra hours by staff, Georgian Bluffs doesnt bill Chatsworth for.
Scott Mackey recognized this but noted the majority of the material comes from
Georgian Bluffs.
Rick noted without the Sunset Strip material, the Biodigester would not have any gas
production for 6 months.
Will Moore noted Chatsworth already passed their portion of the budget of $150,000
but the detail of the transportation did not pass.
The budget has been deferred.

a) Next meeting is December 18, 2015 at 8:00 AM.

The Georgian Bluffs-Chatsworth BioGrid Joint Board meeting adjourns at 9:10 AM on
motion moved by Scott Mackey, seconded by Bob Pringle.
