Executive Summary:

Atia Group USA

The Atia Group USA (www.atiagroupusa.com) has 10 years experience in building new homes in the
Beverly Hills, Bel Air, Hollywood Hills, and Beverly Hills adjacent areas of Los Angeles. Through the
years the company has been recognized by The Beverly Hills Design Review Commission, the AIA
among others for excellence in design and quality of construction. The company has completed over
25 new homes and over 20 rehabilitations in the past 10 years. The company has two divisions in the
United States, New Home Construction and Distressed Property.

New Construction –

The company’s strategy for new construction is to focus on areas that are desirable due to their
proximity to business districts, shopping, and community (i.e. church’s, synagogues, etc.). The
company then identifies land or existing houses that can be acquired for below market value
(distressed properties, short-sale, etc.).

Distressed Property –

The company’s strategy for distressed property is to focus on unique opportunities that provide
significant upside due to their complexity. Over the years the company has developed a strong and
influential network within the real estate and banking communities that is now reaching out to the
company with significant opportunities. These opportunities have included short sale single family
homes, buildings under construction, and distressed master planned developments.

The company currently has 3 projects in the works and is looking for $9.3 million in funding to
complete.

Project 1 – Olympic – 11 Condominiums in Miracle Mile Los Angeles, Ca. This project is being
acquired from the bank and is under construction. The project’s cost of land is $2.3 million and
requires an additional $2.5 million to complete construction. The comps for this project today are
$599,900 to $699,900 but in the past we have experienced a 10% premium due to our quality of
construction and amenities. The project is projected to be complete in the Spring 2011.

Project 2 – Stanley Hills – 3 Single Family Homes in Hollywood Hills, Ca. This project has a first lien on
one of the parcels for $500,000 and is seeking $2 million to complete the project. The company has
invested approximately $1.1 million into this project at this stage. The project has permits and
construction will begin upon funding. Comps in this area for new homes are between $1.7 million to
$2.5 million.
Project 3 – Beverly Estates – 1 Single Family Home in Beverly Hills, Ca. This project has a $150,000
first lien and is seeking $1.5 million to complete the project. The company has invested
approximately $750,000 into this project at this stage. The project is currently in the design process
and will be seeking permits upon completion. Comps in this area for new homes with similar
features are $5 million to $10 million.

Other Projects –

The company is currently under construction on a fully funded project in Croatia. The project name
is Samobor Gardens (www.samoborgardens.com). This project is a master planned community just
outside the capital city of Zagreb. The project is 50% owned by Atia Group (ATIA.L) and 50% owned
by PORR Construction (POV.VI). The sell out valuation of this project is approximately €65 million.
The project expects initial occupancy in 2010 and completion in 2011.

In addition to the land included above the company also has for sale a single family home in Bel Air,
CA listed for $5,995,000 (www.15101mulhollanddr.com). This home includes 6 bedrooms, 7
bathrooms, wine cellar, media room, game room, and multiple veranda’s that take in an amazing
view.

Recently Completed – One of our recently closed projects is 538 Curson, Los Angeles CA
(www.538curson.com). This was a short sale acquisition brought in by Distressed Property Division
located near the intersection of Curson and Melrose in Los Angeles, Ca. The project was acquired for
$500,000 and has been pre-sold.
PRINCIPALS

YOSSI ATTIA

Background

Mr. Attia has been self employed as a real estate developer since 2000. Prior to entering into the
real estate development industry, Mr. Attia served as the Senior Vice President of Investments of
Interfirst Capital from 1996 to 2000. From 1994 though 1996, Mr. Attia was a Senior Vice President
of Investments with Sutro & Co. and from 1992 through 1994 Mr. Attia served as the Vice President
of investments of Prudential Securities. Mr. Attia received a BA in economics and marketing from
Haifa University in 1987 and a MBA from Pepperdine University in 1995. Mr. Attia held Series 7 and
63 securities licenses from 1991 until 2002.

Background

Ms. Attia has been self employed as an interior decorator / fashion designer since 1980 and has
owned a retail fashion stores in since 1986. Ms. Atia has successfully run retail stores in Beverly Hills

TIRAN IBGUI

Background

Mr. Ibgui has been self employed as a General Contractor and Electrical Contractor since 1992. Prior
to entering into the real estate development industry, Mr. Ibgui attended Ort Kiyat Bialik in Israel
where he was trained in engineering. Mr. Ibgui’s Ocean Construction and Ocean Security and
Electrical projects have included medical, retail and wholesale facilities, residential development
projects with multi-phase buildouts and deluxe custom homes.

KEY EXECUTIVES

Darren Dunckel – Mr. Dunckel has more than fifteen years of experience in the financial services
industry. Over the years he has consulted corporations and individuals on investments, benefit
solutions, marketing, product design, and business planning including: sales, acquisitions and
mergers. Mr. Dunckel has consulted more than 350 companies in a broad range of industries from
start-up to Fortune 500 and served on the Board of Directors of both Private and Publicly held
companies.

Shalom Atia – Mr. Atia has been involved in real estate construction and development industry for
over fifteen years. His background has covered all aspects of development from planning to
completion. Mr. Atia has worked as a consultant and a partner/owner, focusing on project
management, cost accounting, and marketing management, Mr. Atia currently serves on the Board
of Directors of Atia Group. (ATAI.L & ATIA.TA)

Andre LaRocha – Mr. LaRocha is a celebrated designer, architect, and licensed contractor. His work
has been recognized by Los Angeles County, the City of Beverly Hills, and the Duke of Windsor. Mr.
LaRocha has worked with many celebrity clients including Nancy Reagan and the late President Ford.
His work can be seen from Bel Air to Key West, and from London to the South of France.

Mladen Poropat – Mr. Poropat’s background and skill set include on-site propert management,
sales, financing, and managing legal and operational aspects of real estate transactions. Mr. Poropat
has served as Purchasing Manager at Adriatic Luxury Hotels, a Member of the Board of Directors
Lumik Ltd., and CEO of an advertising agency in Croatia.

Cye Morsh – Mr. Morsh is an award winning real estate agent who specializes in multi-million
dollar homes in Southern California. Since starting in the real estate profession, Mr. Morsh has
consistently been named a Multi-Million Dollar Producing Agent as both a Listing Agent and Sales
Agent. He also draws substantial experience from co-owning a successful international real estate
firm.

Danny Offer – Mr. Offer has been a Certified Public Accountant since 1984. He has served as CFO of
Romtech Ltd. Mr. Offer also served as CFO of Liral group. Mr. Offer is a Senior Audit Manager with
Kesselman & Kesselman, a member of Price Waterhouse Coopers Global. Mr. Offer holds a B.A. in
Accounting and Economics from Haifa University.
