Dear Members,
The Board of Directors have pleasure in presenting to you the Eighth Annual Report and audited accounts of the Company for the year ended on
March 31 st 2014.
1.

Operations :

The Operation of company during the financial year ended 31 st March 2014 have resulted into Net Loss After Tax of Rs. 34,83,19,795/- (Indian
Rupees Thirty Four Crore Eighty Three Lac Nineteen Thousand Seven Hundred and Ninety Five Only) which was carried to the Balance Sheet.
2.

Dividend:

Due to unavailability of profits for the financial year ended on 31 st March 2014, Your Directors do not recommend any dividend.
3.

Material Changes:

The Travel, online marketplace and ad-networking business unit of your company de-merged into M/s ibibo Group Private Limited (Formally
PVJ Ecommerce Private Limited) vide scheme of arrangement approved by the hon?ble High Court at New Delhi order dated 30 th September
2013 with an appointed date 31 st March 2013.

Particulars of Employees:

The details of employees drawing salary of Rs. 500,000/- or more per month during the above period is given as per Annexure -A attached to this
report, as required under Section 217(2A) of the Companies Act, 1956.

Comments on Auditor?s Report :

The Auditors? Report along with notes on accounts attached to the Balance Sheet is self-explanatory and does not require any further
explanations except following paragraph to Annexure to auditor?s report:
vii) The Company did not have an internal audit system during the year .
The Board explains that the company is in progress of setting up an internal audit system.

Auditors :

M/s Price Waterhouse & Co., Chartered Accountants retiring at the conclusion of the current Annual General Meeting, has expressed their
unwillingness for re-appointment as statutory auditors of the Company due to their personal reasons.
Further your Board has approached M/s Price Waterhouse Chartered Accountants LLP (FRN: 012754N/N500016) for appointment as statutory
auditors of the Company and received their willingness letter along with certificate u/s 141 for the same . Your Board recommends their
re-appointment as per the provision of section 139 of the Companies Act 2013

Directors:

Mr. Shailaz Nag and Mr. Nitin Gupta were appointed as additional directors by the Board on 31.03.2014. Your Board has recommended
their re-appointment as Director of the Company at the ensuing Annual General Meeting.
Mr. Ashish Kashyap, Mr. Pankaj Jain, Mr. Sanjay Bhasin, Mr. Leroux Neethling and Mr. Oliver Minho Rippel were resigned from the Board with
effect from 31 st March 2014.

Conservation of energy and technological absorption :

Your Company is not an energy intensive unit, however regular efforts are made to conserve energy in your Company?s offices and other
facilities.

We conducted our audit in accordance with the Standards on Auditing and other applicable authoritative pronouncements issued by the Institute of Chartered Accountants of India.
