I am writingto you in responseto the recentnews reportsregardingthe terminationof discussionsbetweenNovantand
MemorialHealth("Memorial").As you may be aware,HCA Holdings,Inc.,and its affiliates('HCA) previouslyexpressed
interestin a transactionwith Memorial,eventhoughHCAwas not invitedto participatein Memorial'sinitialprocess.
Nevertheless,
HCA submitteda proposalfor, in the alternative,
i) a long-termyear leaseof Memorial,ii) an acquisitionof
Memorial,or iii) a joint ventureof Memorial.In eachcase,HCA'sproposalincludedattractivefinancialtermsand
commitments,
includingthe following:

ClinicalExcellence:HCAwillwork with Memorial'sphysicians,nursingleaders,and managementto leveragebest

practicesand standardsfor deliveringhigh-quality
patientcare (seeattachedregardingHCAcomparativequality)

A cash purchasepriceor prepaidleasepaymentwhichwould:

By this letter,we are reaffirmingour interestin the lease,acquisition,

or joint ventureof Memorial.Towardthat end,we
requestlhe opportunity
to engagewith the ChathamCountyHospitalAuthority(the "Authority")
and Memorialto understand
your respectivegoalsand reguirements
and mostrecentfinancialresultsso that we mightconfirmor adjustthe terms of our
originalproposal.
Furthermore,
we wantto recognizethat the core services(Pediatricsand NeonatalCare-Level3 nursery;Level1 Trauma
program;Residencytrainingprogram(andthe relationship
with MercerMedicalSchool))are necessaryservicesto Chatham
Countyand the region.HCA wouldcommitto continuingthesecore servicesand not terminateany of thesecoreservices
withoutthe consentof the HospitalAuthority,providedsuchconsentis not unreasonably
withheldgivenall the faclsand
circumstances
that mightexistat that time,includingavailability
